15.BidFormTheBiddershallcompletetheBidFormSummarySheetforBidOpeningandPriceSchedulefurnishedinthebiddingdocuments.BidPricesTheBiddershallindicateontheappropriateBidScheduleofPricestheunitpriceswhereapplicableandtotalbidpriceofthegoodsitproposestosupplyunderthecontract.PricesindicatedontheBidScheduleofPricesshallbeenteredseparatelyinthefollowingmanner:ForgoodsofferedfromwithinPRC:ThepriceofthegoodsquotedEXWex-worksex-factoryex-warehouseex-showroomoroff-the-shelfasapplicableincludingValueAddedTaxesVATandothertaxesalreadypaidorpayabletothegovernmentofPRCaswellasallcustomsdutiesVATandothertaxespaidorpayable:onthecomponentsandrawmaterialusedinthemanufactureorassemblyorgoodsofforeignoriginquotedex-worksorex-factory;oronthepreviouslyimportedgoodsofforeignoriginquotedex-warehouseex-showroomoroff-the-shelf.ThepriceforinlandtransportationinsuranceandotherlocalcostsincidentaltodeliveryofthegoodstotheirfinaldestinationifspecifiedintheBidDataSheet.ThepriceofotherincidentalservicesifanylistedintheBidDataSheet.Forgoodsofferedfromabroad:ThepriceofthegoodsshallbequotedCIFnamedportofdestinationorC1PnamedplaceofdestinationinPRCasspecifiedintheBidDataSheet.TnquotingthepricetheBiddershallusetransportationthroughcarriersregisteredinPRCorothercarriersregisteredinmyeligiblecountrieswiththeTendererspriorapproval.SimilarlytheBiddermayobtaininsuranceservicesfromPRCoranyeligiblesourcecountryuponthepriorapprovaloftheTenderer.ThepriceofgoodsquotedFOBportofshipmentorFCAasthecasemaybeifspecifiedintheBidDataSheet.ThepriceofgoodsquotedCFRportofdestinationorCPTasthecasemaybeifspecifiedintheBidDataSheet.ThepriceforinlandtransportationinsuranceandotherlocalcostsincidentaltodeliveryofthegoodsfromtheportofentrytotheirfinaldestinationifspecifiedintheBidDataSheet.ThepriceofincidentalservicesIfanylistedintheBidDataSheet.ThetermsEXWCIFCIPetc.shallbegovernedbytherulesprescribedinthecurrenteditionofIncotermspublishedbytheInternationalChamberofCommerceParis.TheBiddersseparationofpricecomponentsinaccordancewithITBClause

11.2abovewillbesolelyforthepurposeoffacilitatingthecomparisonofbidsbytheTenderingAgentandtheTendererandwillnotinmywaylimittheTenderersrighttocontractonanyofthetermsoffered.PricesquotedbytheBiddershallbefixedduringtheBiddersperformanceofthecontractandnotsubjecttovariationonanyaccount.Abidsubmittedwithanadjustablepricequotationwillbetreatedasnon-responsiveandwillberejectedpursuanttoITBClause

24.BidCurrenciesThepricesshallbequotedinRMBforgoodsandservicesthattheBidderwillsupplyfromwithinPRCunlessspecifiedorpermittedotherwise;ThepricesshallbequotedinanyofthecurrenciesdefinedintheBidDataSheetforgoodsandservicesthattheBidderwillsupplyfromoutsidePRC.DocumentsEstablishingBiddersEligibilityandQualificationsTheBiddershallfurnishaspadofitsbiddocumentsestablishingtheBidderseligibilitytobidanditsqualificationstoperformcontractifitsbidisaccepted.IftheBidderisaJointVentureeachmemberoftheJointVentureshallsubmittheQualificationDocumentsrespectivelytogetherwiththeJointVentureAgreementwhileindicatingtheleadingmemberoftheJointVenture.ThedocumentaryevidenceoftheBidderseligibilitytobidshallestablishtotheTenderingAgentandtheTendererssatisfactionthattheBidderatthetimeofsubmissionofitsbidisfromaneligiblecountryasdefinedunderITBClause

14.3abovetheBiddershallnotethatstandardsforworkmanshipmaterialandequipmentaswellasreferencestobrandnamesorcataloguenumbersdesignatedbytheTendererinitsTechnicalSpecificationsareintendedtobedescriptiveonlyandnotrestrictive.TheBiddermaysubstitutealternativestandardsbrandnamesand/orcataloguenumbersinitsbidprovidedthatitdemonstratestotheTendererssatisfactionthatthesubstitutionsensuresubstantialequivalencetothosedesignatedintheTechnicalSpecifications.BidSecurityTheBiddershallfurnishaspartofitsbidabidsecurityintheamountspecifiedintheBidDataSheet.ThebidsecurityisrequiredtoprotecttheTenderingAgentandtheTendereragainsttheriskofBiddersconductwhichwouldwarrantthesecuritysforfeiturepursuanttoITBClause

18.2theTenderingAgentwillassumenoresponsibllityforthebidsmisplacementorprematureopening.DeadlineforSubmissionofBidsBidsmustbereceivedbytheTenderingAgentattheaddressspecifiedunderITBClause

20.BidsandmodificationssentpursuanttoITBClause

21.2thatarenotopenedandreadoutatthebidopeningshallnotbeconsideredfurtherforevaluation.Suchbidswillbereturnedunopenedtothebidders.TheTenderingAgentwiliprepareminutesofthebidopening.ClarificationofBidsDuringevaluationofthebidstheTenderingAgentmayatitsdiscretionasktheBidderforaclarificationofitsbid.Therequestforclarificationandtheresponseshallbeinwritingandnochangeinthepricesorsubstanceofthebidshallbesoughtofferedorpermitted.PreliminaryExaminationTheTenderingAgentandtheTendererwillexaminethebidstodeterminewhethertheyarecompletewhetherthebidsaregenerallyinorderwhetherrequiredsecuritieshavebeenfurnishedwhetherthedocumentshavebeenproperlysignedandwhetheranycomputationalerrorshavebeenmade.Arithmeticalerrorswillberectifiedonthefollowingbasis.Ifthereisadiscrepancybetweentheunitpriceandthetotalpricethatisobtainedbymultiplyingtheunitpriceandquantitytheunitpriceshallprevailandthetotalpriceshallbecorrected.Ifthereisadiscrepancybetweenwordsandfigurestheamountinwordswillprevail.Ifthebidderdoesnotacceptthecorrectionoftheerrorsitsbidwillberejected.TheTenderingAgentandtheTenderermaywaiveanyminorinformalitynonconformityorirregularityinabidwhichdoesnotconstituteamaterialdeviationprovidedsuchwaiverdoesnotprejudiceoraffecttherelativerankingofanyBidder.PriortothedetailedevaluationpursuanttoITBClause26theTenderingAgentandtheTendererwilldeterminethesubstantialresponsivenessofeachbidtothebiddingdocuments.ForpurposesoftheseClausesasubstantiallyresponsivebidisonewhichconformstoallthetermsandconditionsofthebiddingdocumentswithoutmaterialdeviations.DeviationfromorobjectionsorreservationstocriticalprovisionssuchasthoseconcerningBidSecurityApplicableLawandTaxesandDutieswillbedeemedtobeamaterialdeviation.TheTenderingAgentandtheTenderersdeterminationofabidsresponsivenessistobebasedonthecontentsofthebiditselfwithoutrecoursetoextrinsicevidence.IfabidisnotsubstantiallyresponsiveitwillberejectedandmaynotsubsequentlybemaderesponsivebytheBidderhavingcorrectedorwithdrawnthenon-conformingdeviationorreservation.Thebidwillberejectedasnon-responsivenessifitisfoundhavinganyofthefollowing:ThebidisnotaccompaniedwithabidsecurityorinthecasethesubmittedbidsecurityisoflessamountthanrequiredorofshortervaliditythanrequiredornotconformingwiththerequirementsofBiddingDocumentsinitsformandissuingbank.TheBiddersparticipationinthebidisoutofhislicensedbusinessscope;SubmissionofQualificationDocumentsisnotincompletion.ThebidhasnotbeensignedbytheBiddersLegalPersonorbythepersonorpersonswithaPowerofAttorneyissuedbythesaidLegalPerson.TheexperienceoftheBidderdoesnotmeettherequirementsoftheBiddingDocuments;ThebidvalidityofferedbytheBidderisshorterthanthatstipulatedintheBiddingDocument;andThebiddoesnotmeetintechnicalaspectsthemainspecificationsspecifiedorthedeviationshaveexceededtheacceptablerange.ConversiontoSingleCurrencyTofacilitateevaluationandcomparisontheTenderingAgentwillconvertallbidpricesexpressedintheamountsindifferentcurrenciesinwhichthebidpricesarepayabletoU.S.DollarsatthesellingexchangeratepublishedbyBankofChinaonthedateofbidopening.EvaluationandComparisonofBidsTheTenderingAgentandtheTendererwillevaluateandcomparethebidswhichhavebeendeterminedtobesubstantiallyresponsivepursuanttoITBClause

24.TheBiddingDocumentsForICBProcurementofMechanicElectronicProductsVolumeOneMechanicElectronicProductsImportExportDepartmentMinistryofForeignTradeEconomicCooperationP.R.C2002ThetotalEvaluatedBidPriceEBPwillbecalculatedonthebasisthatthegoodsbedeliveredtothedesignatederectsite.ForgoodsofferedoutsidePRCthetotalEBPshallbe:CIFPriceplusCustomsDutiesImportTaxesandthecostofInlandTransportationandInsurance.ForgoodsofferedfromwithinPRCthetotalEBPshallbe:EXWPriceincludingValueAddedTaxandothertaxesplusthecostofInlandTransportationandInsurance.TheTenderingAgentandtheTenderersevaluationofabidwilltakeintoaccountinadditiontothebidpricequotedinaccordancewithITBClause

11.2oneormoreofthefollowingfactors:CostofinlandtransportationinsuranceandothercostswithinPRCincidentaltodeliveryofthegoodstotheiranaldestination.Deliveryscheduleofferedinthebid;DeviationsinpaymentschedulefromthatspecifiedintheTermsandConditionsofContract;Thecostofcomponentssparepartsandservices;TheavailabilityinPRCofsparepartsandafter-salesservicesfortheequipmentofferedinthebid;Theprojectedoperatingandmaintenancecostsduringthelifeoftheequipment;Theperformanceandproductivityoftheequipmentoffered;and/orOtherspecificcriteriaindicatedintheBidDataSheetand/orintheTechnicalSpecifications.ForfactorsretainedintheBidDataSheetpursuanttoITB

26.3oneormoreofthefollowingquantificationmethodswillbeappliedasdetailedintheBidDataSheet:CostofinlandtransportationinsuranceandincidentalsoccurredwithinPRC.InlandtransportationinsuranceandotherinddentalcostsfordeliveryofthegoodsfromEXW/portofentry/borderpointtoProjectSitenamedintheBidDataSheetwillbecomputedforeachbidbytheTenderingAgentandtheTendereronthebasisofpublishedtariffsbytherailorroadtransportagenciesinsurancecompaniesand/orotherappropriatesources.TofacilitatesuchcomputationbiddershallfurnishinitsbidtheestimateddimensionsandshippingweightandtheapproximateEXW/CIF/CIPvalueofeachpackage.TheabovecostswillbeaddedbytheTenderingAgentandtheTenderertoEXW/CIF/CIPprice.Deliveryschedule.ThegoodscoveredundertheInvitationforBidsarerequiredtobedeliveredorshippedatthetimespecifiedIntheScheduleofRequirements.Takingthisdeliveryrequirementsasthebaseadelivery“adjustment“willbecalculated-foreachbidbyapplyingapercentagespecifiedintheBidDataSheetoftheEXW/CIF/CIPpriceforeachweekofdelaybeyondthebaseandthiswillbeaddedtothebidpriceforevaluation.NocreditshallbegiventoearlydeliveryorThegoodscoveredunderthisinvitationarerequiredtobedeliveredshippedwithinanacceptablerangeofweeksspecifiedintheScheduleofRequirement.Nocreditwillbegiventoearlierdeliveriesandbidsofferingdeliverybeyondthisrangewillbetreatedasnon-responsive.WithinthisacceptablerangeanadjustmentperweekasspecifiedintheBidDataSheetwillbeaddedforevaluationtothebidpriceofbidsofferingdeliverieslaterthantheearliestdeliveryperiodspecifiedintheScheduleofRequirementsorThegoodscoveredunderthisinvitationarerequiredtobedeliveredshippedinpartialshipmentsasspecifiedintheScheduleofRequirements.BidsofferingdeliveriesearlierorlaterthanthespecifieddeliverieswillbeadjustedintheevaluationbydecreasingfromoraddingtothebidpriceafactorequaltoapercentagespecifiedintheBidDataSheetofEXW/CIF/CIPpriceperweekofvariationfromthespecifieddeliveryschedule.Deviationinpaymentschedule.BiddenshallstatetheirbidpriceforthepaymentscheduleoutlinedintheTermsandConditionsofContract.Bidswillbeevaluatedonthebasisofthisbaseprice.Biddersarehoweverpermittedtostateanalternativepaymentscheduleandindicatethereductioninbidpricetheywishtoofferforsuchalternativepaymentschedule.TheTenderingAgentandtheTenderermayconsiderthealternativepaymentscheduleofferedbytheselectedBidderorTheTermsandConditionsofContractstipulatethepaymentscheduleofferedbytheTenderer.IfabiddeviatesfromthescheduleandifsuchdeviationisconsideredacceptabletotheTendererthebidwillbeevaluatedbycalculatinginterestearnedforanyearlierpaymentsinvolvedinthetermsoutlinedinthebidascomparedwiththosestipulatedinthisinvitationatarateperannumasspecifiedintheBidDataSheet.Costofcomponentsandsparepans.ThelistofitemsandquantitiesofcomponentsandselectedsparepartslikelytoberequiredduringtheinitialperiodofoperationspecifiedintheBidDataSheetisannexedtheTechnicalSpecifications.ThetotalcostoftheseitemsattheunitpricesquotedineachbidwillbeaddedtothebidpriceorTheTenderingAgentandtheTendererwilldrawupalistofhigh-usageandhigh-valueitemsofcomponentsandsparepartsalongwithestimatedquantitiesofusageintheinitialperiodofoperationspecifiedintheBidDataSheet.ThetotalcostoftheseitemsandquantitieswillbecomputedfromsparepadsunitpricessubmittedbytheBidderandaddedtothebidpriceorTheTenderingAgentandtheTendererwillestimatethecostofsparepartsusageintheinitialperiodofoperationspecifiedintheBidDataSheetbasedoninformationfurnishedbyeachBidderaswellasonpastexperienceoftheTenderingAgentandtheTendererorotherpurchasersinsimilarsituations.Suchcostsshallbeaddedtothebidpriceforevaluation.SparepansandaftersalesservicefacilitiesinthePRC.ThecosttotheTendererofestablishingtheminimumservicefacilitiesandpadsinventoriesasoutlinedintheBidDataSheetorelsewhereinthebiddingdocumentsshallbeaddedtothebidprice.Operatingandmaintenancecosts.SincetheoperatingandmaintenancecostsofthegoodsunderprocurementformamajorpartofthelifecyclecostoftheequipmentthesecostswillbeevaluatedinaccordancewiththecriteriaspecifiedintheBidDataSheetorintheTechnicalSpecifications.Performanceandproductivityoftheequipment.BiddersshallstatetheguaranteedperformanceorefficiencyinresponsetotheTechnicalSpecifications.Nocreditshallbegiventobetterperformanceandhigherproductivity.Foreachdropof1%intheperformanceorefficiencybelowthenormofonehundredpercent100%anadjustmentforanamountspecifiedintheBidDataSheetwillbeaddedtothebidpricerepresentingthecapitalisedcostofadditionaloperatingcostsoverthelifeoftheplantusingthemethodologyspecifiedintheBidDataSheetorintheTechnicalSpecificationsorGoodsofferedshallhaveaminimumproductivityspecifiedundertherelevantprovisionintheTechnicalSpecificationstobeconsideredresponsive.EvaluationshallbebasedonthecostPerunitoftheactualproductivityofgoodsofferedinthebidandadjustmentwillbeaddedtothebidpriceusingthemethodologyspecifiedintheBidDataSheetorintheTechnicalSpecifications.SpecificadditionalfactorandcriteriaThespecificadditionalfactorandcriteriashallbedetailedintheBidDataSheetand/orintheTechnicalSpecifications.DeterminationofFinalEvaluatedBidPric 3.ThedeterminationwilltakeintoaccounttheBiddersfinancialtechnicalandproductioncapabilities.ItwillbebaseduponanexaminationofthedocumentaryevidenceoftheBiddersqualificationssubmittedbytheBidderpursuanttoITBClause

13.3aswellassuchotherinformationastheTenderingAgentdeemsnecessaryandappropriate.AnaffirmativedeterminationwillbeaprerequisiteforawardofthecontracttotheBidder.AnegativedeterminationwillresultinrejectionoftheBiddersbidinwhicheventtheTenderingAgentwillproceedtothenextlowestevaluatedbidtomakeasimilardeterminationofthatBidderscapabilitiestoperformsatisfactorily.AwardCriteriaSubjecttoITBClause33theTenderingAgentwillawardthecontracttothesuccessfulBidderwhosebidhasbeendeterminedtobesubstantiallyresponsiveandhasbeendeterminedtobethelowestevaluatedbidprovidedfurtherthattheBidderisdeterminedtobequalifiedtoperformtheContractsatufactorlly.RighttoVaryQuantitiesatTimeofAwardTheTenderingAgentandtheTendererreservestherightatthetimeofcontactawardtoincreaseordecreasebythepercentageindicatedintheBidDataSheetthequantityofgoodsandservicesoriginallyspecifiedintheScheduleofRequirementswithoutanychangeinunitpriceorothertermsandconditions.PublicationofEvaluationResultTheBiddersshallregisteron“thewebsite99beforetimeofbidopeningandmayinspecttheresultofevaluationofbidsthrough“thewebsite，notifyingthenameoftheproposedsuccessfulbidderand/orreasonswhyheisunsuccessfulbidder.TheBiddershavetherighttoputforwardcomplainsortoraisedoubtsduringtheperiodofpublication.HowevertheBiddersshouldbearanyresponsibilitiesfortheauthenticityofthecontentinthecomplainsordoubts.AftertheperiodofpublicationtheBiddersmayinquiretheoutcomeofpublicationthrough“thewebsite”.RighttoAcceptanyBidandtoRejectanyorAllBidsTheTenderingAgentandtheTendererreservestherighttoacceptorrejectanybidandtoannulthebiddingprocessandrejectallbidsatanytimepriortocontractawardwithouttherebyincurringanyliabilitytotheaffectedBidderorBidders.NotificationofAwardOncethesuccessfulBidderhasdeterminedTheTenderingAgentwillissueaNotificationofAwardtotheSuccessfulBidder.ThenotificationofawardwillconstitutetheformationoftheContract.Uponthemccessf11iBiddersfurnishingofperformancesecuritypursuanttoITBClause36theTenderingAgentwillpromptlynotifyeachunsuccessfulBidderandwilldischargeitsbidsecuritypursuanttoITBClause

36.1shallconstitutesufficientgroundsfortheannulmentoftheawardandforfeitureofthebidsecurityinwhicheventtheTenderingAgentandtheTenderermaymaketheawardtothenextlowestevaluatedBidderorcallfornewbids.Section2TermsandConditionsofContractTermsandConditionsofContractDefinitionsInthisContractthefollowingtermsshallbeinterpretedasindicated:“TheContract“meanstheagreemententeredintobetweenthePurchaserandSupplierasrecordedintheContractFormsignedbythepartiesincludingailattachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein.“TheContractPrice“meansthepricepayabletotheSupplierundertheContractforthefullandproperperformanceofitscontractualobligations.“TheGoodsmeansalloftlleequipmentmachineryand/orothermaterialswhichtheSupplierisrequiredtosupplytothePurchaserundertheContract.4“TheServices“meansthoseservicesancillarytothesupplyoftheGoodssuchastransportationandinsuranceandanyotherincidentalservicessuchasinstallationcommissioningprovisionoftechnicalassistancetrainingandothersuchobligationsoftheSuppliercoveredundertheContact.“TCCmeanstheTermsandConditionsofContractcontainedinthissection.“ThePurchaser”meanstheorganisationpurchasingtheGoodsandServicesasnamedinTCCDataSheet.“TheSuppliermeanstheindividualorfirmsupplyingtheGoodsandServicesunderthisContractasnamedinTCCDataSheet.“TheProjectsite“meansthelocationwheretheGoodsaretobeinstalledandoperatedasnamedinTCCDataSheet.“Daymeanscalendarday.ApplicationTheseTermsandConditionsshallapplytotheextentthattheyarenotsupersededbyprovisionsinotherpartsoftheContract.CountryofOriginAllGoodsandServicessuppliedundertheContractshallhavetheirorigininthePeoplesRepublicofChinahereinafterreferredtoashePRCinthecountries/areaswhichhaveregulartraderelationswiththePRChereinaftercalledeligiblesourcecountries.ForpurposesofthisClause“origin“meanstheplacewheretheGoodswereminedgrownorproducedorfromwhichtheServicesaresupplied.Goodsareproducedwhenthroughmanufacturingprocessingorsubstantialandmajorassemblyofcomponentsacommerciallyrecognisednewproductresultsthatissubstantiallydifferentinbasiccharacteristicsorinpurposeorutilityfromitscomponents.TheoriginofGoodsandServicesisdistinctfromthenationalityoftheSupplier.StandardsTheGoodssuppliedunderthisContractshallconformtothestandardsmentionedintheTechnicalSpecificationsandwhennoapplicablestandardismentionedtotheauthoritativestandardsappropriatetotheGoodscountryoforigin.Suchstandardsshallbethelatestissuedbytheconcernedinstitution.AllmeasurementsshallbethemeasuringunitofficiallypublishedbythegovernmentofthePRCunlessotherwisespecifiedintheTechnicalSpecifications.UseofContractDocumentsandInformationTheSuppliershallnotwithoutthePurchaserspriorwrittenconsentdisclosetheContractoranyprovisionthereoforanyspecificationplandrawingpatternsampleorinformationfurnishedbyoronbehalfofthePurchaserinconnectiontherewithtoanypersonotherthanapersonemployedbytheSupplierintheperformanceoftheContract.Disclosuretoanysuchemployedpersonshallbemadeinconfidenceandshallextendonlysofarasmaybenecessaryforpurposesofsuchperformance.TheSuppliershallnotwithoutthePurchaserspriorwrittenconsentmakeuseofanydocumentorinformationenumeratedinTCCClause

5.1exceptforpurposesofperformingtheContract.AnydocumentotherthantheContractitselfenumeratedinTCCClause

5.1shallremainthepropertyofthePurchaserandshallbereturnedincludingallcopiestothePurchaseroncompletionoftheSuppliersperformanceundertheContractifsorequiredbythePurchaser.PatentRightsTheSuppliershallindemnifythePurchaseragainstailthird-partyclaimsofinfringementofpatenttrademarkcopyrightorotherinteliectllalpropertyrightsarisingfromuseoftheGoodsoranypartthereofinthePRC.PerformanceSecurityWithinthirty30daysofreceiptofthenotificationofContractawardtheSuppliershallfurnishtothePurchasertheperformancesecurityintheamountspecifiedinTCC.TheproceedsoftheperformancesecurityshallbepayabletothePurchaserascompensationforanylossresultingfromtheSuppliersfailuretocompleteitsobligationsundertheContract.TheperformancesecurityshallbedenominatedinthecurrencyoftheContractorinacurrencyacceptabletothePurchaserandshallbeinoneofthefollowingforms:abankguaranteeoranirrevocableletterofcreditissuedby:iareputablebanklocatedinthePRCoriiareputablebankabroadacceptabletothePurchaserthoughareputableBanklocatedinthePRCintheformprovidedinthebiddingdocumentsoranotherformacceptabletothePurchaser;oracashierscheckcertifiedcheckorcash..TheperformancesecuritywillbedischargedbythePurchaserandreturnedtotheSuppliernotlaterthanthirty30daysfollowingthedateofcompletionofthesuppliersperformanceobligationsundertheContractincludinganywarrantobligations.InspectionsandTestsThePurchaseroritsrepresentativeshallhavetherighttoinspectand/ortesttheGoodstoconfirmtheirconformitytotheContractspecificationsatnoextracosttothePurchaserTCCandtheTechnicalSpecificationsshallspecifywhatinspectionsandteststhePurchaserrequiresandwheretheyaretobeconducted.ThePurchasershallnotifytheSupplierinwritinginatimelymanneroftheidentityofanyrepresentativesretainedforthesepurposes.TheinspectionsandtestsmaybeconductedonthepremisesoftheSupplieroritssubcontractorsatpointofdeliveryand/orattheGoodsfinaldestination.IfconductedonthepremisesoftheSupplieroritssubcontractorsallreasonablefacilitiesandassistanceincludingaccesstodrawingsandproductiondatashallbefurnishedtotheinspectorsatnochargetothePurchaser.ShouldanyinspectedortestedGoodsfailtoconformtotheSpecificationsthePurchasermayrejecttheGoodsandtheSuppliershalleitherreplacetherejectedGoodsormakealterationsnecessarytomeetspecificationrequirementsfreeofcosttothePurchaser.ThePurchasersrighttoinspecttestandwherenecessaryrejecttheGoodsaftertheGoodsarrivalattheportofdestinationand/orthesiteshallinnowaybelimitedorwaivedbyreasonoftheGoodshavingpreviouslybeeninspectedtestedandpassedbythePurchaseroritsrepresentativepriortotheGoodsshipmentfromthecountryoforigin.TotalTableofContentsVolumeOneInstructionstoBiddersTermsandConditionsofContractContractFormAttachmentsVolumeTwoInvitationforBidsBidDataSheetContractDataSheetScheduleofRequirementsandTechnicalSpecificationsThesuppliershallhavethemanufacturerbeforemakingdeliverycarryoutapreciseandcomprehensiveinspectionoftheGoodsregardingqualityspecificationperformancequantityandweightandissueaqualitycertificatecertifyingthattheGoodsareinconformitywiththestipulationsintheContract.ThequalitycertificateshallformanintegralpartofthedocumentstobepresentedtothenegotiatingbankforpaymentbutshallnotberegardedasfinalwithrespecttoqualityspecificationperformancequantityandweightParticularsandresultsIfthetestsmadebythemanufacturershallbeshowninastatementtobeattachedtothequalitycertificate.AfterarrivaloftheGoodsattheportofdestinationand/orthesitethePurchaserQuarantineofthePeoplesRepublicofChinaSAIQhereinaftercalledtheAdministrationforinspectionoftheGoodswithrespecttoqualityspecificationquantityandweightandapost-deliveryinspectioncertificateshallbeissuedthereof.IfdiscrepanciesarefoundbytheAdministrationregardingspecificationorquantityorboththePurchasershallhavetherighttoclaimagainsttheSupplierwithinninety90calendardaysafterarrivaloftheGoodsatthesite.IfduringthewarrantyperiodspecifiedinTCCClause18andasaresultofinspectionbytheAdministrationorotherwiseitisfoundthatqualityorspecificationsoftheGoodsarenotinconformitywiththeContractoriftheGoodsoriftheGoodsareproventobedefectiveforanyreasonincludinglatentdefectsortheuseofunsuitablematerialsthePurchasershallpromptlynotifytheSupplieroftheexistenceofaclaim.NothinginTCCClause8shallinanywayreleasetheSupplierfromanywarrantyorotherobligationsunderthisContractPackingTheSuppliershallhavetheContractGoodspackedstronglyandshalltakemeasuretoprotecttheContractGoodsfrommoisturerainrustcorrosionandshocketc.Accordingtotheirdifferentshapeandspecialfeaturesastowithstandnumeroushandlingloadingandunloadingaswellaslong-distanceseaandinlandtransportationandtoensurethesafearrivaloftheGoodsattheContractsitewithoutanydamageorcorrosionTheSuppliershallbeliableforanyrustdamageandlosscausedbyinadequateorimproperpackingprovidedbytheSupplier.MarkingforShipmentTheSuppliershallmarkthefollowingonthefouradjacentsidesofeachpackagewithindeliblepaintinconspicuousEnglishprintedwords；CONSIGNEECONTRACTNUMBERSHIPPINGMARKCONSIGNEECODEPORTOFEDSTINATIONNAMEOFGOODSANDITEMNO.CAWENO.GROSS/NETWEIGHTKGMEASUREMENTLENGTHXWIDTHXHEIGHTINCMIfanypacka TheSuppliershallberesponsibleforbookingshippingspaceandarrangingtheshipmentandshallpayforthefreightsoastoensurethattheGoodswillbedeliveredaccordingtothetimescheduledstipulatedintheContract.ThedateoftheBillofLading/AirwayBillshallbeconsideredastheactualdateofdeliveryoftheGoods.UnlessotherwiseagreedshipmentoftheGoodsondeskandtransshipmentoftheGoodsfromthecountryoforiginoftheGoodsshallnotbeacceptable.Theshipmentshallbecarriedbyvesselbelongingtoeligiblesourcecountries.Theportofdestination/projectsiteshallbethatspecifiedintheTCCDateSheet.IntheCaseofEX-WorksContract TheSuppliershallarrangetheinlandtransportationatthePurchasersexpense.ThedateofthereceiptissuedbythetransportationdepartmentconcernedshallberegardedasthedateofdeliveryoftheGoods.InthecaseofFOB/FCAContract TheSuppliermaybookshippingspaceandarrangetheshipmentatthePurchasersexpense.ThedateofBillofLading/AirwayBillshallbeconsideredastheactualdateofdeliveryoftheGoods.UnlessotherwiseagreedshipmentoftheGoodsondeskandtransshipmentoftheGoodsfromthecountryoforiginoftheGoodsshallnotbeacceptable.Theshipmentshallbecarriedbyvesselbelongingtoeligiblesourcecountries.Theportofdestination/projectsiteshallbethatspecifiedintheTCCDateSheet.TheSuppliershallnotshipmorethanthecontractedquantityorweight.IfsothePurchasershallnotberesponsibleforanycostorotherconsequencesarisingfromshipmentofexcessquantitiesorweight.ShippingAdviceIntheCaseofCIF/CIPContract asspecifiedinTCCDataSheetandTechnicalSpecifications.WarrantyTheSupplierwarrantsthattheGoodssuppliedundertheContractarenewunusedofthemostrecentorcurrentmodelsandthattheyincorporateallrecentimprovementsindesignandmaterialsunlessprovidedotherwiseintheContractTheSupplierfurtherwarrantsthatallGoodssuppliedunderthisContractshallhavenodefectarisingfromdesignmaterialsorworkmanshipexceptwhenthedesignand/ormaterialisrequiredbythePurchasersspecificationsorfromanyactoromissionoftheSupplierthatmaydevelopundernormaluseofthesuppliedGoodsintheconditionsprevailinginthecountryoffinaldestination.ThiswarrantyshallremainvalidfornumberofmonthsasspecifiedinTCCDataSheetafterthedateoffinalacceptanceofthegoodsforthisContractornumberofmonthsasspecifiedinTCCDataSheetafterthedateofarrivalofthelastshipmentofthegoodsattheportofdestinationwhicheveroccursearlier.ThePurchasershallpromptlynotifytheSupplierinwritingofanyclaimsarisingunderthiswarranty.UponreceiptofsuchnoticetheSuppliershallwithintheperiodspecifiedinTCCDataSheetandwithallreasonablespeedrepairorreplacethedefectiveGoodsorpartsthereofwithoutcoststothePurchaser.IftheSupplierhavingbeennotifiedfailstoremedythedefectswithintheperiodspecifiedthePurchasermayproceedtotakesuchremedialactionasmaybenecessaryattheSuppliersriskandexpenseandwithoutprejudicetoanyotherrightswhichthePurchasermayhaveagainsttheSupplierundertheContract.ClaimsIncasetheSupplierisliableforthediscrepanciesandaclaimislodgedbythePurchaserwithinthetimelimitofinspectionerectioncommissioningacceptancetestandthewarrantyperiodasstipulatedinTCCClause18orelsewhereintheContracttheSuppliershallsettletheclaimwiththeagreementofthePurchaserinoneoracombinationofthefollowingways:AgreetotherejectionoftheGoodsandrefundtothePurchaserthevalueoftheGoodssorejectedinthesamecurrencyasspecifiedinthesamecurrencyasspecifiedintheContractandtobearthelossesandexpensesincurredincludinginterestaccruedbankingchargesfreightandinsurancepremiumsinspectionchargesstoragestevedorechargesandothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedGoods.DevaluetheGoodsaccordingtothedegreeofinferiorityextentofdamageandamountoflossessufferedbythePurchaserasagreedbetweenthePurchaserandtheSupplier.ReplacethedefectiveGoodswithnewpartscomponentsand/orequipmentwhichconformtothespecificationsqualityandperformanceasspecifiedintheContractand/orrepairthedefectiveGoodsattheSuppliersexpensesandrisksandbearalldirectlyrelatedexpensessustainedbythePurchaserTheSuppliershallatthesametimeguaranteethequalityofthereplacedGoodsforafurthercorrespondingperiodaccordingtoTCCClause
