工业产品采购合同2工业产品采购合同TheBuyer:买方XXXXXXXXXXXXTheSeller:卖方ThisContractismadebyandbetweenBuyerandSeller;wherebyBuyeragreestobuyandSelleragreestoselltheundermentionedcommodityaccordingtothetermsandconditionsstipulatedasfollows.本合同由买卖双方共同签署，双方同意就列名的商品及规定的条款予以执行Remark:备注Alldeliveriesandservicesarebasedonthefollowingconditionsandadditionalcontractagreements.Purchasingconditionsofthebuyerarenotpartofthecontract.Acontractisachievedwiththesignatureofbothsides.所有交付内容与服务均须按照下列条款余补充合同协议进行买方的采购条款不包含在本合同中合同经双方签字后即生效Alldocumentsofthequotationsamplestestresultsdrawings...insoftorhardformarethepropertyofthesupplier.Allrightsarereservedbythesupplier.Itisstronglyforbiddentogiveaccesstotheseinformationstothirdparties.Thesellercommitsnottopassinformationsanddocumentsthataremarkedconfidentialtothirdpartieswithoutandonlywiththewrittenpermissionoftheseller所有以任何电子或者纸质的报价文件（与样品、测试结果、图纸等）应为供货方的财产供货方保留全部与之有关的权利严格禁止向第三方提供此类信息供货方承诺未经买方书面许可不将标有“机密”字样的信息与文件转交第三方Itisexpectedthatthebuyerwillpromptlyreviewincomingshipmentsofthesellersproductsforcompletenessandaccuracy.Thesellerwillcorrectdocumentedshortagesorerrorsinshipmentprovidedthatthesellerisnotifiedofsuchshortagesorerrorwithin30daysofinvoicedate.买方应及时检查卖方到货是否完整与准确卖方应更正记录的装运短缺或者错误，但需在发票日期之后30天内收到有关此类短缺或者错误的通知Productdescription:产品描述Detailedtechnicaldata/descriptionreferstofinalquotationPAxxxx.具体技术参数详见项目报价PAxxxxoTermsofpayment:付款条件40%downpaymentwithinoneweekuponcontractsigned.40%预付款合同含税总价，合同签署后一周内到帐25%withinoneweekafterdesignconfirmation.设计确认后一周内支付25%货款30%withinoneweekafterpre-acceptanceatSellersplantthenstartconsignmentflow.在卖方工厂预验收结束后一周内支付30%货款，付款后启动发货流程5%withinoneweekafterthefinal-acceptance终验收后一周内支付5%货款Remarks:RMBpriceiswithoutfurtherregulationsDDPincludingpackageanddeliverybutwithoutunloadingatcustomerside.人民币价格为不计合同签订之后调整的完税后交货价格，包含包装与交付费用，但不包含客户方的卸货费用EUROpriceiswithoutfurtherregulationsEx-worksincludingloadingatsupplierplantbutwithoutpackageandunloading.Ifnotadditionallymentionedthepriceiswithoutvalueaddedtax欧元价格为不计合同签订之后调整的出厂价格，包含供货方方面的装货费用，但不包含包装与卸货费用如无补充规定，该价格不包含增值税Pricetermsandconditionsarethoseineffectattimeoforderandaresubjecttochangewithoutnotice.价格、条款应为签订订单之H有效的价格、条款，且可能随时变化，不再通知Therightofthebuyertoholdbackthepaymentortocalculatewithcounterclaimsisonlygivenwhenitisundisputedbythesupplierorlegallybinding.买方仅在经供货方确认无异议或者经法律程序裁决后方可有权扣留应付款项或者计算索赔Termsofdelivery:交货周期Approx.XXworkingweeksbasedonconditionsbelow:设备估计交货期XX工作周，并基于下列条件Purchasecontractsignedanddownpaymentreceived采购合同签署，与付款条件实现与遵守Correctpartsdrawingandcustomerspecification合格的产品图纸与买方技术要求Correctandenoughsampleparts合格且足够的样品样件Buyermustprovidewrittenconfirmationfordesignapprovalpre-acceptancefinialacceptance;Whenprocessdelayiscausedbythebuyerthedelaywillnotbecalculatedintodeliverytime.买方需对完成的设计评审、预验收、终验收等关键项目进度向买方提供及时的书面回复确认；因买方单方面原因造成项目推进延误的时间，不计入交货周期Whenthebuyerchangesspecificationthedelaywillnotbecalculatedintodeliverytime.买方过程中提出技术变更要求的时间不计入交货期Ifthebuyerdelaystheshipmentortheacceptanceandheisresponsibleforthisheischargedfortheadditionalcoststhatareoccurredbecauseofthedelay.假如买方推迟发货或者延迟接收货物且属于买方责任的，买方应负担为推迟发货而发生的额外费用Ifthedelayifcausedbyhigherforceindustrialactionoractionsthatareoutsideoftheinfluenceofthesupplierthedeliverytimeistobeextendedadequately.Thesupplierhastoinformthebuyerassoonaspossibleaboutthosecircumstances.假如发货由于不可抗力、罢工等供货方无法操纵的原因推迟，交货时间应相应延期供货方应及时将上述情况通知买方Finalacceptance:终验收IftheequipmentcomplieswiththetechnicalandcommercialtermsintheContractthesellerownstherighttorequestatimelyfinalacceptance.假如设备符合合同中所定义的技术及商务条款，卖方将有权要求买方对此设备进行及时终验收FinalAcceptancemustbedonewithinonemonthormachineshaverunupandproducedgoodpartsinonemonthatbuyersplantaftersellersdelivery.终验收须在设备发货后一个月内完成，或者者在设备运行与生产出合格的产品且在发货后一个月内完成终验收Ifthefinialacceptancecannotbedoneintimeandthebuyerisresponsibleforthisthesellerownstherighttorequestfinalpaymentimmediately.假如因买方因素造成终验收未能按时完成，则卖方有权要求买方立即支付项目剩余款项Documentationinduplicate:设备附属文件Manual操作手册Wearingpartsandsparepartslist易损件及备件清单Pneumaticdiagram气动原理图Electricaldiagram电气原理图Warranty:质保期DEPRAGproductsarewarrantedagainstdefectsinworkmanshipanddefectsinmaterial.Liabilityislimitedto12monthsfromthedatewhenfinalacceptanceispassed[singleshiftandexcludingwearpartsandtotheinvoicevalueofthedefectiveitem.DEPRAGproductshavingsuchdefectswillberepairedreplacedorcreditedasDEPRAGelects.ChargeswillnotbeallowedforlabororexpensesincidenttotherepairorreplacementoftheinvoicedDEPRAGproduct.德派将为全产品系列提供制造工艺缺陷与产品材料缺陷方面的质帚保证体系质保期为12个月，按终验收结束之口起算【单班操作；不含设备消耗品】，同时根据缺陷产品的发票列明金额提供对应的质保服务我们将针对出现该类缺陷的产品提供维修，更换或者退还同等价值的费用的服务关于已经开具发票的德派产品，我们确保不向客户征收因以上原因导致的对该类产品进行维修或者更换的人工与材料成本费用Productinsurance:产品保险Inordertocoveranypotentiallossand/ordamagetoourcustomersaswellastoDEPRAGwehavecarriedoutthepolicyofComprehensiveGeneralLiabilityInsuranceincludingPublicLiabilityandProductsLiabilitycoverageonanoccurrencebasiswithlimitsofEUR1000000peroccurrence/inaggregatewhichcoversourLegalLiabilitytoanythirdpartiesarisingfromouroperationand/oroursoldsupplieddistributedrepairedproducts.为了保障可能对我们客户造成的任何缺失或者损害，同时也为了保障我们自身的利益，德派己投保了包含公众责任险及产品责任险的综合责任保险单该保单基于期内发生制的索赔形式，责任限额为“每次事故及全年累计赔偿EUR1000000”保障因我们经营业务发生意外事故、或者因我们生产、出售、分销及修理的产品造成使用、消费或者操作该产品或者商品的人或者其它任何人的人身伤害或者财产缺失所依法应由承担之赔偿责任Wewouldliketopointouthoweverthatanyindirectorconsequentiallossand/ordamagesi.e.profitsproductionratescapitalcostorcostarisingfromfactory-downtimearenotcovered.Claimsfordamagesorlosscausedbydeliverydelaysarealsoexcluded.同时我们声明，任何间接及由此引起的缺失或者损害如利润、产出率、资金成本及企业停工期间的持续成本不予承保由于交货延误所导致的缺失也不予负担Transferofperilsacceptance:风险转移与货物同意ForEurocontractthetransferofperilsisfulfilledwhenthedeliveryitemislefttheplantofthesupplier.Alsowhenthesuppliermadepartialdeliveriesorhastopayormakeotherservicesaccordingtotheorderconfirmationlikeshippingcostandinstallation.欧元合同中货物风险在交付货物离开供货方工厂时完成转移本规定亦适用于供货方部分交货，或者根据订单确认书务必支付装运费用或者提供其他安装等服务的情况ForRMBcontractthetransferofperilsisfulfilledwhenthedeliveryitemarrivesattheplantgateofthecustomer.Alsowhenthesuppliermadepartialdeliveriesorhastopayormakeotherservicesaccordingtotheorderconfirmationlikeshippingcostandinstallation.人民币合同中货物风险在交付货物到达客户工厂门口时完成转移本规定亦适用于供货方部分交货，或者（根据订单确认书）务必支付装运费用或者提供其他安装等服务的情况Partialdeliveriesareacceptableasfarasitisreasonable.合理的分批交付应能够同意Retentionoftitle:所有权保留Thesupplierbeholdstheownershipofthesupplyingparttillthebuyertransfersthelastpayment.在买方支付最后货款之前供货方保留所供应货物的所有权Thesupplierisauthorizedtomakeaninsurancetoprotectthesupplyingpartagainstthieverybreakingfirewaterandotherdamagesasfarasthebuyerdidntmakeinsurance.假如买方未安排保险，供货方有权为所供应的货物投保，以保护货物免于遭受由于盗窃、破旧、火灾、水灾与其他破坏而造成的缺失Thebuyerisnotallowedtomortgageordisposethesupplyingpart.Incaseofconfiscatoryormortgagefromathirdsidehehastoinformthesupplierimmediately.买方无权将所供应的货物抵押或者自行处置所供应的货物假如第三方没收或者抵押所供应的货物，买方应及时通知供货方Ifthebuyeractscontrarytocontractspeciallyincaseofmissinglastpaymentthesupplierisabletogetthesupplyingpartbackafterheurgedthebuyerandthebuyermustgivebackthesupplyingpart.Togettheretentionoftitledoesnotexterminatetheexistingcontract.假如买方在未支付最后货款之前违反合同，供货方在要求买方纠正其过错行为之后有权收回所供应的货物；卖方务必退回所供应的货物获得所有权保留权不得解除本合同Inthecaseofinsolvencythesupplierisauthorizedtoterminatethecontractandimmediatelytogetthesupplyingpartback.假如买方发生无力偿债的情况，供货方有权终止本合同并立即收回所供应的货物Failingclaims:违约索赔GENERAL:基本规定Forcasualtyfailingsofthedeliverythesupplieristakingwarrantyforthefollowingcasesbutwithoutanyfurtherclaims.TheproductiswarrantedtotheoriginalbuyerbyDEPRAGAssemblyTechnologiesSuzhouCo.Ltd.假如发生严重的不能交付货物的事件，供货方承担下列情况下的保证义务，但不承担除此以外的任何赔偿责任德派装配自动化技术（苏州）有限公司向最初买方为产品提供保证DEFECTSASTOQUALITY:与质量有关的缺陷Allimperfectlypartsaretobereplacedormodifiedbythesupplierthatbecameimperfectlycausedbyacircumstancethattookplacebeforethetransferofperils.Thesupplierhastobeinformedabouttheimperfectlyimmediatelyinwrittenform.Thereplacedpartsbecomingownershipofthebuyer.假如缺陷由在风险转移前发生的事件引起，有缺陷的产品应由供货方维修或者更换或者改造买方应在发现缺陷后立即书面通知供货方被更换的部件应为买方所有Thebuyerhastogivethesupplierenoughtimeandthepossibilitytomakethenecessarymodifications.Otherwisethesupplierisexemptfromliabilityandthefollowingresults.Onlyinurgentcaseswhenthesupplyingpartiscausingdangerforoperationalsafetythebuyerisallowedtomakechangesonhisownorthirdpartiesandtochargethesupplierforthemodificationcost.买方须给与供货方足够的时间与机会完成必要的改造否则供货方不为有缺陷的货物或者其造成的后果承担任何责任买方仅在供应的货物可能威胁到操作安全的紧急情况下有权自己或者授权第三方对所供应的货物进行改动，并向供货方索取改造费用Thecoststhathavetobepaidbythesupplierasfarasthecomplaintisjustifiablebecauseofthemodificationareforthereplacementpartincludingtheshipmentcostandtheinstallationifthecostsaresuitable.假如申诉合理，由于改动而务必由供货方支付的费用，包含合理的替换件及其发货费用与安装费用Nowarrantywillbetakeninthefollowingcases:Improperfailureorunsuitableusageinstallationofthebuyerorthirdpartiesnaturallywearoutnopropermaintenancenosuitableequipmentunsuitablegroundchemicalorelectromechanicalorelectricalinfluencesasfarthebuyerhastotakeresponsibilityforthem.下列情况供货方不提供保证买方或者第三方对所供应货物不正确、不适当的使用、安装而造成的缺失；自然磨损由于保护保养不当而引起的故障；缺少适当设备；不正确的施工作业；应由买方负责的不适当化学的，机电或者者电气影响Ifthebuyerorathirdpartyismakingchangesinanunprofessionalwaythesuppliershowsnoresponsibilityforthefollowingresults.Thesameisforchangesormodificationsthatweremadewithoutthepermissionofthesupplier.假如买方或者者以非专业的方式进行改动，供货方不负责承担其后果本条规定也适用于未经供货商而擅自进行的改动或者改造RESPONSIBILITIES:责任Fordamagestothingsorpersonsacceptthesupplyingpartthesuppliertakesresponsibilityonlyinthefollowingcases:AtintentionAtworsecarelessnessoftheownerofthesuppliercompanyorleadingmanagersCulpablydamageofhealthbodyorliveAtdefectsthatthesupplierthathedidnotannouncedwithbadintentionorheguarantiestheirabsence.假如发生与同意供应货物的人员或者其设备发生缺失，供货方仅在下列情况下负责a.供货方有意造成的缺失；b.由于供货方公司的上级机构或者主管经理的严重疏忽失职造成的缺失；c.应由供货方负责的健康缺失及伤亡；d.供货方恶意隐瞒或者声称不存在的缺陷造成的缺失；Forculpablyviolationofthecontractthesuppliershowsresponsibilityinthecaseofworsecarelessness.供货方有严重疏忽失职行为而造成的应由供货方负责的违约；Furtherclaimsarenotacceptable.供货方不同意其他索赔PERIODOFLIMITATION:责任期限Allclaimsofthebuyer-whatsoreasonever-areprescribedafter12months.买方由于任何原因而提起的索赔，有效期为12个月Arbitration:法院仲裁Fortheentirecontractarisingasaresultofthisorcontract-relateddisputesthecontractshouldberesolvedbythetwosidesthroughfriendlyconsultationsifconsensuscannotberesolvedthedisputeshouldbereferredtoarbitration.关于所有因本合同引起的，或者与本合同有关的纠纷，合同双方应通过友好协商解决若无法通过协商解决，应将纠纷提交仲裁解决Arbitrationw川beinlocalcourtofselleraccordingtothelaw.仲裁在卖方所在地依法进行Arbitrationcostsbornebythelosingparty仲裁费用将由败诉方承担Arbitralawardisfinalrulingbindingonbothparties.仲裁裁决是终局裁决，对双方均有约束力Duringthearbitrationwiththeexceptionofthearbitrationprocessispartofthearbitrationotherpartsofthecontracttocontinue.仲裁期间，除正在仲裁过程中进行仲裁的部格外，本合同其他部分继续执行Others其他约定事项:ThefinalquotationPAXXXXXXXXBandSpecificationRequirementXXXXXXJul-11-2007areattachmentofthiscontracthasthesamelegalforceasthiscontracttext.ThiscontractismadeinEnglishlanguageandinChineselanguage.IncaseofanydiscrepancytheChineseversionshallprevail.项目报价PAXXXXXXXXB与买方的技术协议XXXXXXXJuM1-2007为本合同附件与本合同文本具有同等法律效力本合同使用中英文参照，如两者发生抵触时，则以中文为准Ifthereareanyunaccomplishedmattersinthiscontractthetwopartiesmaysolvethemthroughfriendlynegotiation.本合同未尽事宜，买卖双方友好协商解决Thiscontractismadein2originalcopiesandbecomevalidaftersignatureandsealbybothparties.Eachpartyshallkeep1copy.本合同一式2份，双方签字盖章后生效，双方各持1份为证序号No.产品名称Productname制造商国别Manufacturernationality1单位数量Quant一iy单价RMBUnitpriceSum/合计:¥XXXXXXX.XXVAT/增值税:¥XXXXXXX.XXTotalPricewithVAT/含税总价¥XXXXXXX.XX。
