一、贷款金额万元RMB

二、贷款期限至少一年，最长三年乙方有权根据履行情况和甲方经营情况决定年限，每一年贷款期满之前一个月内确定贷款起始日为年月日20XXXXXX

三、贷款利率及计收方法、贷款利息为每年年贷款发生之前七个工作日内支付120XX、本协议签定之日起三日内，甲方向乙方支付前期费用万元，该费用在2贷款到位后直接抵作利息若没有到位，乙方应无条件立即返还，并按照月利承担2%违约金

四、贷款用途本贷款本金部分限于支付费用，必须专款专用，未经贷款人同意，不得挪作他用

五、贷款使用本合同签订之日起三个月内，甲方应将其签订的有关甲方买卖等重要合同

六、贷款偿还如借款人不能按期还款，最迟在贷款到期前十五天应向贷款人提出书面展期申请，届时贷款人可按有关规定作出处理意见逾期或贷款人不同意展期的贷款，自过期之日起，加收的罚息〜20%50%为有利于还款，借款人应在贷款人处开立还款准备金账户，将用于还款的资金RMB先予存入，待外汇额度落实后再结汇偿还贷款

七、还款担保本合同项下的贷款本息由作为借款人的担保人，并由担保人向贷款人出具担保函，作为本合同不可分割的组成部分一旦借款人不能按期偿还贷款本息，经贷款人发出书面通知，由担保单位承担还本付息责任本贷款项下有关进出口结算业务，应通过中国银行进出口业务部叙做

八、违约和违约处理下列情况均属借款人违约.借款人未能按合同计划用款和还本付息1未经贷款人同意改变贷款用途或挪作他用

2.未经贷款人同意借款人私自转卖用贷款购置的物品

3..借款人违反本合同其他条款事项4根据违约情况，贷款人有权采取下列措施

1.注销借款人未使用的贷款

2.对违约部分贷款加收最高为的罚息50%

3.冻结借款人在贷款人处的存款，并追回贷款4向贷款担保人追索贷款.

5.借款人和担保人未能履行合同还款责任时，贷款人有权从借款人和担保人在各金融单位存款账户中主动扣收还贷款项6采取其他必要手段直至依法索偿应付未付贷款本息及费用.
