中英文外贸代理合同范本中英文外贸代理合同范本本合同编号No日期Date本协议双方为了进展贸易，在平等互利的基础上，按下列条件签定本协议This agreementis enteredinto betweenthe parties concerned onthebasis ofequality andmutual benefitto developbusiness ontermsand conditionsmutually agreedupon asfollows1订约人Contracting Parties供货人Supplierhereinafter calledParty A销售代理人:Agenthereinafter calledParty B甲方托付乙方为销售代理人，推销下列商品Party Ahereby appointsparty Bto actas hisselling agentto sellthecommodity mentionedbelow.2商品及数量或金额Commodity andQuantityor amountItis mutuallyagreed thatParty Bshal1undertake tosell notlessthan of the aforesaidcommodityin the duration of this Agreement.3经销地区只限在销售Territory Inonly.4定单确实认Confirmation ofordersThe quantities,prices andshipment of the commoditiesstated inthisAgreement shall be confirmedfor eachtransaction,the particularsofwhich areto bespecified inthe SalesConfirmation signedby thetwoparties hereto.5付款订单确认后，乙方须根据有关确认书所规定的时光开立以甲方为受益人的保兑的、不行撤消的即期信用证乙方开出信用证后，应立刻通知甲方，以便甲方预备交货Payment Afterconfirmation of the order,Party Bshall arrangeto opena confirmed,irrevocable L/C availableby draftat sightin favourof Party A withinthe timestipulatedin therelevant S/C.Party Bshal1al sonotify ParyA immediatelyafterL/C isopened,so thatParty Acan getprepared fordelivery.6佣金在本协议期满时，乙方完成了其次款所规定的数额，甲方当按装运货物所受到的所有发票金额付给乙方%的佣金CommissionUpon theexpiration ofthe Agreementand Party Bf ts fullfilmentofthe totalturnover mentionedin Article2,Party A shall payto PartyB______________________________________________________%commission onthe basisoftheaggregate amountoftheinvoice valuealreadypaid byParty Boftheshipments effected.7市场状况报告乙方每三个月向甲方提供一次有关当初市场状况和用户看法的具体报告同时，乙方应随时向甲方提供其它供给商所给的类似商品的样品及其价格、销售状况和广告资料Reports onMarket ConditionsParty Bshallforward onceevery threemonths to Party Adetailed reportson currentmarketconditions andof consumerscomments.Meanwhile,Party Bshall,from timeto time,send toParty Asamples ofsimiliar commoditiesofferedby othersuppliers,together withtheir prices,salesinformaiton andadvertising materials.8宣扬广告费用Advertising PublicityExpensesParty Bshall bearall expensesfor advertisingand publicitywithinthe aforementioned territory inthedurationof this Agreement andsubmittoParty A al1patterns and/or drawingsand descriptionforprior approval.9协议有效期本协议由双方签字后生效，有效期年，自至o若一方希翼延伸本协议，则须在本协议期满前一个月书面通知另一方，经双方商议打算若协议一方未履行协议条款，另一方有权终止协议Validityof AgreementThisagreement,after itsbeing signedby the partiesconcernedshallremain ofin forcefor asfromto Ifeither partywish toextend thisAgreement,he shallnotice,in writing,the otherparty onemonth priorto itsexpiration,the mattershallbedecided byconsent ofthepartieshereto.Should entherparty failto implementthe terms and conditionsherein,the otherparty isentitled toterminate theAgreement.

10.仲裁在履行协议过程中，如产生争议，双方应友好商议解决若通过友好商议未能达成协议，则提交中国国际贸易促进人员会对外贸易仲裁人员会，按照该会仲裁程序暂行规定举行仲裁该人员会打算是终局的，对双方均有约束力仲裁费用，除另有规定外，由败诉一方负担ArbitrationAll disputesarising fromthe executionofthisagreement shallbesettled throughfriendly consultations.In caseno settlementcanbe reached,the casein disputeshall thenbe submittedto theForeignTrad ArbitrationCommission ofthe ChinaCouncil forthe PromotionofInternational Tradefor Arbitrationin accordancewith itsProvisionalRules ofProcedure.The docesionmade bythis commissionshallbe regardedas finaland bindingupon both parties.Arbitrationfees shallbe borneby thelosingparty,unless otherwiseawarded.11其它条款1甲方不得向经销地区其它买主供给本协议所规定的商品，如有询价，当转给乙方洽办若有买主希翼从甲方挺直订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方_____________%的佣金2若乙方在月内未能向甲方提供起码的订货，甲方不担当本协议的义务3对双方政府间的贸易，甲方有权按其政府的授权举行有关的挺直贸易，而不受本协议的约束乙方不得干涉此种挺直贸易，也无权向甲方提出任何补偿或佣金要求4本协议受签约双方所签定的销售确认条款的制约11Other TermsConditions1Party Ashall notsupply thecontractedcommodity toany other buyers inthe abovementionedterritory.Direct enquiries,if any,will bereferred toParty B.Howerver,should anyotherbuyerswish todeal withParty Adirectly,PartyA maydo so,But Party Ashallsend toParty Ba copyof salesconfirmai tonand giveparty B%commissions concluded.2Should Party B failto passon hisorders toParty Ain aperiodof monthsfor aminimumof,PartyAshall notbind himself to thisAgreement.3For anybusiness transactedbetween governmentsof bothParties,PartyAmay handlesuch direct dealings asauthorized byParty Arsgovernment withoutbinding himselftothisAgreement.Party Bshallnot interferein suchdirectdealings,nor shallPartyBbring forwardanydemand forcompensation therefrom.4This Agreementshall besubjectto thetermsandconditions inthe SalesConfirmation signedbybothpartieshereto.本协议于_____年_月—日在签定，正本两份，甲乙双方各执一份This Agreementis signedon________/___/_____at____and isintwo originals,each partyholds one.甲方PartyA乙方PartyB签字Signature签字Signature。
