外贸代理合同外贸代理合同本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议This agreementis enteredinto beteenthe partiesconcerned onthebasis ofequality andmutual benefitto developbusiness onterms andconditionsmutually agreedupon asfolios:1订约人Contracting Parties供货人Supplier销售代理人Agent甲方委托乙方为销售代理人，推销下列商品Party Ahereby appointsparty Bto actas hisselling agentto sellthemodity mentionedbelo.2商品及数量或金额Commodity andQuantity oramount双方约定,乙方在协议有效期内，承销不少于的上述商品It ismutually agreedthat Party B shallundertake tosell notlessthan of the aforesaidmodity inthe durationof thisAgreement.3经销地区只限在销售Territory Inonly.4定单的确认关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定Confirmation ofordersThe quantities,prices andshipment of the moditiesstated inthisAgreement shallbe confirmedfor eachtransaction,the particularsofhich areto bespecified inthe SalesConfirmation signedby thetoparties hereto.5付款订单确认后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证乙方开出信用证后，应立即通知甲方，以便甲方准备交货PaymentAfter confirmationof theorder,Party B shall arrangeto openaconfirmed,irrevocable L/C available bydraft atsight infavour ofParty A ithinthe timestipulated inthe relevantS/C.Party B shallalso notifyPary Aimmediately afterL/C isopened,so thatParty Acanget preparedfor delivery.6佣金在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所受到的全部发票金额付给乙方%的佣金CommissionUpon theexpiration of the Agreementand Party Bsfullfilment ofthetotal turnovermentioned inArticle2,Party Ashall payto PartyB%mission onthe basisoftheaggregate amountoftheinvoice valuealreadypaid byPartyBoftheshipments effected.7市场情况报告乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料Reports onMarket ConditionsPartyBshallforard onceevery threemonths toParty Adetailedreports oncurrent marketconditions andof consumersmerits.Meanhile,PartyBshall,from timeto time,send toPartyAsamples ofsimiliarmodities offeredby othersuppliers,together iththeir prices,salesinformaiton andadvertisingmaterials.8宣传广告费用。
