compensationfor theprice of the machines andequipment,andWhereas Party A agreesto purchasefrom Party B the machines and equipment,andWhereas Party A agreestosellto Party B the products,,in compensationofthe priceof Party Bs machines andequipment;Now therefore,in considerationofthe premisesand covenantsdescribed hereinafter,Party Aand Party B agreeafollows:ARTICLE1TRANSACTIONSA Party B agreesto provideParty Awith machinesto beusedinproduction,their auxiliarymachinery,accessories andspare partsand avariety ofmeasuringand testinginstruments requiredin theprocess ofproduction.The detailsof themodels,names,specifications,quantity,prices,packing,delivery,etc.thereofshall bespecified inan additionalequipment-import agreement to beconcludedby andbetween both parties which shall serve as ancomponent parthereof.B Thetotal value of themachines,auxiliary equipment,etc.supplied bypartB shall be paidoff by Party Awith partof themanufactures madetherewithand/or othergoods,or withdesignatenameproducts madein Name of theplantif both parties agree.The specificname s,quantity,price,delivery,etc.ofthe goodsgranted asthe make-up paymentshall bedecided inan additionalcompensationgoods-supply agreementmade by the partieswhichshallserveasacomponent parthereof.The equipment-import agreement andcompensation-goods-supply agreement aforesaid may be mergedas onecalled salesagreementon compensationtradeSee appendix.ARTICLE2PAYMENTBoth partiesagree toopen letters of credit in favorof eachother,i.e.Party Awill open,at regularintervals,long term letters of creditin favor ofParty B topay byinstallments the total cost of themachinesand auxiliaryequipment provided by Party B;whereas Party B will open sight letters of creditin favorof Party A topay theproducts to be delivered by Party A.Party A shallpay for the totalcostof themachinesand auxiliary equipment with the moneyremittedby PartyB asreimbursement for theproductsto bedeliveredby PartyA.In casethe sumto bepaid by PartyBfails tocover thevalueof the long-termletters of credit opened by Party A,the differenceshall bemade upbyPartyBby payingthat muchto Party A inadvance,before the long-term lettersof creditaredue,to enableParty Ato reimburseon timethelong-term lettersof credititopens.The paymentof thelong-term lettersof creditopenedbyParty A is basedonPartyBsopening asightletter ofcreditunder theprovisions andon itspayingthe advancerequired herein.Thus,PartyBwarrants,guarantees andcovenants thatitwillopenthe lettersofcreditand pay the advanceas providedherein.ARTICLE3REIMBURSEMENTParty Ashall reimbursePartyBfor allthemachinesand auxiliary equipmentsupplied byPartyBby deliveringgoods to PartyBon amonthly basisand thereimbursementwill lastfor yearsandmonths s.The reimbursement shall startapproximatelymonths afterthe firstdeliveryof themachinesand,in principle,the moneytobereimbursed permonthshall bepercent of thetotalamount dueforthemachines.With amonths noticetoPartyB,Party Amay reimburseParty Binadvance.Within thereimbursement period,PartyB shall,under theprovisions oftheadditional salesagreementaforesaid,open,sight,irrevocable,divisible andassignablelettersofcredit,covering thefull amount,infavorof PartyA.ARTICLE4STANDARD MONEYAND PRICESTANDARDThe standardmoney forthis transactionis Name of currency.All themachinery,auxiliaryequipmentand measuringand testinginstruments,etc.providedbyPartyBshall be valued withName of currency,while thegoodsprovided byPartyAtoPartyB asreimbursementshall bevaluedwiththebasisprice Nameofcurrencyofthesame goodsexported byPartyAat the time whenthis agreement isentered into,and thetotal priceNameofcurrency shall bechanged intothat ofNameofcurrency inaccordance withthe exchangerate then.ARTICLE5INTRERESTParty Ashall paythe intereston itslong-termlettersofcreditand theintereston thecash inadvance renderedbyPartyB.The annualinterest rateisagreed uponat%.ARTICLE6TECHNICAL SERVICEThemachinery,after arrivalat itsdestination,shall beinstalled byPartyA,PartyBshall dispatchits techniciansto renderspot instructionsand othernecessarytechnical assistanceduring theinstallation ofthe mainmachines,asmay berequested byPartyAin caseof necessity,PartyBshall beliable forthelosses resultedin sucha courseof installationfrom technicaldefault onitspart.ARTICLE7ADDITIONAL EQUIPMENTDuringthe enforcementof this agreement,if itis foundnecessary that,inaddition tothe machineryandequipmentlisted herein,some newaccessories ormeasuringand testinginstruments areneeded forcompletion ofthe project,anadditional ordersmaybemade throughnegotiation bythe parties.The newitemsthus addedshall beincorporated inagreement.ARTICLE8INSURANCEThe machineryandauxiliaryequipment,after shipment,shall beinsured byPartyB.The titlethereof shall be transferredinto PartyB afterfull paymentthereforeis madebyPartyB,thereafter,the unforeseeablelosses concerningthemachinery andauxiliaryequipmentshallbeindemnified forfirst bythe InsuranceCompanytoPartyB,then PartyBshallremit for PartyA,in proportion,the sumalreadypaid byPartyAforthemachinery orequipment involvedin thecontingency.ARTICLE9LIABILITY FORBREACH OFAGREEMENTParty Bshall,if itfails tocomply with thisagreementto makepurchaseof thegoods deliveredbyPartyA asreimbursement,orPartyAshall,if itfailsto complywiththisagreementtodeliver thegoods itis dueto provide,be deemedliablefor abreach ofagreementand shall compensatethe non-breaching Partyforthe losscaused thereuponandshallpaythenon-breaching Partya fineaccountingfor%ofthetotal valueofthegoods inquestion.ARTICLE10PERFORMANCE GUARANTEEToguarantee theimplementation of thisagreement,each partyshall submittothe other party aletterofguarantee issuedby itsbank respectively.Theguaranteeing bankof PartyAisBank,,while theguaranteeing bankof PartyBis Bank,.ARTICLE11AMENDMNETThe modificationof thisagreement inparticular casesshallbeagreed uponbyboth partiesthrough negotiations.ARTICLE12Force MajeureIncase thatone orboth partiesare impossibleto performthe dutiesprovidedherein onaccount offorce majeure,the partyor partiesin contingencyshallinform theotherpartyor eachother ofthe caseimmediately andmay,providedthe caseis dulyverified bythe competentauthorities,delay inperformance ofornot performthe relevantduties hereunder the bepartially orentirely exemptedfromthe liabilityfor breachofthisagreement.ARTICLE13ARBITRATIONAny disputearising fromor inconnection withthis Contractshallbesubmittedto ChinaInternational Economicand TradeArbitration Commission,ShenzhenCommission for arbitration whichshallbeconducted inaccordance withtheCommissions arbitrationrules ineffect atthetimeof applyingforarbitration.The arbitralaward isfinal andbinding uponbothpartiesand theapplicable lawisthe materiallaw ofP.R.C.Notwithstanding anyreference toarbitration,both Partiesshall continuetoperform theirrespective obligationsundertheContract unlessotherwise agreed.ARTICLE14LANGUAGE ANDEFFECTIVE DATEThereare twooriginals hereofmade respectivelyin Chineseand bothof whichareofthesame effect.This agreementshall comeinto effecton thedate whenbothpartiesset theirhandshereunto andremain effectivefor years.Upon itsexpiration,the partiesmay,if theychoose,extend theterm hereoffor yearsor executea newcooperationagreement,provided theyapply toand approvedbytheAuthority agenciesconcerned.PartyAParty BRepresentativeof
