一、采购内容及收付款乙方向甲方采购品类产品，共品种，数量产品;采购清单见附件L〈采购订单》收款信息企业名称The Name of Company企业开户银行Name of Company Accountdaysin advance,and itneeds theconfirmation of Party Bs agreementtosupplement theagreement,make clearthe responsibilityand arrangementfor delivery,etc.If PartyA fails toperform in accordance with the provisionsmentioned above,it shouldpaythe breachpenalty to Party Baccording to**payables perday.Thegoods that Party Afailed todeliver onschedule,Party Ashall provideforPart Bby allocatingmethods suchas supplyingcorresponding goodsto meet thedemand of Party Bs retailorders caused by thedelays.假如甲方违约不按期交货超过7（包括）天或者乙方违约终止采购，都应当承担本订单总价款**的违约金If Party A delaysdelivery over7（containing）days orParty Bterminatesprocurement,both theparties shall bear**penalty of the totalprice of theorder due to breachof contract.

2、如由于“第四条”中约定的I乙方未准时履行对应的（款项支付，并没有提前书面通知甲方获得甲方同意U勺，则甲方可规定乙方执行按每天**时应付款项支付滞纳金；

3、甲方对交付商品需严格遵守本协议第二条日勺质量约定，假如交付商品保质期与约定不符乙方可规定退货退款，由此导致的有关费用需要甲方承担;如由于交付的商品质量不符或者证明假冒伪劣产品而导致对乙方的I任何损失，甲方需承担全部责任

3.Party Amust strictlyabide by the contractterms on the qualityof thedeliveringgoods inArticle2of the contract.If theexpirationdate of the deliveryof goodsdoes notaccord with the contract,Party Bmayrequest returnsand refunds,and theresulting relatedexpenses shall be bornebyParty A;If anyloss ofParty Bcausedbythe goodsthat turnout tobe fakeorinferior products,Party Ashall takeall responsibility.若违约金局限性以弥补守约方损失欧I,违约方应当赔偿给守约方导致的一切损失包括直接损失、可得利益损失及主张权利的费用等If thepenalty isnot enoughto makeup forthelossto the other party,theparty inbreach shallcompensate forall thelosses forthe other party includingdirectloss,loss ofexpectation benefitand costof advocatingrights,etc..

六、其他事项

1、协议的J解除与终止

1.RevocationTermination ofContract双方协商一致的I,可以终止协议的I履行一方根本性违约的I,另一方有权解除协议，但应当及时书面通知到对方If bothsides reacha unanimousagreement throughconsultation,they canterminatethe implementationof the contract.If one party hasbreached the contractfundamentally,the otherpartyis entitledto terminatethe contractbut shall timely notify the otherpartyin writtenform.

2、不可抗力

2.Force Majeure36页共6页因火灾、战争、罢工、自然灾害等不可抗力原因而致本协议不能履行的I,双方终止协议的履行，各自的损失各自承担不可抗力原因消失后，双方需要继续履行协议的，由双方另行协商If the contract isunable tobe carriedout owingto fires,wars,strikes,natural disastersand otherforce majeurefactors,both partiescan terminatethe performance ofthe contract and eachof themshall bear their lossesrespectively.After allforce majeurefactors vanish,if both parties need tocontinue toperform the contract,they shallseparately discussover it.因不可抗力终止协议履行的I一方，应当于事件发生后15日内向对方提供有权部门出具日勺发生不可抗力事件的证明文件并及时通知对方未履行通知义务而致损失扩大的I,过错方应当承担赔偿责任If anyparty terminatestheperformance of contractdue toforce majeure,it shall provide theother partywith certifyingdocuments that are issuedbyauthoritative departmentand provethe occurrenceof force majeure eventwithin15days afterthe incidenthappens and shall promptlynotifytheotherparty.If anyparty failsto fulfillits obligationsso astocause furtherlosses,the blamableparty shall be liableforthecompensation.

3、其他约定事项

3.Other StipulatedMatters,双方联络人或授权代表在履行协议过程中对对方所作的I任何承诺、通知等，若以书面盖章确认日勺，都对对方具有约束力，具有不可撤销性,In theprocess ofperforming the contract,if allcommitments andnotificationsmade bythecontact personsfor twosides orauthorized representativesareconfirmed throughwrittenand affixed seal form,they areall bindingto eachother andhaveirrevocability.,签订或履行协议过程中，非经对方书面同意和盖章确认日勺，一方对另一方任何人员的个人借款，均不构成一方对另一方的I预付款或已付款款项,In theprocess ofsigning orimplementing the contract,unless onepartygains thewritten consentand approvalin theform ofaffixedseal,the personaldebt ofoneparty toanypersonnel oftheotherparty doesnot constitutethe prepaymentorprepaid itemsof oneparty to theotherparty.,双方联络地址、电话等信息发生变化的I,应当及时通知到对方，因信息变更等原因导致一方损失日勺，由过错方承担对应的责任第7页共7页,If thereis anychange ininformation suchas theaddress andphone numberof both parties,oneparty shalltimelyinform theotherparty.In thecase thatchangeof informationcauses lossesto oneparty,the faultypartyshall bearthecorrespondingresponsibility.,本协议未约定的J事项，由双方另行签订补充协议，补充协议与本协议书具有同等法律效力,As forthe mattersthatarenot mentionedor agreedin thecontract,bothparties shallenterinto supplementaryagreements.The supplementaryagreements havethesame legaleffectas this contract.,甲方应当在签订协议步向乙方提供其合法经营的证明文件，并加盖有法律效应欧I企业公章或法人签订确认，作为本协议的I附件,签订本协议步，双方确认的协议附件为本协议不可分割的I构成部分，与本协议具有同等法律效力,At thetime ofsigning thiscontract,thecontractannex confirmedby thetwoparties shallact as the inseparablepart ofthecontractand it is equallyvalidwith thecontract.

4、争议处理

五、违约责任

5.Liability forBreach ofContract

1、本协议签订后，自“第四条”定金支付后，假如甲方没有按照协议规定日勺日期供货，除本协议第六条所规定的I不可抗力之外，如确因特殊原因导致部分或全部订单商品未能按期交付的，甲方需提前7天以书面形式通知乙方，并经乙方确认同意后以补充协议另订责任和交付约定等阐明如甲方未按上述规定执行甲方应按每天**的应付款项支付违约金给乙方未能按期交付日勺订单商品，甲方有义务通过调拨等方式提供对应商品以满足乙方因延期交付产生的零售订单需求
