委托付款协议Entrusted PaymentAgreement甲方卖方Party ASeller乙方买方Party BBuyer丙方受托方Party CEntrustor鉴于Whereas,

1.甲方作为卖方与乙方作为买方已达成买卖合同；

2.乙方因所在国外汇管制等客观原因，拟委托丙方代为支付乙方因买卖合同项下的全部或部分货款

2.Due to the foreign exchange controlin thecountry ofParty Band otherobjectivereasons,Party Bintends toentrust Party C to,for andon behalfofParty B,make afull orpart of the paymentunder the sales contract.三方经友好协商，就待付款事宜协议如下Through friendlynegotiation,both partiesagree uponthe followingtermswith respectto the payment.

1.甲、乙、丙三方一致同意乙方作为买方向甲方购买毛毯等产品，并委托丙方作为付款方向甲方支付相应的货款

1.The threeparties unanimouslyagree thatParty Bas theBuyer shallpurchaseblanket productsfrom Party A andentrust Party C asthe payerto makethecorresponding payment to Party A.

2.委托付款期限自［20XX］年［XX］月［XX］日至新协议签订之日止委托期限届满，若乙方仍委托丙方继续向甲方付款的，须另行签订书面协议

3.The periodof entrustedpayment shall be from［11/18/2020］to thenewagreement signed.When theentrustment periodexpires,if Party B stillentrustsParty Cto continuouslymake thepaymenttoParty A,the partiesshall separatelysigna writtenagreement.

3.丙方仅作为货款的受托支付方，不享有买卖合同项下的权利，即丙方无权就其代为支付货款向甲方主张交货义务或货款的返还义务

4.Party Cshall actonly asthe entrustedpayer andnot beentitled totherights underthesalescontract.That is,Party Chas noright torequestParty Ato performthe deliveryor refundmentobligations byvirtue ofthepayment ithas madefor andon behalf.

5.丙方在代为支付货款后，乙方应及时以电邮、短信、QQ等方式通知甲方相关经办人员，以便甲方及时申报结汇核销、账务对账；丙方承诺对甲、乙方的财务对账（包括但不限于询证函）给予配合并作书面确认

6.After PartyC makesthepayment,Party Bshall timelynotify PartyAs relevantoperators bymeans ofE-mail,SMS andQQ sothat PartyAmay promptlydeclare theforeignexchangesettlement andverification andcheckthe accounts；PartyCcovenants tocooperate andconfirm inwriting thereconciliationincluding butnot limitedto theConfirmation Requests.

5.本协议适用中华人民共和国法律，因本协议产生纠纷由甲方所在地人民法院管辖

7.This Agreement shall begoverned bythe lawsofthePeople sRepublicof China.Disputes arisingfrom thisAgreementshall be submittedtothepeoples courthaving jurisdictionover theplace ofPartyA.

8.本协议一式三份，三方各执一份，具有同等效力

6.This Agreementshallbemade intothree witheach partyholding onecopy.These copiesshall havethe samelegal effects.

7.鉴于本协议为双语版本，如有歧义，以中文版为准
