合同条款Chapter IITerms andConditions of the Contract第一部分北京市建设工程委托监理合同Part OneBeijing EntrustmentSupervision Contract for EngineeringConstruction委托人与监理人经双方协商一致，签订本合同The Contractis made by and between the Client,AMECO Beijing,and the Supervisor,,basedon unanimousnegotiation.
一、委托人委托监理的工程（以下筒称“本工程”）概况如下Article1Overview of the Projectto besupervised with the Clientsentrustment（hereinafter referredto as the“Project）:工程名称Project Name:工程地点Construction Site:工程规模Project Scale:总投资Total investment:RMB
二、本合同中的有关词语含义与本合同第二部分《标准条件》中赋予它们的定义相同Article2Terms andwords in the Contract shall havethe samemeaning specified in PartTwoof the Contract,Standard Conditions.
三、下列文件均为本合同的组成部分（加优先次序）Article3The followingdocuments areconsist of the Contract:
①监理投标文件或中标通知书；1Bidding Documentsfor Supervisionor Notificationof Award;
②本合同标准条件；2Standard Conditions of the Contract;
③本合同专用条件；3Specific Conditions of the Contract;
④在实施过程中双方共同签署的补充与修正文件4Supplementations andmodifications to the Contract made by the Partiesduringperformance hereof.
四、监理人向委托人承诺，按照本合同的规定，承担本合同专用条件中议定范围内的监理业务Supervisors Liability第二十五条监理人的责任期即委托监理合同有效期在监理过程中，如果因工程建设进度的推迟或延误而超过书面约定的日期，双方应进一步约定相应延长的合同期Article25The periodof Supervisor,s liabilityshall be the term of the Entrustment ContractforSupervision.In case of beyondthe writtenagreed datedue tosuspension or delay of theconstruction progress of the Project during the supervision,the Partiesshall furtheragreeon acontractual periodcorrespondingly.第二十六条监理人在责任期内，应当履行约定的义务，如果因监理人过失而造成了委托人的经济损失，应当向委托人赔偿累计赔偿总额（除本合同第二十四条规定以外）不应超过监理报酬总额（除去税金）Article26The Supervisor shall perform the agreedobligations hereunderwithin theliabilityperiod.The Supervisor shall compensatefor any and alleconomic losses to the Clientdue tofault of the Supervisor;however,unless otherwisestipulated inArticle24hereof,theaccumulative compensationsmay not be more than thetotal supervision remuneration（after tax）.第二十七条监理人对承包人违反合同规定的质量要求和完工（交图、交货）时限，不承担责任因不可抗力导致委托监理合同不能全部或部分履行，监理人不承担责任但对违反第五条规定引起的与之有关的事宜，向委托人承担赔偿责任Article27The Supervisorshall not be responsible for the Constructor sbreach of thequality requirements and the time limitfor completion（drawing andProject）as mentioned inthe Contract,for impossibleperformance ofall or part of the Entrustment Contract forSupervisiondue toforce majeure.However,the Supervisorshall makecompensation to the Clientwithrespect tosuch mattersdue tobreach ofArticle5hereof.第二十八条监理人向委托人提出赔偿要求不能成立时，监理人应当补偿由于该索赔所导致委托人的各种费用支出Article28Where thereare nostands forclaims madeby the Supervisor againstthe Client,the Supervisorshall compensatethe Clientfor all costs and expenses arisingtherefrom.委托人责任Client,s Liability第二十九条委托人应当履行委托监理合同约定的义务，如有违反则应当承担违约责任,赔偿给监理人造成的经济损失监理人处理委托业务时，因非监理人原因的事由受到损失的,可以向委托人要求补偿损失Article29The Client shall performits obligationsunder the EntrustmentContractforSupervision;in case of breach,the Client shall compensatefor economiclosses to the Supervisor.In case of lossessuffered notdue to reason of the Supervisorduring providing supervision service,the Supervisormay require the Clientfor compensation.第三十条委托人如果向监理人提出赔偿的要求不能成立，则应当补偿由该索赔所引起的监理人的各种费用支出委托人应当将影响监理有重要信息、资料等及时通知并提供给监理人Article30Where thereare nostands forclaims madeby the Client againstthe Supervisor,the Client shall compensatethe Supervisorfor allcosts and expenses arisingtherefrom.TheClient shallin a timely mannernotify andprovide the Supervision ofand withimportantinformation and materials which may affect the supervision service.第三十一条委托人应当承担费用为监理人员投保意外伤害保险，保险期限应不低于委托监理合同有效期Article31The Client shall pay the accidentinsurance for the supervision personnel atitsown cost,with aninsurance periodnot lessthan theterm of theEntrustmentContact forSupervision.合同生效、变更与终止Effectiveness,Modification andTermination第三十二条由于委托人或承包人的原因使监理工作受到阻碍或延误，以致发生了附加工作或延长了持续时间，则监理人应当将此情况与可能产生的影响及时通知委托人完成监理业务的时间相应延长，并得到附加工作的报酬Article32Where blockor delay of the supervision service due toreason attributable tothe Clientor the Constructor,which results in additional service or extension ofservice period,the Supervisorshall notify the Client,in a timely manner,of suchcase andcontingent affectionstherefrom.In suchcase,the periodfor completion of the supervision serviceshall beprolongedcorrespondingly andremuneration for additional serviceshall bepaid.第三十三条在委托监理合同签订后，实际情况发生变化，使得监理人不能全部或部分执行监理业务时，监理人应当立即通知委托人该监理业务的完成时间应予延长当恢复执行监理业务时，应当增加不超过42日的时间用于恢复执行监理业务，并按双方约定的数量支付监理报酬Article33In caseof changesof actualconditions afterconclusion of the Contract,whichresults that the Supervisor cannot performthe supervision service partlyor completely,theSupervisor shallnotify the Client immediately.In suchcase,the durationfor supervision serviceshall beprolonged correspondingly.In caseof possiblerecovery ofperformance,42days atmostshall beincreased for recovery,and the supervision remuneration shall bepaid according tothe agreementbetween the Parties.第三十四条监理人向委托人办理完竣工验收或工程移交手续，承包人和委托人已签订工程保修责任书，监理人收到监理报酬尾款，本合同即终止保修期间的责任，双方在专用条款中约定Article34The Contract shall be terminated whenthe Supervisorcompletes theproceduresfor inspectionupon completion of the Project orfor handover of the Project with the Client,a guaranteeliability letteris madeby andbetween the Constructor and the Client,and theSupervisorreceives thefinal payment of the supervision remuneration.Liabilities duringguarantee period shall be specified in the Specific Conditions hereof.第三十五条当事人一方要求变更或解除合同时应当在42日前通知对方，因解除合同使一方遭受损失的，除依法可以免除责任的外，应由责任方负责赔偿Article35Either party who requiresfor modification to or rescission of the Contract shallnotify the other partyprior to42days.The partyhaving responsibilitiesshall compensatelossesto theother party,if any,arising fromrescission of the Contract,except forthose to be exemptedbylaw.变更或解除合同的通知或协议必须采取书面形式，协议未达成之前，原合同仍然有效Notice orarrangement concerningmodificationtoorrescissionof the Contract mustbe inwrittenform.The originalcontract shall be validstill prior to conclusion of thenew one.第三十六条监理人在应当获得监理报酬之日起30日内仍未收到支付单据，而委托人又未对监理人提出任何书面解释时，或根据第三十三条及第三十四条已暂停执行监理业务时限超过六个月的，监理人可向委托人发出终止合同的通知，发出通知后14日内仍未得到委托人答复，可进一步发出终止合同的通知，如果第二份通知发出后42日内仍未得到委托人答复，可终止合同或自行暂停或继续暂停执行全部或部分监理业务委托人承担违约责任Article36Where the Supervisorcannotget thepayment billwithin30days afterreceiptof the supervision remuneration,and the Client hasnot deliveredany writtenexplanation tothe Supervisor,or the supervision servicehas beensuspended according to Articles33and34morethan6months,the Supervisorshall send a noticeof contracttermination to the Clientand,in caseof absentresponse within14days afterissuing the said notice,further sendanotice.Where the Clientsresponse isstill absentwithin42days thereafter,the Supervisorcanterminate the Contract orsuspend,or continuallysuspend,all or part of supervision service,in whichcase the Client shall be responsible for breachof the Contract.第三十七条监理人由于非自己的原因而暂停或终止执行监理业务，其善后工作以及恢复执行监理业务的工作，应当视为额外工作，有权得到额外的报酬Article37Where the Supervisor suspendsor stopsthe supervision servicedue to reasonnotattributable to the Supervisor,recovery andresumption workshall bedeemed asextra service,and the Supervisor has the right to gain additional remunerations.第三十八条当委托人认为监理人无正当理由而又未履行监理义务时，可向监理人发出指明其未履行义务的通知若委托人发出通知后21日内没有收到答复，可在第一个通知发出后35日内发出终止委托监理合同的通知，合同即行终止监理人承担违约责任Article38Where the Client considersthe Supervisorfails toperformtheobligation ofsupervisionwithout justreasons,it cansenda notice to the Supervisor,indicating itsfailure.In caseof noresponse within21days afterissuing the said notice,the Clientmay senda noticeoftermination of theEntrustmentContractforSupervision within35days after thesaidnotice,then the Contractshall beterminated.In suchcase,the Supervisorshall be responsible forbreach第三十九条合同协议的终止并不影响各方应有的权利和应当承担的责任Article39Termination of the Contractwill notaffect eitherparty sdue rightsandobligations.监理报酬Supervision Remuneration第四十条正常的监理工作、附加工作和额外工作的报酬，按照监理合同专用条件中第四十条的方法计算，并按约定的时间和数额支付Article40Remuneration asto normal supervision service,additional serviceand extraserviceshall be calculated according to themethod as mentioned inArticle40of the SpecificConditions of theSupervisionContract,andbepaid subjectto the agreed time limit and amount.第四H—*条如果委托人在规定的支付期限内未支付监理报酬，自规定之日起，还应向监理人按合同专用条件利息（不低于同期银行利息）支付滞纳金滞纳金从规定支付期限最后一日起计算Article41Where the Client fails to pay the supervisionremunerations within the agreedtimelimit,it shall pay latefee to the Supervisoras of the agreeddate atthe interestratespecified in the Specific Conditionsof the Contract,not lessthan thebank interestrate atthesame period.The latefee shall becalculatedas of the deadlinefor payment of theremunerations.第四十二条支付监理报酬所采取的货币币种、汇率由合同专用条件约定Article42Currency andexchange raterelating to the supervisionremunerationshall bespecified in the SpecifiedConditions hereof.第四十三条如果委托人对监理人提交的支付通知中报酬或部分报酬项目提出异议，应当在收到支付通知书24小时内向监理人发出表示异议的通知，但委托人不得拖延其他无异议报酬项目的支付Article43In caseof objectionsto allorpartof remunerationitems aslisted in thepayment noticesent by the Supervisor,the Clientshall sendanoticeof objectionsto theSupervisorwithin24hours afterreceipt of thesaidpayment notice;however,the Clientmayin nocase putoff paymentof theitems withoutobjections.其他Miscellaneous第四十四条委托的建设工程监理所必要的监理人员出外考察、材料设备复试，其费用支出经委托人同意的，在预算范围内向委托人实报实销Article44Any and allcostsandexpensesincurred bysupervision stafffor necessaryreviewabroad,retrial of materials and equipments for supervision of the Project,with theconsent of the Client,may bereimbursed onan actualbasis to the extentof budget.第四十五条在监理业务范围内，如需聘用专家咨询或协助，由监理人聘用的，其费用由监理人承担；由委托人聘用的，其费用由委托人承担Article45In caseof necessaryappointment ofexperts forconsultation orassistancewithin the scope of supervision service,the Supervisorand the Clientshall beresponsible forthe costsandexpensesarising from their respectiveappointment.第四十六条监理人在监理工作过程中提出的合理化建议，使委托人得到了经济效益，委托人应按专用条件中的约定给予经济奖励Article46Where reasonableadvice put forward by the Supervisorduring supervisionserviceresultsineconomic benefitsto the Client,the Clientshall rewardthe Supervisoraccording to the Specific Conditions.第四十七条监理人驻地监理机构及其职员不得接受监理工程项目施工承包人的任何报酬或者经济利益监理人不得参与可能与合同规定的与委托人的利益相冲突的任何活动Article47The supervision office andits employeesmay notreceive anyremuneration oreconomicbenefits provided by the Constructor of the Project.The Supervisormay nottake partin any activitieswhichmayconflict with the Clients interestsasmentioned intheContract.第四十八条监理人在监理过程中，不得泄露委托人申明的秘密，监理人亦不得泄露设计人、承包人等提供并申明的秘密Article48The Supervisormay,duringthesupervision,neither disclosethe secretsstatedby the Client,nor divulgethe secretsprovided andstated by the design institute and theConstructor.第四十九条监理人对于由其编制的所有文件拥有版权，委托人仅有权为本工程使用或复制此类文件Article49The Supervisorowns the copyright toall documentsprepared byit,and theClienthas the right to use orcopy suchdocuments onlyfor thepurpose of the Project.争议的解决Settlement ofDisputes第五十条因违反或终止合同而引起的对对方损失和损害的赔偿，双方应当协商解决，如未能达成一致，可提交主管部门协调，如仍未能达成一致时，根据双方约定提交仲裁机关仲裁，或向人民法院起诉Article50Claims for compensation for losses ordamages to one partydue tobreach ortermination of theContractshall be settledthrough negotiationbetween the Parties;wherenegotiation fails,the casemay be submitted tocompetent authorityfor intermediation;whereno agreementcan bereached thereafter,the caseshall,according to the Partiesagreement,be appliedto thearbitration committeefor arbitrationorto the Peoples Courtfor judgment.第三部分专用条件Part ThreeSpecificConditions第二条本合同适用的法律及监理依据Article2Application Lawto andSupervision Basisfor theContract
1、业主与承包商签定的施工合同及协议；1the construction contract andagreements madeby andbetween the Owner and theConstructor;
2、经批准的工程项目施工图纸及说明；2the approvedconstruction drawings and relevantdescriptions;
3、国家现行的工程施工验收规范及工程质量评定标准；3existing acceptancecriterions for engineering construction and therating standards forproject quality;
4、国家和北京市有关的工程建设监理规程和工程建设的政策、法规、规范和相应的规定；4relevant rulesof the State andBeijing onengineering construction supervision,andpertinent policies,laws,regulations and rules onengineering construction;
5、为本工程制定的质量控制要点、质量控制标准、保证措施及其他技术文件和规定；5key issuesin quality control,standards forqualitycontrol,assurance guaranteeandother technicaldocuments andrules formulatedfor the Project;
6、为本工程签订的工程建设监理合同以及有关协议；6supervision contractforengineering constructionandrelevant agreementsconcerning theProject;
7、其它相关法规等7other pertinentlaws and regulations.第四条监理范围和监理工作内容Article4Scope and contents of supervision
1、合同管理及投资控制1Contract managementand investmentcontrol1协助业主进行有关招投标工作，包括协助审查分包招标文件，参与各项分包招投标的评标工作，协助签订分包合同，以及与本工程有关的各项补充协议1to assistwith the Owner inbidding andtendering,including examinationof tenderingdocuments on subcontracted works,participation inbid evaluationfor eachsubcontractedworks,assistance withconclusionofsubcontract,andallsupplementary agreementsconcerning theProject;2负责审查分包商资质，包括对分包商或供应商的资质、供货能力、商业信誉等进行详细审核和考察，并将审核意见报送业主参与确认承包商所选择的分包商和设备材料供应商2to examine the qualificationof subcontractors,including detailedexamination andreviewof qualifications,supply capabilityand goodwill ofsubcontractors orsuppliers,andto reportthe reviewopinions to the Owner;to takepart inconfirming thesubcontractors andsuppliersof equipmentsandmaterials,who areselected by the Contractor.3定期对施工合同的执行情况进行跟踪管理和检查如遇特殊情况、紧急情况应在第一时间内上报业主，并以书面形式报送业主3to followup,manage andexaminetheimplementation of the ConstructionContractregularly incaseofspecial oremergent conditions,to report to the Owner immediately,andto report to the Owner in writing.4负责计算、审核各项索赔金额，提供处理意见，并协助业主处理合同纠纷4to calculateand examineal1claims,to put forward settlementopinions and to assistwith the Owner in settlingcontractual disputes.
2、工程成本控制2Cost control1审查承包商提交的工程预算，并可根据合同要求和工程情况增减预算，但前述增减应得到业主的书面确认1to examinethe projectbudget submitted by the Contractor,to increaseor reducethebudget interms of theContract and the Project with the Ownersprior writtenconfirmation.2负责审查核定施工过程中施工方申报的月工程量或节点工作完成情况及费用并申报业主2to examineand approvethe monthlyworkload andexpenses orcompletion ofeach worknodedeclared by the Contractorduring constructionand to report to the Owner.3审核本工程范围内的洽商签证、设计变更及施工过程中图纸外发生的设计变更、洽商及各种签证，记录现场情况，办理原始凭证记录3to examinethe negotiationappraisal and design modificationwithin the scope of theProject,and designmodification,negotiation andall appraisalsout of the drawingsduring theconstruction,to recordthe siteconditions and to handleoriginal vouchersand records.4审查核实可调材料的价格，审查核实有关材料的性能价格比及价差和处理办法,并根据具体情况详细计算、核实相关工程量和增量4to examineand checkthe price ofmaterials,to examineand checkthe ratiobetweenquality andpriceof relevant materials,as wellas settlementmethods,and tocalculate andcheckparticularly relevantworkload andsupplementary work.5根据合同要求，审核施工方申报的结算书并向业主提交审核报告5to examineand approvethe settlementletters declaredby the Constructor interms oftheContractand to submit the examinationreports to theOwner.6根据业主及各相关合同要求条件，审核承包商编制的该项目的年、季、月度资金计划，并监督、控制其执行6to examineand approvethe yearly,quarterly andmonthly capitalplans preparedby theContractorfor the Project interms ofthe requirementsoftheOwner andrelevant contracts,to superviseand controlsuch implementation.
3、工程进度控制3Control of project schedule1根据业主及各相关合同要求条件，审查承包商提交的施工进度计划，经业主审批后执行1to examinethe constructionschedule submittedby the Contractor interms ofrequirementsoftheOwner andrelevant contracts,and toimplement itwith theOwner sexaminationand approval.2根据业主审批后的施工进度计划，审核承包商提交的季、月、周进度计划并监督、控制其执行，必要时对上述计划提出调整建议和必要的指示2to examineand approvethe quarterly,monthly andyearly projectschedule submittedby the Contractoraccordingto the projectschedule approvedby theOwner,and to supervise andcontrolof their implementation;to put forward adjustmentadvice andnecessary directionconcerningto thesaid schedule,if necessary.3对承包商报送的工、料、机动态月报进行分析，找出影响进度原因，提出纠偏措施和指令3to analyzethe monthlyreports submittedby the Contractor onlabor force,materialsand equipments,to findout causesfor schedule,and issuecorrection measures and instructions.4审核承包商的材料、设备采购计划，提出有关建议和补救措施，并发布有关指令4to examinethe purchaseplans formaterials and equipments submittedby the Contractor,putforwardrelevant suggestionsand remedies,and to issue relevantorders.5及时分析进度障碍，调整总控制进度计划，上报业主，并提出补救措施，发布相应指令5to analyzeina timely mannerthe blocksof progress,to adjustgeneral schedulecontrol,toreportto theOwner,to putforward remediesand toissue relevantinstructions.
4、工程质量控制4Control ofproject quality1审核施工图纸并提供图纸修改意见，组织图纸会审和设计交底工作5to examineand approvethe constructiondrawings andputforwardmodification opinions,and to organize checkof drawingsanddesigndisclosure.2审查承包商提供的施工组织设计、施工技术方案并监督其实施，委派或聘请权威专家组织参与本项目工程施工方案的优化设计6to examinethe planssubmittedby the Contractorfor constructionorganization,designand constructiontechnics,to supervisetheirimplementation,and toappoint orengageauthoritative expertsto organizeparticipation inoptimization designofthe construction planasto the Project.3对业主、承包商选定的材料、构配件及设备的质量进行确认和验收，对影响工程使用功能、观感的材料、设备进行重点质量控制7to confirmand inspect the materials,components,parts andequipments selectedby theOwner and the Contractor,and tocontrol the quality ofthe materials andequipments which mayaffectthe usefunction andappearance ofthe Project.4负责对进场材料、设备及时验收，材料、设备使用前按有关规定的要求进行有见证取样及时向业主呈报影响工程质量的材料、设备，按照有关规定进行全过程的旁站监督8to inspectfor acceptancethe materialsandequipmentsinatimely manner,to samplethe materialsandequipments priorto usein accordance with pertinent rules,to submit thematerials andequipmentswhichaffectthe quality ofthe Projectto theOwner in time,and tosupervisethe wholecourse in accordancewithrelevant rules.5督促承包商建立健全质量保证体系，完善施工技术管理制度和落实质量保证措施9to urgethe Contractor to setup asound quality assurance system,to perfectthemanagement systemon constructionand to carry out the qualityassurance measures.6检查工程质量，对违反设计文件、规范、规程的承包商，责令立即改正，必要时签发工程暂停指令向违规的承包商签发监理通知后，尚应监督相应整改措施的执行，至整改完毕10to checkthe quality ofthe Project,to order the Contractorwho isin breachof thedesigndocuments,criterions andregulations to make correctionimmediately,and to,if necessary,issue theorder ofsuspension;to superviseimplementation ofrelevant remediesafter sendingthesupervision noticeto theContractor inbreach,up tocompletionofcorrection.7做好施工过程中的监理工作，对各阶段、各重点部位施工中存在的影响质量的关键问题，应主动组织施工方认真分析，找出解决方法并监督施工方落实实施，并做好实施效果的复查工作，确保工程质量；认真检查、签认各项隐蔽工程，做好建筑安装工程的分部、分项工程的质量验收工作，未经签认不得进行下道工序11to supervisethe wholecourse of construction,to organizeactively the Contractorto analyzeseriously thekey issuesat eachkey partsaffecting thequality ofthe Projectforfinding outsolutions,to supervisetheConstructor to carryoutthesolutions;to reviewtheimplementation toensure thequalityofthe Project;to inspectcarefully and confirm withsignatureeach hiddenproject,and to inspect branchesand itemsof constructionand erectionproject.No workingprocedures may be carriedout withoutthe Supervisor,s confirmationwithsignature.8主持工程质量事故处理，进行事故原因、责任分析，提出事故处理办法，向业主提供专项报告并督促检查事故处理方案的实施12to bein charge of settlingthequalityaccidents,to analyzecauses andliabilities,to presentsolutions,to providereports to theOwnerand to urge and supervise implementationofsuch solutions.9承包商要求变更设计应事先征得监理单位同意，并报业主确认，由监理单位向设计单位提出，在设计单位修改设计后，经监理审核，报业主批准后，由监理单位向承包商下达设计变更通知设计单位修改设计方案，由业主审核，经业主批准后，通过监理单位向承包商下达设计变更通知13theContractor^s requirementfor designalteration shall be consentedby theSupervisorand thensubmitted to theOwner for confirmation.Only after the Supervisorputsforward thealteration to the designinstitute formodification,which shall be examinedby theSupervisor,and thensubmit to theOwnerfor approval,the Supervisorwill issuethe noticetothe Contractorof designalteration.Where the designinstituteintends tomodify the design,the noticeof designalteration maybe sentto theContractor bythe Supervisor aftertheOwnerexamines andapproves thealtered design.14由业主提出使用的新材料、新工艺、新产品、新技术的项目，监理单位负责提供技术服务；凡由承包商使用的新材料、新产品、新工艺、新技术的项目，应经监理单位认可，并报业主批准，并要求承包商提供产品鉴定证明、产品质量标准、使用说明和工艺要求，监理单位按质量标准进行验收15to providetechnical servicesto the projects for which theOwner requirestousenewmaterials,new technics,new productsand newtechnologies;any andall projectsforwhich theContractor usesnew materials,new technics,new productsand newtechnologies shall be consentedbythe Supervisorand approvedbytheOwner;in suchcase,theContractorshallberequired toprovideproduct appraisalcertificate,quality standards,descriptions andtechnics requirements,and the Supervisorshallinspectthe projects subjectto thequality standards.16组织施工过程中样板工程的实施，并组织样板验收工作提出验收意见报业主批准Article4The Supervisorensures to the Clientto,inaccordancewith theContract,undertake thesupervision services within theagreed scopein SpecificConditionsoftheContract.

5、安全与文明、环保施工
5.Safe,civilized andenvironment protectionconstruction1监督工程全过程的施工安全，发现任何安全隐患及时通告承包商，并督促整改方案的实施1to supervisethe constructionsafety duringthe wholecourse,to notifythe Contractorof any safetyhidden troublein timeand tourge implementation of rectificationplans;2根据国家和北京市政府部门有关规定和要求，监督施工现场的文明、环保施工状况，发现任何不文明施工的行为或情况及时通告承包商，并督促其整改2tosupervisesafe,civilized andenvironment protectionconstruction atthe site inaccordance withpertinentrulesand requirementsofthe State andBeijing Governmenton theconstructionsite,to notifytheContractorin timeof anyuncivilized activitiesor conditionsand tourgeimplementationofrectification.
6、工程保修
6.Guarantee1监理工程师有责任在保修期内通知承包商及时到场维修，并鉴定存在质量问题，提出维修措施，组织承包商进行维修1The supervising engineers shallnotifytheContractorto repair onsiteina timelymanner,appraise theproblems of quality,present reparationmeasures andorganize theContractorto makereparation;
（2）监理单位负责保修期内工程保修结算及保修期内发生的雇请第三方返修费用的认可及责任方的确认2The Supervisorshall recognizethe guaranteesettlement and the reparationfee payabletoa third party appointedwithin the guarantee period,and toconfirm the partywho isresponsible;3监理单位在保修期结束后，须提供保修工作总结及质量问题分析报告3The Supervisormust provideguarantee summarization and theanalysis reporton qualityproblemsafter expirationofthe guarantee period.
7、组织协调

2、监理单位应当对施工单位落实安全防护、文明施工措施情况进行现场监理对施工单位已经落实的安全防护、文明施工措施，总监理工程师应当及时审查并确认所发生的费用监理单位发现施工单位未落实施工组织设计及专项施工方案中安全防护和文明施工措施的，有权责令其立即整改，对施工单位拒不整改或未按期限要求完成整改的，监理单位应当及时向建设单位和建设行政主管部门报告，必要时责令期限暂停施工2The Supervisorsholl supervisetheConstructors implementationof safetyprotectionand civilized construction measures.The chief supervising engineersshall examineand confirmin time theincurred expensesfrom safetyprotection andcivilized constructionmeasures whichhavebeen carriedout.Where the Supervisor findsthat theConstructor failstocarryout thesafetyprotection andcivilizedconstructionmeasures under theconstructionorganization designandspecial constructionplans,the Supervisor has the right toordertheConstructorto makecorrection immediately;if theConstructor refusescorrection orfailstocorrect within thegiven timelimit,the Supervisorshall reporttotheBuilder and the competentadministrativedepartment of construction inatimelymanner and,if necessary,order tosuspend constructionwithina givenperiod第二部分标准条件Part TwoStandard Conditions词语定义、适用范围和法规Definitions,Applicable Scopeand Regulations第一条下列名词和用语，除上下文另有规定外，有如下含义:Article1Unless otherwisespecified incontext,words andterms asfollows shallhave thefollowingmeaning:1“工程”是指委托人委托实施监理的工程2Project:theprojectwhich the Client entrustsforsupervision.3“委托人”是指承担直接投资责任和委托监理业务的一方以及其合法继承人⑵Client:one party,as wellas itslegal successors,assuming directinvestment liabilityandentrusting thesupervisionservice.4“监理人”是指承担监理业务和监理责任的一方，以及其合法继承人3Supervisor:one party,as wellas itslegal successors,providingsupervisionserviceand assumingsupervision liability.5“监理机构”是指监理人派驻本工程现场实施监理业务的组织6Supervision Office:the organizationwhich isto providesupervisionserviceat thesiteofconstructionwiththeappointment ofthe Supervisor.7“总监理工程师”是指经委托人同意，监理人派到监理机构全面履行本合同的全权负责人5Chief SupervisingEngineer:the personwho isappointed bythe Supervisor to theSupervisionOffice,withtheconsent ofthe Client,tobein fullchargeofperformance oftheContract.8“承包人”是指除监理人以外，委托人就工程建设有关事宜签订合同的当事人6Contractor:thepartywho the Client entersinto the contract concerningengineeringconstruction,except for the Supervisor.9“工程监理的正常工作”是指双方在专用条件中约定，委托人委托的监理工作范围和内容10Normal SupervisionService:thescopeandcontentofsupervision,as specifiedin theSpecific Conditions,under theentrustment ofthe Client.11“工程监理的附加工作”是指
①委托人委托监理范围以外，通过双方书面协议另外增加的工作内容；
②由于委托人或承包人原因，使监理工作受到阻碍或延误，因而增加工作或持续时间8Additional SupervisionService:a.other contentsofsupervisionadded inwrittenagreement betweentheParties;b.adding servicesor workingperiod resultedfrom blockor delayofsupervision duetoreasonattributabletothe Clientor theContractor.12“工程监理的额外工作”是指正常工作和附加工作以外，根据第三十八条规定监理人必须完成的工作，或非监理人自己的原因而暂停或终止监理业务，其善后工作及恢复监理业务的工作13Extra SupervisionService,the regulationsandrulesoftheBeijing.第三条本合同文件使用汉语语言文字书写、解释和说明如专用条件约定使用两种以上含两种语言文字时，汉语应为解释和说明本合同的标准语言文字Article3Any andall documentsunder this Contractshallbe written,interpreted anddescriedintheChinese language.In caseof anyneed touse morethan twoincluded languages,Chinese shallbethestandard languageto interpretand describethisContract.监理人义务Supervisors Obligation第四条监理人按合同约定派出监理工作需要的监理机构及监理人员，向委托人报送委派的总监理工程师及其监理机构主要成员名单、监理规划，完成监理合同专用条件中约定的监理工程范围内的监理业务在履行合同义务期间，应按合同约定定期向委托人报告监理工作Article4The Supervisorshall assignthesupervisoroffice andpersonnel necessaryforsupervision asmentioned hereunder,present the Clientalist ofnames ofthechiefsupervisingengineer andprinciple membersofthesupervisionofficeand thesupervision planning,and shallcompletethesupervisionserviceswithin thesupervisionscope asmentioned inthe SpecificConditionshereof.During performanceof itsobligations hereunder,theSupervisorshall reportregularlythesupervisionwork totheClientas agreedhereunder.第五条监理人在履行本合同的义务期间，应认真、勤奋地工作，为委托人提供与其水平相适应的咨询意见，公正维护各方面的合法权益Article5The Supervisorshall,while performingthe obligationshereunder,work earnestlyanddiligently,provide theClient withadvisory commentscorresponding toits leveland protectthelegitimate interestsand rightsin allrespects ina fair and just manner.第六条监理人使用委托人提供的设施和物品属委托人的财产在监理工作完成或中止时，应将其设施和剩余的物品按合同约定的时间和方式移交给委托人Article6The facilitiesand articlesused bytheSupervisor,providedbytheClient,shallbe theproperties oftheClient,and theSupervisorshallturn oversuch facilitiesand therestof sucharticlestotheClientwithinthetimelimitand ina manneras agreedbetweenthePartieswhen thesupervisionserviceis completedor terminated.第七条在合同期内或合同终止后，未征得有关方同意，不得泄露与本工程、本合同业务有关的保密资料Article7Within thetermoftheContractoraftertermination hereof,theSupervisormaynot discloseany confidentialmaterials pertaining tothe Project andtheContractwithout theconsent ofrelevantparties.委托人义务Client,s Obligations第八条委托人在监理人开展监理业务之前应向监理人支付预付款Article8The Clientshall makeadvance paymentstotheSupervisor beforethe lattercarriesout supervisionservices.第九条委托人应当负责工程建设的所有外部关系的协调，为监理工作提供外部条件根据需要，如将部分或全部协调工作委托监理人承担，则应在专用条件中明确委托的工作和相应的报酬Article9The Clientshallberesponsiblefor the coordinationwith externalrelationshipconcerning theProject construction,and providingexternal conditionsfor thesupervisionservice.The Clientshall,if necessary,authorize allorpartof coordinationwork totheSupervisor,in whichcase theClientshalldefine thework ofauthorization andcorrespondingremuneration inthe SpecificConditions.第十条委托人应当在双方约定的时间内免费向监理人提供与工程有关的为监理工作所需要的工程资料Article10The Clientshall freeprovidethesupervisorwithall necessarydata orinformationpertainingtotheProjectin respect ofthesupervisionserviceas agreedby theParties.第十一条委托人应当在专用条款约定的时间内就监理人书面提交并要求作出决定的一切事宜作出书面决定Article11The Clientshall makewritten decisionson allmatters submittedbytheSupervisorand requiredtobedecided withinthetimelimit as specifiedintheSpecificConditions.第十二条委托人应当授权一名熟悉工程情况、能在规定时间内作出决定的常驻代表（在专用条款中约定），负责与监理人联系更换常驻代表，要提前通知监理人Article12The Ownershall authorizeone standingrepresentative as agreed intheSpecificConditions,whoisfamiliar withtheProjectand canmake decisionswithinthegiven time,andshall beresponsibleforcontacting theSupervisors.Any replacementofthestandingrepresentative shallbe notified in advancetotheSupervisor.第十三条委托人应当将授予监理人的监理权利，以及监理人主要成员的职能分工、监理权限及时书面通知已选定的承包合同的承包人，并在与第三人签订的合同中予以明确Article13The Clientshall grantthe right totheSupervisor,andthefunctional workassignmentfor principalmembers fromtheSupervisoras wellasthesupervision power,whichshall benotifiedinwriting tothe selectedConstructor undertheContractintime,and mustbeexpressly specifiedinthe contracts signedwith anythirdparty.第十四条委托人应在不影响监理人开展监理工作的时间内提供如下资料Article14The Clientshall providethefollowinginformation atthetimewhen nosupervisionservice isaffected:1与本工程合作的原材料、构配件、机械设备等生产厂家名录lLists ofmanufacturers ofraw materials,components,parts andequipments,etc.,whichare inthe cooperationwiththeProject;2提供与本工程有关的协作单位、配合单位的名录2Lists ofcooperating unitsor coordinatingunits concerning theProject.第十五条委托人应免费向监理人提供办公用房同时作为监理人员工作住房、通讯设施、合同专用条件约定的设施Article15The Clientshall freeprovide officerooms whichwill beused asthe lodgingsofsupervision personnel,communication facilitiesandtheequipments asmentionedintheSpecificConditionshereof.第十六条根据情况需要，如果双方约定，由委托人免费向监理人提供其他人员，应在监理合同专用条件中予以明确Article16If itisagreedthat theClientwillprovide otherpersonnel totheSupervisor,free ofcharge,if necessary,the caseshallbespecifiedintheSpecificConditionshereof.监理人权利Supervisor,s Rights第十七条监理人在委托人委托的工程范围内，享有以下权利Article17The Supervisorshall,withinthescope ofentrusted Project,enjoy thefollowingrights:1选择工程总承包人的建议权1the right to recommendthe generalcontractor in its selection;2选择工程分包人的认可权2the right to recommendsubcontractors for theProject;3对工程建设有关事项包括工程规模、设计标准、规划设计、生产工艺设计和使用功能要求，向委托人的建议权3the right tomakesuggestions onthe mattersconcerningtheProject constructionshallcover projectscale,design criteria,planning anddesigning,production processdesigns andoperationfunction requirements,etc;4对工程设计中的技术问题，按照安全和优化的原则，向设计人提出建议；如果拟提出的建议可能会提高工程造价，或延长工期，应当事先征得委托人的同意当发现工程设计不符合国家颁布的建设工程质量标准或设计合同约定的质量标准时，监理人应当书面报告委托人并要求设计人更正4the rightto independentlyputforward advice tothe processesofquality.The Constructormay notresumework priorto receiptoftheorder ofresumption issuedbythesupervisionoffice;9工程施工进度的检查、监督权，以及工程实际竣工日期提前或超过工程施工合同规定的竣工期限的签认权9the righttoinspectandsupervisethe progressoftheProject,andtorecognizewith signatureprior completiondate ordelayofthe completiondate asmentionedintheconstruction contract;10在工程施工合同约定的工程价格范围内，工程款支付的审核和签认权，以及工程结算的复核确认权与否决权未经总监理工程师签字确认，委托人不支付工程款10therightto reviewandsignthe paymentsfortheProject withinthescope of projectcostasagreedundertheconstructioncontract,to examineand recognizepaymentofthe projectcost,andtheright orthe deniedvoting rightsto reviewandconfirm theprojectsettlements.The Clientwillnotmake paymentwithout confirmationbythechiefsupervisingengineering withsignatures;11监理人有权及时向委托人获取工程建设过程中有关如工程洽谈商变更、材料采购及工程拨付款等重要信息、资料，委托人应当给予支持11therightto obtainimportant informationand dataintimefromtheClient duringconstructionoftheProject,including changeofprojectnegotiators,material purchaseandpayment fortheProject,andtheClientshallprovide support;12所有工程变更包括设计变更和工程洽商应当通过监理人的审核和签认12anyandall modifications totheProject,including designchange andprojectnegotiation,shallbeexamined andconfirmed bytheSupervisor;13工程竣工时，如委托人未按规定支付监理报酬的90%,监理人可不签署工程竣工验收及移交竣工文件13if theClient failstopay90%ofthesupervision feeaccordingtothecontractuponcompletion oftheProject,theSupervisorcan refuseto signthe documentson inspectionuponcompletion oftheProjectand completionof handover.第十八条监理人在委托人授权下，可对任何承包人合同规定的义务提出变更如果由此严重影响了工程费用或质量、或进度，则这种变更须经委托人事先批准在紧急情况下未能事先报委托人批准时，监理人所做的变更也应尽快通知委托人在监理过程中如发现工程承包人人员工作不力，监理机构可要求承包人调换有关人员Article18The Supervisormay advancethe modificationofanyobligations fortheConstructor underthecontractswiththeauthorization oftheClient.If thecase substantiallyaffectstheprojectcosts orquality orprogressoftheProject,such modificationshallbesubjectto priorwrittenconsentoftheClient.In thecaseofany emergencythat makesit unabletoreport totheClientfor priorwritten approval,such modificationmadebytheSupervisorshallbe alsonotified totheClientas soonas possible.If thereis anyincompetence ofpersonnelin theConstructor,s personnelfound inthe processofsupervision,thesupervisionoffice mayrequire theConstructortomakereplacement.第十九条在委托的工程范围内，委托人或承包人对对方的任何意见和要求包括索赔要求，均必须首先向监理机构提出，由监理机构研究处置意见，再同双方协商确定当委托人和承包人发生争议时，监理机构应根据自己的职能，以独立的身份判断，公正地进行调解当双方的争议由政府建设行政主管部门调解或仲裁机关仲裁时，应当提供作证的事实材料Article19Within thescopeofentrusted Project,theClientortheConstructor canadvanceadvice orrequests includingclaims ontheotherparty tobe firstsubmittedtothe supervisionoffice,who willconsider theopinionsofdisposition,and thenboth partieswill agreeuponsuch matters.In caseofanydispute betweentheClientandtheConstructor,thesupervisionofficeshall judgeinitsindependent capacityaccordingtoits functionand makemediation inafairandjustmanner.When anydispute betweenthe partiesis subjecttothemediation orarbitrationbythecompetent governmentadministrative authorityin chargeofconstruction,factmaterials andinstruments shallbeprovidedfor evidences.委托人权利Clients Rights第二十条委托人有选定工程总承包人，以及与其订立合同的权利Article20The Clienthas therighttoselect andto enterinto thecontract withthegeneral contractoroftheProject.第二十一条委托人有对工程规模、设计标准、规划设计、生产工艺设计和设计使用功能要求的认定权，以及对工程设计变更的审批权Article21The Clienthas therighttoconfirmthescope,design standards,planning,designing,production technicsdesign anddesigned functionsoftheProject,andtoexamine andapprovemodificationstothedesignoftheProject.第二十二条监理人调换总监理工程师须事先经委托人同意Article22The Supervisormust receiveprior consentoftheClientincaseofreplacementof thechiefsupervisingengineer.第二十三条委托人有权要求监理人提交监理工作月报及监理业务范围内的专项报告Article23The Clienthas therighttorequiretheSupervisortosubmitthemonthlysupervision reportandthespecial reportonsupervisionservice.第二十四条当委托人发现监理人员不按监理合同履行监理职责，或与承包人串通给委托人或工程造成损失的，委托人有权要求监理人更换监理人员，直到终止合同并要求监理人承担相应的赔偿责任或连带赔偿责任Article24Where theClient findsthatthesupervisionpersonnelfail toperform theirdutiesaccording tothesupervisioncontract,or causelossestotheClientortheProject togetherwiththeConstructor,theClienthas therighttorequiretheSupervisortoreplace them,upto terminationoftheContract;furthermore,theClienthastherighttorequiretheSupervisorto assumecorresponding liabilityforcompensationor takejoint andseveral liabilityforcompensation.监理人责任。
