4、PACKING:To bepacked instandard shippingpacking.The Sellersshall beliable for anydamage of the commodityand expensesincurred onaccount ofimproper packingand foranyrust attributableto inadequateor improperprotective measurestaken by the sellersin regardofthe package.包装标准海运包装如果由于不适当的包装而导致的货物损坏和由此产生的费用，卖方应对此负完全的责任

5、SHIPPING MARKThe Sellersshall markon eachpackage withthe receiptaddress,cartonNo,weight,size andUPC etc.唆头卖方用贴纸在每个箱子外面打印上到货地址、箱号、重量、尺寸和UPC

6、Time ofShipment:within days after receiptof advancepayment T/T.装运期限收到电汇预付款天内装运

7、Time ofDelivery:Date untilthe effectivedate ofcontract withindays.交货期自合同生效之日起天

1、Insurance保险To beeffected by the sellerfor110%of theCIF invoicevalue coveringallrisk insurance,to beeffected bytheBuyerof FOB,CFR andadditional insurance.保险采用CIF到岸价，各种保险由卖方承担，如果采用FOB离岸价，或成本加运输，或其它新增险种，保险费由买方承担

11、付款条件Terms ofPaymentWithin days after thecontract signed,theBuyershall dothe advancepaymentxx%,and the2nd termpayment isxx%before shipment,andthefinal paymentxx%after theshipmentdays.All paymentis T/T.合同签署天内，买方支付预付款XX%，发货前支付XX%,发货后天内支付余款所有付款采取电汇方式

1.Full setof Oceanwaybill inoriginal海运提单一套；

1.1nvoice in three copies发票一式三份；

3.Packing Listinthreecopies issuedbytheseller装箱单一式三份

13、Term ofShipment装运条款To begoverned by“Incoterms2010”,装运条款应按照《2010年国际贸易术语解释通则》的规定办理

14、Shipping Advice（装运通知）The Sellershall,immediately uponthe completionof theloading of the goods,advise byemail（the buyersoftheocean waybilland packinglist documentit includescommodity,quantity,）gross weight,name ofvessel anddate ofdelivery etc..In casedue tothe sellersnot havingemailedin time,all lossescaused shall be bornebytheseller.装运通知卖方应于装货后，立即将提单和装箱单资料（包括货物、数量、毛重、运输工具名称、交货日期、货物预计抵达日等）通过邮件通知买方如果由于卖方未及时通知买方造成的所有损失均由卖方承担15Guarantee ofQuality:The sellerguarantee that the commodityis fulfilthe buyerscontractrequirement.The guaranteeperiod is12months sincethe buyerreceived thecommodity.质量保证卖方保证合同按照客户的要求进行生产质量保证期为客户收到货物12个月

16、Claim（索赔）Within60daysafterthe arrivalofthe goods atdestination,and foundthecommodity qualityare lowerthan theapproval sample,the buyerhas theauthority toreplace orreimbursement.索赔货物抵达目的地60天内，如发现产品低于买方确认的样品标准，买方有权要求替换或补偿

17、Force Majeure（不可抗力）The Sellershall notbe heldresponsible forfailure ordelay indeliveryoftheentire lotoraportion ofthegoodsunder thisSales Contractin consequenceofany Force Majeure incidentswhich mayoccur.ForceMajeureas referredto inthis contractmeansunforeseeable,unavoidable andinsurmountable objectiveconditions.由于发生当事人不能预见、不可避免或无法控制的不可抗力事件，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责

18、Arbitration仲裁Any disputearising fromor inconnection withthis Contractshall besubmitted toChinaInternational Economicand TradeArbitration Commissionfor arbitrationwhich shallbeconducted inaccordance withthe commissionsarbitration rulesin effectatthetime ofapplyingfor arbitration.The arbitralawards isfinal andbinding uponboth parties.凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁仲裁裁决是终局的，对双方均有约束力19Notice通知:All noticesshallbewritten inand servedto both parties byfax/courieraccording tothe followingaddress withindaysafterthe change.所有通知用文写成，并按照如下地址用传真/快件送达给各方如果地址有变更，一方应在变更后内书面通知另一方
