外贸代理合同本协议双方为了发展贸易，在平等互利的基础上，按下列条件签定本协议This agreementis enteredinto betweenthe partiesconcernedon the basis ofequality andmutual benefittodevelop businesson termsand conditionsmutually agreeduponas follows1订约人Contracting Parties供货人Supplierhereinafter calledParty A销售代理人Agenthereinafter calledParty B甲方委托乙方为销售代理人，推销下列商品Party Ahereby appointsparty Bto actas hisselling agenttosell themodity mentionedbelow.2商品及数量或金额Commodity andQuantity oramount双方约定，乙方在协议有效期内，承销不少于的上述商品It ismutually agreedthat Party B shallundertake tosellnot lessthan of the aforesaidmodity intheduration of this Agreement.3经销地区只限在销售Territory Inonly.4定单的确认关于协议所规定的上述商品的每笔交易，其数量、价格及装运条件等须经甲方确认，并签定销售确认书，对交易做具体规定Confirmation ofordersThe quantities,prices andshipment of the moditiesstatedin this Agreement shall be confirmedfor eachtransaction,the particularsof whichare tobe specifiedin the SalesConfirmation signedby thetwo parties hereto.5付款订单确认后，乙方须按照有关确认书所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证乙方开出信用证后，应立即通知甲方，以便甲方准备交货PaymentAfter confirmationof theorder,Party B shall arrangetoopen aconfirmed,irrevocable L/C available bydraft atsightin favourof Party A within the timestipulated intherelevant S/C.Party B shall alsonotify ParyA immediatelyafterL/C isopened,so thatParty Acan getprepared fordelivery.6佣金在本协议期满时，乙方完成了第二款所规定的数额，甲方当按装运货物所受到的全部发票金额付给乙方%的佣金CommissionUpon the eXpiration ofthe Agreement and Party B sfullfilmentofthetotal turnovermentioned inArticle2,Party A shall payto Party B%mission onthebasisof theaggregateamount ofthe invoicevalue alreadypaid by PartyB ofthe shipmentseffected.7市场情况报告乙方每三个月向甲方提供一次有关当时市场情况和用户意见的详细报告同时，乙方应随时向甲方提供其它供应商所给的类似商品的样品及其价格、销售情况和广告资料Reports onMarket ConditionsParty Bshallforward onceevery threemonths toParty Adetailedreports oncurrent marketconditions andofconsumers ments.Meanwhile,Party Bshall,from timeto time,send toParty A samples ofsimiliar moditiesoffered byothersuppliers,together withtheir prices,sales informaitonandadvertising materials.8宣传广告费用在本协议有效期内，乙方在上述经销地区内所作广告宣传的一切费用，由乙方自理乙方须事先向甲方提供宣传广告的图案及文字说明，由甲方审阅同意AdvertisingPublicity ExpensesParty Bshall bear alleXpenses for advertising andpublicitywithintheaforementioned territoryin thedurationof thisAgreementandsubmit toParty Aall patternsand/or drawingsand descriptionfor priorapproval.9协议有效期本协议由双方签字后生效，有效期年，自至O若一方希望延长本协议，则须在本协议期满前一个月书面通知另一方，经双方协商决定若协议一方未履行协议条款，另一方有权终止协议Validity ofAgreementThis agreement,after itsbeing signedby thepartiesconcerned shallremain ofin forcefor asfromto Ifeither partywish toe Xtend thisAgreement,he shall notice,in writing,the otherparty onemonthprior toits eXpiration,the mattershallbedecidedby consentofthepartieshereto.Should entherparty failto implementthe termsandconditions herein,the otherparty isentitled toterminatethe Agreement.10仲裁在履行协议过程中，如产生争议，双方应友好协商解决若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁该委员会决定是终局的，对双方均有约束力仲裁费用，除另有规定外，由败诉一方负担ArbitrationAll disputesarising fromtheeX ecutionofthisagreementshall besettled throughfriendly consultations.In casenosettlement canbe reached,the casein disputeshall thenbesubmitted tothe ForeignTrad ArbitrationCommission oftheChina Councilfor thePromotion ofInternational TradeforArbitration inaccordance withits ProvisionalRules ofProcedure.The decesionmade bythis missionshall beregardedas finaland bindingupon bothparties.Arbitrationfees shallbe borneby thelosing party,unless otherwiseawarded.11其它条款1甲方不得向经销地区其它买主供应本协议所规定的商品，如有询价，当转给乙方洽办若有买主希望从甲方直接订购，甲方可以供货，但甲方须将有关销售确认书副本寄给乙方，并按所达成交易的发票金额给乙方%的佣金2若乙方在月内未能向甲方提供至少的订货，甲方不承担本协议的义务3对双方政府间的贸易，甲方有权按其政府的授权进行有关的直接贸易，而不受本协议的约束乙方不得干涉此种直接贸易，也无权向甲方提出任何补偿或佣金要求4本协议受签约双方所签定的销售确认条款的制约11Other TermsConditions1Party Ashall notsupply thecontracted modityto anyother buyers inthe abovementioned territory.Directenquiries,if any,will bereferred toPartyB.Howerver,should anyotherbuyerswish todeal withParty Adirectly,Party Amay doso,But Party Ashallsend toPartyBa copyofsales confirmaitonand giveparty B%missions concluded.2Should PartyB failto passon hisorders toParty Aina periodof monthsforaminimum of,Party Ashall notbind himselfto thisAgreement.3For anybusiness transactedbetween governmentsofboth Parties,PartyAmay handlesuch directdealings asauthorizedbyPartyAsgovernment withoutbinding himselftothisAgreement.PartyBshallnotinterfere insuch directdealings,nor shallPartyBbring forwardany demandforpensation therefrom.4This Agreementshallbesubject tothe termsandconditions intheSalesConfirmation signedby bothpartieshereto.本协议于年月—日在签定，正本两份，甲乙双方各执一份This Agreementis signedon//at andisin twooriginals,each partyholds one.甲方PartyA乙方PartyB签字Signature签字Signature。
