2025商务英语合同中付款英语常用句型2025Business EnglishContract:Common PaymentEnglish句型PAYMENT TERMSAND CONDITIONSThisCONTRACT datedas of（the“DATE”by andbetween（COMPANY A），hereinafterreferred to as“COMPANY A”and（COMPANYB），hereinafter referredtoas“COMPANY B”,is madeandentered intofor thepurpose ofestablishing the terms andconditionsunder whichCOMPANY Ashall providegoods and/orservices to COMPANY B,and COMPANY B shallmake paymentthereforin accordance with the terms hereof.**
1.定义与范围（DEFINITIONS ANDSCOPE）**
1.**“AGREEMENT”shall meanthis Contractand anyexhibits、appendices、or schedulesattached hereto,asamended from time to time.**
2.**“GOODS”shall meanthe goods,if any,to besuppliedby COMPANY A toCOMPANY Bunder this Agreement.**
3.**“SERVICES”shall meanthe services,if any,tobe providedby COMPANY A toCOMPANY Bunder this Agreement.**
4.**“PAYMENT”shall meanthe considerationto bepaidby COMPANY B toCOMPANY Ain accordance with thetermshereof.第1页共7页**
5.**“DEFAULT”shall meanany failureor refusalbyCOMPANY Bto paythe amountdue andpayable underthisAgreement by the due date.**
2.付款条款（PAYMENT TERMS）**
1.**付款方式（MODE OFPAYMENT）COMPANY Bshall paythe amountdue hereunderinaccordance with thetermsset forthin this Agreement,whichshall bemade in（CURRENCY）to theaccountdesignated byCOMPANY Afromtimetotime.COMPANY Areservesthe rightto changethe designatedbank accountfor receivingpaymentsupon written notice toCOMPANY B.**

4.付款方式变更（CHANGE OFPAYMENT TERMS）Any requestfor achange inthe paymentterms,includingbut notlimited tothe modeof paymentor thepaymentschedule,shall bemade in writingbyCOMPANY Band approvedbyCOMPANY Ain writing.Such approvalshall notbeunreasonably withheld.**

5.记账与对账（INVOICING ANDRECONCILIATION）COMPANY Ashall issueinvoices toCOMPANY Bon amonthlybasis,or asotherwise agreedin writing.COMPANY Bshallreview theinvoices andnotify COMPANY A of any discrepancieswithin（NUMBER）business daysof receipt.Failure tonotify COMPANY A withinsuch period shallconstitute acceptanceof theinvoice byCOMPANY B.**

3.其他条款（OTHER PROVISIONS）**
1.**合同期限（TERM OFCONTRACT）This Agreement shall beeffective fromthe DATEspecifiedherein andshall continuein forceuntil terminatedby eitherparty inaccordancewiththeterms hereof.**
2.**合同终止（TERMINATION）Either partymay terminatethis Agreementby givingwrittennotice tothe otherpartyintheeventofamaterial第3页共7页breach ofcontract,provided thatthe breaching party shallhave（NUMBER）days tocure suchbreachafter receivingwrittennoticethereof.Failure tocurewithin suchperiodshall be deemedas irreparabledamage,andthe non-breachingpartyshall beentitled toterminate thisAgreementimmediately.**
3.**适用法律（GOVERNING LAW）This Agreementshall begoverned byand construedinaccordance withthe lawsof（JURISDICTION）.Any disputesor controversiesarising outof orin connectionwiththisAgreementshall beresolved through友好协商.If协商fails,the mattershall besubmitted tothe（COURT）for resolution.**
4.**整个协议（ENTIRE AGREEMENT）This Agreementconstitutes theentire agreementbetweenthe partieshereto withrespect tothe subjectmatter hereofandsupersedes allprior agreements,understandings,andnegotiations,whether oralor written.**
5.**修改（AMENDMENT）Any amendmentor modificationto thisAgreementshall bemade in writing andsigned byboth partieshereto.Noamendment shallbe validunless itis executedinwritinganddelivered toboth parties.**
4.双方责任与义务（RESPONSIBILITIES ANDOBLIGATIONS）**
1.**公司A的责任（RESPONSIBILITIES OFCOMPANYA）第4页共7页COMPANYAshall providethe goodsand/or servicesinaccordance withtheterms and conditionsoutlined inthisAgreement,ensuring compliancewith allapplicable lawsandregulations.**
2.**公司B的责任（RESPONSIBILITIES OFCOMPANY B）COMPANYBshall payall amountsdue underthis Agreementinaccordancewiththe specifiedtermsandconditions,andshall notwithhold anypayment exceptas explicitlypermittedby law.**
5.其他条款（MISCELLANEOUS）**
