1.Purpose andScope

1.1The purposeof this Agreement isto facilitatecollaborationbetween the Parties in theField,including butnotlimited tothe followingactivities:

1.2The scopeof the cooperation shall be asdescribed inExhibitA attached hereto,which formsan integralpart ofthis Agreement.

2.Cooperation Termsand Conditions

2.1The Partiesshall eachcontribute tothe cooperation.

2.2The allocationof resources,responsibilities,andduties shall be asdetailed inExhibit Battached hereto.

2.3The Partiesagree tomaintain openlines ofcommunicationand tomeet atleast onceeveryto discussthe progressof thecooperation.

3.Financial Terms

3.1The financialobligations of the Partiesshall beasfollows:

3.3The Partiesagree tokeep accuratefinancial recordsandto provideeach otherwith copiesof relevantfinancialstatements uponrequest.

4.Intellectual Property

4.1All intellectualproperty IPcreated duringthecourse of thecooperationshallbejointly ownedby theParties.

4.2The Partiesagree toexecute allnecessarydocumentation toregister andprotect theIP inthejurisdictions agreed upon inExhibit Dattachedhereto.

4.3The use of anypre-existing IPby eitherParty shallbesubject tothe priorwritten consentofthe other Party.

5.Confidentiality

5.1The Partiesagree tomaintain theconfidentiality ofallnon-public,proprietary informationexchanged duringthecourse ofthecooperationthe Confidential Information.

5.2The obligationsof confidentialityshall survivethetermination of this Agreementfor aperiod ofyears.

5.3The Partiesmay discloseConfidential Informationtotheir respectivelegal andfinancial advisorsprovided thatsuchadvisors arebound bysimilar confidentialityobligations.

6.1The termof thisAgreement shallcommence onandcontinue until,unless terminatedearlierin accordancewith theterms hereofthe Term.

6.2Either Partymay terminatethisAgreementwithimmediate effectintheevent ofa materialbreach bytheother Party,provided thatthe breachingParty hasbeen givendayswritten noticeto curethe breachand hasfailed todoso.

6.3Upon termination,the Partiesshall promptly:Return ordestroy allConfidentialInformationin theirpossession;Cease anyuseofthe otherPartys IP;Transfer anyrelevant filesand recordstotheotherParty.

7.Liability andIndemnification

7.1Neither Partyshallbeliable totheotherfor anyindirect,incidental,or consequentialdamages arisingout oforin connectionwith thisAgreement.

7.2Each Partyshall indemnifyand holdthe otherharmlessfrom andagainst anyclaims,damages,or expensesarisingout ofany third-party claimsthat resultfrom abreachofthisAgreement bythe indemnifyingParty.

9.Amendments

9.1Any amendmentsto thisAgreement mustbe inwritingand signedby bothParties.

10.Entire Agreement

11.Non-Binding Discussions
