2025年标准货物出口合同范本（中英文版）正文本合同（以下简称“本合同”）由以下双方于年月日签订甲方（出口商）:名称地址国家电话传真银行账户乙方（进口商）:名称地址国家电话传真银行账户鉴于甲方为合法注册的出口商，乙方为合法注册的进口商，双方本着平等互利、诚实信用的原则，经友好协商，达成如下一致协议
1.合同背景甲方同意向乙方出口下列货物，乙方同意从甲方进口下列货物双方将根据本合同的条款和条件履行各自的义务
2.货物描述
2.1甲方将向乙方提供以下货物（以下简称“货物”）第1页共12页（包括但不限于货物的名称、规格、数量、质量标准、包装要求等）
2.2货物的技术规格和质量标准应符合甲方提供的技术文件和相关标准，并符合乙方的要求
2.3货物的详细清单、数量及价格将由双方另行签署《货物清单》作为本合同的附件，构成本合同不可分割的一部分
3.货物交付
3.1交货地点（具体地点由双方协商确定）
3.2交货时间（具体时间由双方协商确定）
3.3甲方应确保货物按时、安全地交付至乙方指定的地点，并承担交货前的所有费用和风险
4.货物运输
4.1甲方应安排货物的运输，并支付运输费用运输方式包括但不限于海运、空运、陆运等，具体方式由双方协商确定
4.2运输单据甲方应向乙方提供所有必要的运输单据，包括但不限于商业发票、装箱单、提单或其他相关文件
4.3运输保险甲方应办理货物运输保险，保险费用由甲方承担，保险范围包括货物在运输过程中的损坏或灭失
5.付款条款
5.1付款方式（包括但不限于电汇、信用证、托收等方式）
5.2付款时间（具体时间由双方协商确定）
5.3双方同意按照以下汇率进行结算（如适用）第2页共12页
5.4甲方应开具符合乙方要求的商业发票，乙方应在约定的时间内支付货款
5.5若乙方未按期支付货款，甲方有权要求乙方支付逾期利息，利率为（具体利率由双方协商确定）
6.验收与质量保证
6.1乙方应在收到货物后日内进行验收，并书面通知甲方验收结果
6.2若乙方发现货物存在质量问题或与合同描述不符，应及时通知甲方，并提供相关证明甲方应在收到通知后日内予以答复并采取相应措施
6.3质量保证期（具体期限由双方协商确定）
6.4在质量保证期内，若货物出现质量问题，甲方应负责维修、更换或退货，并承担相关费用
7.知识产权
7.1甲方保证其提供的货物不侵犯任何第三方的知识产权，包括但不限于专利权、商标权、版权等
7.2若乙方因使用货物而遭受第三方知识产权侵权索赔或其他法律纠纷，甲方应承担相应责任并赔偿乙方的损失
8.保险
8.1甲方应办理货物运输保险，保险金额为货物总价值的%，保险范围包括货物在运输过程中的损坏或灭失
8.2若货物在运输过程中发生损坏或灭失，甲方应向保险公司索赔，并将索赔结果及时通报乙方
9.违约责任第3页共12页
9.1若任何一方未能履行其在本合同项下的义务，应承担相应的违约责任，并赔偿给对方造成的损失
9.2若甲方未能按时交付货物，乙方有权要求甲方支付违约金，违约金为延迟交付货物价值的‰每日，但不得超过货物总价值的%.
9.3若乙方未能按时支付货款，甲方有权要求乙方支付违约金，违约金为延迟支付货款的‰每日，但不得超过未支付货款总金额的%.
10.不可抗力
10.1若因不可抗力事件（包括但不限于战争、自然灾害、政府行为等）导致任何一方无法履行其在本合同项下的义务，受影响的一方应及时通知另一方，并在合理时间内提供相关证明
10.2受影响的一方应在不可抗力事件结束后尽快恢复履行其义务，双方可协商调整合同履行期限
10.3若不可抗力事件导致合同无法履行超过日，双方可协商解除合同，已履行的部分按实际履行情况结算
11.争议解决
11.1本合同履行过程中发生的一切争议，双方应通过友好协商解决
11.2若协商不成，任何一方均可向（具体地点由双方协商确定）有管辖权的法院提起诉讼
11.3本合同适用的法律为（具体法律由双方协商确定）
12.合同的变更与终止第4页共12页
12.1本合同的任何变更必须由双方协商一致，并以书面形式确认
12.2本合同在下列情况下终止a双方协商一致终止；b因不可抗力事件导致合同无法履行；c任何一方严重违约，另一方有权终止合同
12.3合同终止后，双方应立即停止任何与本合同相关的行为，并结算已履行部分的款项
13.其他条款
13.1本合同未尽事宜，双方可另行协商并签署补充协议，补充协议构成本合同不可分割的一部分
13.2本合同一式份，甲乙双方各执份，具有同等法律效力

2.2The technicalspecifications andquality standardsofthe Goodsshould complywith Party As providedtechnicaldocuments andrelevant standards,and meetParty Bsrequirements.
2.3The detailedlist,quantity,and priceof the Goodswill beseparately signedby both parties inthe GoodsListas anappendix to this Contract,which isan inseparable partof this Contract.
3.Delivery ofGoods
3.1Delivery Location:specific locationto be determined by mutual agreement betweenboth parties
3.2Delivery Time:specific timeto bedeterminedby mutualagreement betweenboth parties
4.Transportation
4.1Party Awill arrangethe transportationof the Goodsand bear the transportationcosts.The modeof transportationincludesbut isnot limitedto seatransportation,airtransportation,land transportation,etc.,which will be第7页共12页specifically determinedby mutualagreement betweenbothparties.
4.2Transportation Documents:Party Awill providePartyB withall necessarytransportation documents,including butnot limitedtocommercial invoices,packing lists,bills oflading,or otherrelevant documents.
5.Payment Terms
5.1Payment Method:including butnotlimited toteletransfers,letters ofcredit,collections,etc.
5.2Payment Time:specific timeto bedeterminedby mutualagreement betweenboth parties
5.3Both partiesagree tosettle accordingto thefollowingexchange rate:if applicable
5.4Party Awill issuea commercialinvoice asper PartyBsrequirements,and Party B willpay the货款within theagreedtime.
5.5If Party B failsto paythe货款on time,Party Ahasthe right to requireParty Bto payinterest onthe overdueamount,at arate ofspecific rateto bedeterminedby mutualagreement betweenboth parties.
6.Acceptance andQuality Guarantee
6.1PartyBwill conductan inspectionwithindays afterreceiving the Goods andnotify Party A of theinspection resultsin writing.第8页共12页
6.2If PartyB findsthat the Goods havequality issuesordo notconform tothe Contractdescription,they shouldpromptlynotify Party A and provide relevantproof.Party Ashouldreply tothe notificationwithin daysandtake correspondingmeasures.
6.3Quality GuaranteePeriod:specificperiod tobe determinedby mutualagreement betweenbothparties
6.4During thequality guaranteeperiod,if anyqualityissues arisewiththe Goods,Party Ashould beresponsiblefor repairs,replacements,or returns,and bearthe relatedcosts.
7.Intellectual Property
7.1Party Aguarantees thatthe Goodsit providesdo notinfringeupon anythird partysintellectual propertyrights,including butnotlimitedto patentrights,trademark rights,copyright,etc.
7.2If PartyB suffersfrom third-party intellectualpropertyinfringement claimsor otherlegal disputesdue totheuse of theGoods,PartyAshould assumecorrespondingliability andcompensate forParty Bslosses.
8.Insurance
8.1PartyAshould arrangetransportation insuranceforthe Goods,with aninsurance amountof%of第9页共12页the totalvalue oftheGoods,and theinsurance coverageincludesdamage orloss oftheGoodsduring transportation.
8.2If theGoods aredamaged orlost duringtransportation,PartyAshould makea claimwith theinsurancecompany andpromptly informPartyBoftheclaimresult.
9.Liability forBreach ofContract
9.1If either party failsto fulfillits obligationsunderthis Contract,it shouldbearthecorrespondingliability forbreach ofcontract andcompensate theotherparty forany lossesincurred.
9.2If PartyA failsto delivertheGoodson time,PartyB has the rightto requirePartyAto paya penalty,whichis‰ofthevalue ofthe delayedGoods perday,but doesnot exceed%ofthetotal valueoftheGoods.
10.Force Majeure
10.1In theevent ofForce Majeureevents includingbutnot limitedto wars,natural disasters,government actions,etc.,which preventeitherpartyfrom fulfillingitsobligations underthis Contract,the affectedparty shouldpromptlynotify theother partyandproviderelevant proofwithina reasonabletime.第10页共12页
10.2The affectedparty shouldresume the performance ofitsobligations assoon aspossible afterthe Force Majeureevent,and both parties maynegotiate toadjust the履行期限
10.3If theForce Majeureevent preventsthe performanceofthis Contractfor overdays,both partiesmaynegotiate toterminate the Contract,and settlethealready履行部分based onactual履行情况
11.Dispute Resolution
11.1All disputesarising from theperformanceof thisContractwill be resolved throughfriendly negotiationbetweenbothparties.
11.2If thedisputes cannotberesolvedthroughnegotiation,any partymay bringthe matterto thespecificlocation tobe determinedby mutualagreementbetween bothparties competentcourt.
11.3The lawsapplicable tothis Contractarespecific lawstobedeterminedbymutualagreementbetweenboth parties.
12.Amendment andTermination ofthe Contract
12.1Any amendmentstothis Contract mustbe agreeduponby bothparties inwriting.
12.2This Contractwillbeterminated inthe followingsituations:a Terminationupon mutualagreement;b Terminationdue toForceMajeure;第11页共12页c Ifany partymaterially breachestheContract,theother partyhastherighttoterminate theContract.
12.3Upon termination,bothpartieswill immediatelyceaseany actionsrelated tothisContractand settlethepayments forthe alreadyPerformed部分.
13.Other Provisions
13.1Any unresolvedmatters underthisContractwill bedeterminedby separateagreements reachedthrough friendlynegotiation,and suchagreements willbe aninseparablepartofthisContract.
13.2This Contractis madein copies,with eachparty holdingcopies,all ofwhichhave equallegal force.
