2025煤炭购销合同中英对照版本正文本合同（以下简称“本合同”）由以下双方于年月日在市区签订甲方（卖方）名称地址联系方式法定代表人营业执照编号乙方（买方）名称地址联系方式法定代表人营业执照编号鉴于甲方拥有煤炭资源并愿意向乙方出售煤炭产品，乙方愿意从甲方购买煤炭产品，双方依据《中华人民共和国合同法》等相关法律法规，本着诚实信用、公平互利的原则，经友好协商，达成如下协议第一条合同标的

1.1产品名称煤炭

1.2质量标准本合同项下所供煤炭的质量标准应符合国家相关标准（GB/T2006-2025），其中硫分（St，ad）≤

1.00%，灰分（Ad，第1页共12页ar）≤

16.00%，全水分（Mt，d）≤

8.00%，低位发热量（Qnet，ad）≥

24.00MJ/kg（以收到基计算）

1.3数量本合同约定的煤炭数量为吨（±%）

1.4交货地点（具体地点以双方确认为准）

1.5运输方式本合同项下的煤炭由运输，运输费用由承担

1.6交货时间本合同项下的煤炭应于年月日前完成交货第二条付款方式

2.1货款金额本合同项下的货款总额为人民币元（大写元整）

2.2付款方式乙方应通过银行汇款的方式支付货款，汇入甲方指定账户开户银行账户名称账号

2.3付款时间乙方应在本合同签订之日起日内支付货款总额的%作为定金，剩余货款应在煤炭到货并验收合格后日内付清

2.4付款凭证乙方完成付款后，应向甲方提供付款凭证，包括但不限于汇款回单、财务收据等

2.5逾期付款如乙方未能按时支付货款，甲方有权要求乙方支付逾期期间的违约金，违约金按每日%计算第2页共12页第三条验收

3.1验收标准乙方应在收到煤炭后日内完成验收，验收标准应符合本合同约定的质量标准及相关法律法规

3.2验收流程乙方应出具验收报告，确认煤炭的数量、质量等符合合同约定如发现问题，乙方应立即通知甲方，并提供相关书面证明材料

3.3质量异议乙方如对煤炭质量存在异议，应在收到煤炭后日内以书面形式通知甲方，否则视为验收合格第四条权利与义务

4.1甲方的权利与义务甲方应按本合同约定的数量、质量、时间向乙方提供煤炭甲方应确保煤炭来源合法，符合国家相关法律法规甲方有权要求乙方按时支付货款，并在乙方违约时采取相应的法律措施

4.2乙方的权利与义务乙方应按本合同约定的时间、方式支付货款乙方应按约定的时间、地点接收煤炭，并完成验收工作乙方有权对煤炭质量提出异议，并在规定时间内提供相关证明第五条违约责任

5.1违约情形甲方未按合同约定的数量、质量、时间提供煤炭；乙方未按合同约定支付货款或未履行验收义务；任何一方违反合同约定的其他义务

5.2违约处理第3页共12页违约方应赔偿守约方因违约造成的全部损失，包括但不限于直接损失、间接损失、律师费、诉讼费等若甲方未按合同约定交货，乙方有权要求甲方支付违约金，违约金按每日%计算，并有权解除合同若乙方未按合同约定付款，甲方有权要求乙方支付违约金，并有权解除合同第六条不可抗力

6.1不可抗力事件本合同双方因不可抗力事件导致无法履行合同义务时，应在事件发生后日内书面通知对方，并提供相关证明

6.2处理措施因不可抗力事件导致的合同义务无法履行，双方可协商延长履行期限或解除合同

6.3费用分担不可抗力事件导致的额外费用由双方协商分担第七条争议解决

7.1协商解决双方因履行本合同发生争议时，应通过友好协商解决

7.2调解解决如协商未果，双方可向（地点）的煤炭行业调解中心申请调解

7.3仲裁解决若调解未果，任何一方均可向仲裁委员会申请仲裁，适用仲裁规则

7.4诉讼解决本合同争议的最终解决方式为向人民法院提起诉讼

7.5连带责任违约方需承担因违约导致的全部法律后果，包括但不限于诉讼费、律师费等第八条合同的生效与终止第4页共12页

8.1生效条件本合同经双方签字盖章后生效

8.2终止条件本合同在双方履行完全部义务后自动终止

8.3提前终止双方协商一致可提前终止合同，终止协议需以书面形式确认

8.4合同解除如因违约导致合同解除，违约方应承担相应的法律责任和经济赔偿第九条附则

9.1合同补充本合同未尽事宜，双方可签订补充协议，补充协议与本合同具有同等法律效力

9.2法律效力本合同一式份，甲乙双方各执份，具有同等法律效力

3.2Acceptance Process:Party Bshall issuean acceptancereport,confirming thequantity andquality ofthe coal inaccordance withthe Contract.If anyissues arefound,PartyB shallimmediately notify Party Aand providewrittenevidence.

3.3Quality Objection:If Party B hasany异议regardingthe qualityofthecoal,it shallnotifyParty A in writingwithin daysfrom thedateofreceipt,otherwise acceptanceshallbedeemed satisfactory.Article4:Rights andObligations

6.1Force MajeureEvents:If eitherparty isunable toperformits obligationsunderthisContract due to a forcemajeure event,it shallnotify theother partyinwritingwithindays andproviderelevantproof.

6.2Remedies:Obligations underthisContract may beextendedortheContractmaybe terminatedduetoa forcemajeureevent.

6.3Cost Sharing:Additional costsresultingfromaforcemajeureevent shallbe sharedby both parties,subject tomutualagreement.Article7:Dispute Resolution

7.1Negotiation:Disputes arisingfrom theperformance ofthisContract shallfirst beresolved through友好协商.

7.2Mediation:If协商fails,bothpartiesmay applytothe locationCoal IndustryMediation Centerformediation.

8.2Termination Conditions:This Contractshallautomatically terminateupon completionof allobligations bybothparties.

8.3Early Termination:Both partiesmay agreetoterminatetheContract early,and thetermination agreementshallbe inwriting.
