1.1Party Aand Party B collectivelyreferredto as thePartiesdesire toestablish amutually beneficialrelationshipbased onthe principlesof cooperation,respect,and compliancewith applicablelaws andregulations.

1.2The purposeof this Contract isto outlinethe termsandconditions underwhich Party A shallprovidehereinafter referredto asthe Services to PartyB,andParty Bshall compensateParty Afor suchServices.Agreement

2.1Party Aagrees toprovide thefollowing ServicestoParty B:

2.2The Servicesshall beperformed inaccordance withthespecifications,timelines,and standardsagreed uponbythe Partiesduring thenegotiation process.

3.Term of the Contract

3.1The termof this Contract shallcommence onandcontinue until,unless terminatedearlierin accordance with theprovisions ofthis Contract.

3.2Either Partymay terminatethis Contractupondays writtennotice to the other Party,provided thatnobreach ofcontract existsat thetime oftermination.

4.Compensation andPayment Terms

4.1PartyBshall compensateParty Afor the Servicesrendered inaccordancewiththe feesoutlined inExhibit A,which isattached heretoand madean integralpart ofthisContract.

4.2All paymentsshall bemade withindaysoftheissuance ofan invoice,unless otherwiseagreedupon in writing.

4.3All paymentsshall bemade inthe currencyspecifiedin Exhibit A.

5.Intellectual PropertyRights

5.1All intellectual property rights,including butnotlimited topatents,trademarks,copyrights,and tradesecrets,第2页共5页created ordeveloped inthe courseof providingthe Servicesshallremain thesole propertyof,unlessotherwise agreedupon inwriting.

5.2PartyAgrants PartyB anon-exclusive,royalty-freelicense touse anyintellectualpropertycreated asa resultoftheServicesfor theduration ofthis Contract.

6.Confidentiality

6.1Each Partyagrees tomaintain theconfidentiality ofallnon-public,proprietary,or confidentialinformationhereinafter referredtoasConfidential Informationexchangedduring thenegotiation andexecution ofthisContract.

6.2The obligationsof confidentialityshall survivethetermination ofthis Contractfor aperiod ofyears.

7.Governing Law

7.1This Contract shall begoverned byand construedinaccordance withthe lawsof,without regardtoits choiceof lawprinciples.

7.2Any disputesarising outof orrelating to thisContract shall be resolvedthrough.

8.Entire Agreement

8.1ThisContract,together withany Exhibits,appendices,or schedulesattached hereto,constitutes theentireagreement betweenthe Partieswith respecttothesubject第3页共5页matter hereofand supersedesall prioragreements,representations,or understandings,whether writtenor oral.

8.2Any amendmentsor modificationstothisContract mustbemade inwriting andsigned byboth Parties.

9.Force Majeure

9.1Neither Partyshallbeliable forany failureordelay inperformance dueto eventsbeyond theirreasonablecontrol,including butnot limitedto actsof God,war,strikes,or governmentalactions.

9.2If suchan eventprevents eitherParty fromfulfillingits obligationsunder thisContract,the affectedPartyshall promptlynotify theotherPartyinwritingandmake reasonableefforts tominimize theimpact ofthe event.

10.Miscellaneous

10.1The failureof eitherParty to enforce anyprovisionof thisContractshallnot beconstrued asa waiverof suchprovisionor ofthe righttoenforcesuch provisionat alatertime.

10.2If anyprovision ofthisContractis foundto beinvalidor unenforceable,the remainingprovisions shallremainin fullforce andeffect.

11.Acceptance
