ofreceipt.Party Bshall resolvethe issuewithin daysofreceiving thenotification.第五条双方权利与义务Article5:Rights andObligations ofBoth Parties甲方权利与义务Duties andObligations ofPartyA:按时支付货款Pay the货款on time.按时接收货物，并完成验收Receive the Goods on time andcomplete theacceptance.有权要求乙方提供货物的合格证明文件Have theright torequest Party B toprovide certificatesofproduct quality.第5页共9页乙方权利与义务Duties andObligations topaythe货款ontime.为甲方提供技术支持和售后服务Provide technicalsupport andafter-sales servicetoParty A.第六条违约责任Article6:Liability forBreach ofContract若乙方交付的货物不符合合同约定的质量要求，甲方有权要求乙方更换或退货，乙方应承担由此产生的费用If theGoodsdeliveredbyPartyB donot meetthe qualityrequirementsspecified in the contract,PartyAhas therightto require PartyBto replaceor returntheGoods,and PartyBshall bearthe costsincurred thereof.若甲方无正当理由拒绝接收货物或支付货款，乙方有权要求甲方赔偿由此造成的损失If PartyA refusesto receivetheGoodsor paythe货款without justcause,PartyBhas therighttorequirePartyAto compensatefor thelosses alllosses.第七条不可抗力Article7:Force Majeure由于不可抗力事件导致合同无法履行的，双方应及时协商解决In theevent ofa forcemajeure eventthat preventstheperformance ofthe contract,both Partiesshall negotiatepromptlyto reacha solution.不可抗力事件包括但不限于战争、自然灾害、政府行为等Force majeureevents include,but arenot limitedto,war,natural disasters,government actions,etc.第八条争议解决Article8:Dispute Resolution因履行本合同发生的争议，双方应友好协商解决协商不成的，任何一方均可向合同签订地有管辖权的人民法院提起诉讼Disputes arisingfrom theperformanceofthis contractshall be resolvedamicably bymutual agreementbetween theParties.If nosettlement isreached,either Partymay bringalawsuit tothe人民法院with jurisdictionattheplace wherethecontract wasexecuted.第九条合同的变更与解除Article9:Amendments andTermination ofthe Contract本合同的任何修改或补充均需以书面形式并经双方签字盖章后方可生效第7页共9页Any amendmentsor supplementsto this contract shallbemade inwriting andshallbeeffective onlyafter signedandsealed by both
