2025合同范本-设备采购合同中英文对照版本示例本合同由以下双方于年月日在（城市/地区）签订甲方（采购方）名称地址法定代表人联系方式乙方（供应商）名称地址法定代表人联系方式鉴于甲方（以下称为“采购方”）需要采购设备，乙方（以下称为“供应商”）愿意提供并交付相关设备，双方本着平等、自愿、诚实信用的原则，经友好协商，达成如下协议第一条采购设备的范围和要求

1.1采购设备的名称、型号、规格、数量及技术参数如下（详细列出设备清单，包括但不限于设备名称、规格型号、数量、技术参数等）

1.2供应商提供的设备应符合以下标准和要求

（1）中华人民共和国相关法律法规及行业标准；

（2）设备的技术规格书及设计图纸（如适用）；

（3）双方约定的其他技术要求

1.3供应商应提供与设备相关的如下文件第1页共13页

（1）设备的出厂合格证书；

（2）设备的使用说明书及操作手册；

（3）设备的技术资料和图纸（如适用）；

（4）其他双方约定的文件第二条合同价格与支付方式

2.1合同总金额为人民币元（大写元整），以下简称“合同价格”合同价格包括但不限于设备的采购、运输、安装、调试、培训及相关服务费用

2.2合同价格的支付方式如下

（1）本合同签订后日内，采购方向供应商支付合同价格的%作为定金；

（2）设备交付并经初步验收合格后日内，采购方向供应商支付合同价格的%；

（3）设备完成最终验收并交付使用后日内，采购方向供应商支付合同价格的%；

（4）剩余合同价格的%作为质量保证金，质保期满后无质量问题一次性支付

2.3采购方应将款项支付至供应商指定账户账户名称开户银行银行账号

2.4供应商应开具合法有效的增值税专用发票，采购方在收到发票后按约定时间支付款项第三条设备的交付与验收第2页共13页

3.1交货时间供应商应于年月日前将设备交付至采购方指定地点

3.2交货方式供应商负责将设备运至指定地点，并承担运输过程中的一切费用和风险设备交付以采购方签署的收货单为准

3.3设备的初步验收

（1）设备到达采购方指定地点后，双方应共同进行初步验收，确认设备的数量、规格、型号与合同约定一致；

（2）初步验收不合格的，采购方应在收到设备后日内书面通知供应商，供应商应在收到通知后日内完成整改并交付；

（3）若因供应商原因导致初步验收不合格，供应商应承担相关费用

3.4设备的最终验收

（1）设备安装调试完成后，双方应共同进行最终验收，确认设备符合合同约定的技术要求和质量标准；

（2）最终验收合格后，双方签署《验收报告》，设备所有权转移至采购方；

（3）若因设备质量问题导致验收不合格，供应商应负责维修或更换，相关费用由供应商承担第四条安装调试与技术支持

4.1供应商负责提供设备的安装调试服务，包括但不限于设备的安装、调试、试运行及相关技术指导

4.2供应商应在设备交付后日内完成安装调试工作，并确保设备达到正常运行状态第3页共13页

4.3在安装调试期间，供应商应提供必要的技术支持，并对采购方的相关人员进行操作培训，培训内容包括但不限于设备的操作、日常维护及故障排除第五条质量保证与售后服务

5.1供应商承诺自设备交付之日起提供年（质保期）的免费质量保证服务，在质保期内，设备因质量问题导致的故障或损坏，供应商应免费维修或更换

5.2质保期内，供应商接到采购方通知后，应在小时内响应并到达现场处理问题

5.3质保期外，供应商仍应提供有偿的售后服务，具体费用由双方另行协商第六条合同的变更与解除

6.1双方协商一致，可以书面形式对本合同进行变更或解除

6.2在下列情况下，采购方有权解除合同，并要求供应商赔偿造成的损失

（1）供应商未按合同约定的时间交付设备，且在收到采购方书面通知后日内仍未履行；

（2）设备质量不符合合同约定，且供应商无法在约定期限内完成整改；

（3）供应商存在其他严重违约行为，导致合同目的无法实现第七条违约责任

7.1供应商逾期交货的，每逾期一日，应按合同价格的%向采购方支付违约金，逾期超过日的，采购方有权解除合同并要求赔偿损失第4页共13页

7.2采购方逾期付款的，每逾期一日，应按逾期金额的%向供应商支付违约金

7.3因设备质量问题导致采购方损失的，供应商应承担相应赔偿责任

7.4不可抗力因战争、自然灾害、政府行为等不可抗力事件导致合同无法履行的，双方可协商解除合同或变更合同条款，任何一方均不承担违约责任第八条争议的解决

8.1本合同履行过程中发生的一切争议，双方应通过友好协商解决若协商不成，任何一方均可向合同签订地人民法院提起诉讼第九条其他条款

9.1本合同未尽事宜，双方可另行签订补充协议，补充协议与本合同具有同等法律效力

9.2本合同自双方签字盖章之日起生效

1.Scope andRequirements of Equipment Purchase

1.2The equipmentprovided bythe supplier shall meetthefollowing standardsand requirements:

（1）Relevant laws,regulations,and industrystandardsof thePeoples Republicof China；

（2）Technical specificationsand designdrawings of theequipment if applicable；

（3）Other technicalrequirements agreed upon by bothparties.

1.3The suppliershall providethe followingdocumentsrelated tothe equipment:

（1）Certificate offactory quality；

（2）User manualand operationguide；

（3）Technical dataand drawingsifapplicable；

（4）Other documentsagreeduponby both parties.

2.Contract Priceand PaymentTerms

2.1The totalamount of the contractis RMByuanEquivalent to:yuan inwords,referredto asContract Price.The contract price includes,but isnot limited to,the costof equipmentprocurement,transportation,installation,commissioning,training,andrelated services.

（1）Within daysafter thesigning ofthiscontract,Purchaser shallpay%of thecontract price as a downpayment tothe supplier；

（2）Within daysafter the delivery andpreliminary acceptance of the equipment,Purchaser shallpay%of the contractpricetothe supplier；

（3）Within daysafter the finalacceptance and commissioning of the equipment,Purchasershall pay%of thecontractpriceto thesupplier；

（4）The remaining%ofthecontract priceshall be retainedasaquality保证金,to bepaid infullafter theexpiration ofthe warranty period ifno qualityissuesarise.

2.3Purchaser shallpay theamount tothe suppliersdesignatedaccount:Account Name:Bank:Account Number:

2.4The suppliershall issuea validspecial value-addedtax invoice,and thepurchaser shallpay theinvoice withintheagreed timeframe.

3.Delivery andAcceptance of Equipment第8页共13页

3.1Delivery Time:The equipment shall bedelivered tothe designated locationof Party A byParty Bno laterthanday ofmonth year.

3.2Method ofDelivery:The supplieris responsiblefordelivering the equipmenttothedesignatedlocation andshallbear allcosts andrisks associatedwith transportation.Thedelivery ofequipmentshall be deemedto haveoccurred uponthesignature ofthe deliveryreceipt bythe Purchaser.

3.3Preliminary AcceptanceofEquipment:

（1）Upon arrivalofthe equipment atthe designatedlocation,both partiesshall conducta jointpreliminaryacceptance toconfirm thequantity,specifications,and modelofthe equipmentas stipulatedin thecontract；

（2）If thepreliminaryacceptancefails,Purchaser shallnotifythe supplierin writingwithin days,and the suppliershall complete therectification anddeliverywithin daysupon receiptof thenotification；

（3）In caseof failuredue tothe suppliersreasons,the suppliershall bearthe relatedcosts.

3.4Final AcceptanceofEquipment:

（1）After the installation andcommissioning oftheequipment,both partiesshall conductthefinal acceptance toconfirmthat the equipment meetsthe technicalrequirementsand qualitystandards stipulatedin thecontract；第9页共13页

（2）Upon successfulfinalacceptance,both partiesshallsign theAcceptance Report,and theownership oftheequipment shalltransfer toPurchaser；

（3）In caseof failuredue toequipment quality,thesupplier shall be responsiblefor repairor replacementatits ownexpense within the stipulatedtime.

4.Installation,Commissioning,and TechnicalSupport

4.1The supplieris responsiblefor providinginstallation andcommissioningservices forthe equipment,including butnotlimitedtoon-site installation,commissioning,试运行,and technicalguidance.

4.2The suppliershallcompletetheinstallationandcommissioning workwithin daysafter thedeliveryofthe equipment andensure thatthe equipmentreachesits normaloperating condition.

4.3During theinstallationandcommissioning period,thesupplier shall provide necessarytechnical supportand traintherelevant personnelofthe Purchaser onequipmentoperation,daily maintenance,and troubleshooting.

5.Quality Guaranteeand After-Sales Service

5.1The supplierwarrants thattheequipmentdeliveredunder thiscontract shallbe freefrom defectsin materialsandworkmanship fora periodof yearswarranty period.During thewarranty period,the supplier第10页共13页shallprovidefree repairor replacementservices foranydefects ordamages caused by quality issues.

5.2Within thewarrantyperiod,upon receiptofnotification from the Purchaser,the suppliershall respondandreach thesite withinhours tohandle theissue.

5.3After thewarrantyperiod,the suppliershall stillprovidepaid after-sales service,and thespecific feesshallbe negotiatedby bothparties.

6.Changes andTermination ofthe Contract

6.1Both partiesmay agreein writingto amendorterminate thiscontract.

6.2Party Ahas the right to terminate thecontract andclaim compensation for losses inthe followingcases:

（1）Failure ofthe supplierto delivertheequipmentontime,and failureto fulfillthedeliverywithindays afterreceiving awritten noticefrom the Purchaser；

（2）Failure oftheequipmentto meetthe contractrequirementsdue toqualityissues,and thesuppliersinability torectify theissue withinthe stipulatedtimeframe；

（3）Other seriousbreach of contract bythesupplier,rendering thepurpose ofthecontractunachievable.

7.Liability forBreach ofContract第11页共13页

7.1If thesupplier deliverstheequipmentlate,thesupplier shallpay a违约金of%of thecontractprice per day tothePurchaser.If thedelay exceedsdays,thePurchasershall havetherighttoterminatethecontract andclaimcompensationforlosses.

7.2If thePurchaser delayspayment,it shallpay a违约金of%perdayon theoverdue amountto thesupplier.

7.3Any losscausedbyequipment qualityissues shallbeborne bythesupplier.

7.4Force Majeure:In caseof war,natural disasters,government actions,or otherforce majeureevents leadingtothe failureofcontractperformance,bothpartiesmaynegotiate toterminate oramend thecontract terms,andneither partyshallbeliable forbreach ofcontract.

8.Resolution ofDisputes

8.1Any disputesarising fromthe performanceof thiscontractshallberesolved throughfriendly consultationbetweenthe parties.If consultationfails,either partymaybring thematter tothe人民法院inthelocation wherethecontract wassigned.

9.Other Provisions

9.1Any未尽事宜in thiscontract maybe agreedupon inasupplementary agreementby bothparties,which shallhave thesamelegal effectas thiscontract.第12页共13页
