1.Scope ofServices

1.1Construction Services:Party Bshall providecomprehensiveconstruction servicesfor the Project,including butnot limitedto sitepreparation,foundationconstruction,turbine installation,electrical systemsinstallation,and otherrelated works.The scopeofconstruction servicesshall bedetailed inthe ConstructionWorkPlan attachedhereto asExhibit A.

1.2OperationMaintenance Services:Party Bshallprovide professionaloperation and maintenance servicesforthe Projectpost-commissioning,including butnot limitedtoregular inspections,equipment repairs,performancemonitoring,and otherrelated tasks.The scopeof operationmaintenance servicesshall bedetailed inthe OM Work Planattachedhereto asExhibit B.

2.Term of the Contract

2.1The termof this Contract shallcommence ontheEffective Dateand continueuntil theExpiration Date.第2页共8页

2.2This Contract shall automaticallyrenew foranadditional yearsunless either Party provideswritten notice oftermination atleast dayspriorto theExpirationDate.

3.Payment Terms

3.1Construction ServicesFee:Party Ashall payParty Batotal feeof theConstruction Feeforthe constructionservices provided under this Contract.TheConstruction Fee shall be paid inaccordance withthe paymentscheduleoutlined in Exhibit C.

3.2OperationMaintenance ServicesFee:Party Ashallpay Party B atotal feeof theOM Feeforthe operationmaintenance servicesprovidedunder thisContract.The OMFeeshall bepaidonabasisas outlinedinExhibitC.

3.3All paymentsshall bemade into thefollowingaccount:Bank Name:Account HolderName:Account Number:

3.4Party Bshall issueinvoices toParty Aon abasis.Party Ashall payall validinvoices withindaysof receipt.

4.Responsibilities andObligations

1.1Party Ashall provideParty B with allnecessaryinformation,documents,and permitsrequired for theexecution of the Project,including butnot limitedtoenvironmental impactassessments,land usepermits,and othergovernmentalapprovals.

1.2Party Ashall coordinatewith allrelevantstakeholders,including governmentagencies,localcommunities,and otherproject participants,toensuresmoothproject execution.

1.3Party Ashall provideParty Bwith accessto theProjectsite,including butnot limitedto thenecessaryinfrastructure,utilities,and facilities.

1.4Party Ashall beresponsible forthe timelypaymentof allagreed feesand expensesunderthis Contract.

4.2Responsibilities ofParty B:

2.1Party Bshall ensurethat allconstruction andoperationmaintenance servicesare performedin accordancewithapplicable laws,regulations,and industrystandards.

2.2Party Bshall appointa projectmanager andadedicated teamto superviseand executethe Projectinaccordance withtheagreedtimeline andqualitystandards.

2.3Party Bshall maintainproper documentationof allworksperformed,including butnot limitedto dailyreports,inspection records,andmaintenancelogs,which shall be madeavailabletoParty A uponrequest.第4页共8页

2.4Party Bshall ensurethat allpersonnel engagedinthe Projectare properlytrained,qualified,and insuredinaccordance withapplicable lawsand regulations.

2.5Party Bshall promptly notify Party A ofanypotential delays,issues,or risksthat mayaffect thetimelycompletion of theProjectorthequality ofservices.

5.Quality Standardsand Assurance

5.1Construction Standards:All constructionactivitiesshall becarried outinaccordancewith internationallyrecognizedstandards andguidelines,including butnotlimited tothose setforth by the InternationalEnergy AgencyIEA,the GlobalWind EnergyCouncil GWEC,and otherrelevantorganizations.

5.2Performance Guarantees:Party Bshall provideperformanceguarantees forthe construction and operationmaintenance services,ensuring thattheProjectmeets theagreedtechnical specifications,energy outputtargets,andsafety standards.

5.3Warranty:Party Bshall providea warrantyperiod ofyearsfor allconstructionandOM services,during whichanydefects ormalfunctions arisingfrom theservices providedshall be repairedor rectifiedat noadditional costto PartyA.

6.1In theevent ofa force majeure eventsuch asnaturaldisasters,acts ofwar,governmental actions,orpandemics,either Party shallbeexcused fromitsobligations underthisContractto theextent suchobligationsare affectedbytheforce majeure event.

6.2The affectedParty shallpromptlynotifythe otherPartyoftheoccurrence ofa forcemajeureeventand take allreasonable stepsto mitigateits effects.

6.3The termof thisContractshallbe extendedby aperiodequivalent to the durationoftheforcemajeureeventwithout anypenalty toeitherParty.

7.Termination and违约责任

7.1Termination byParty A:Party Amay terminatethisContract atany timeby givingParty Bwritten noticeifParty Bfails toperform itsobligations underthisContract,provided thatParty Ahas givenPartyBa reasonableopportunityto curesuch breachwithin daysofreceiving writtennotice ofthe breach.

7.2Termination byPartyB:PartyBmay terminatethisContract ifPartyAfails tomake anypayment dueunder thisContractwithin daysofthedue date,or ifPartyA breachesany othermaterial termsof thisContract.

7.3Termination forConvenience:Either Partymayterminate thisContract atany timefor convenience,provided第6页共8页that atleast dayswrittennoticeis giventothe otherParty.

7.4违约责任:In theevent ofany breach of thisContractby eitherParty,the breachingPartyshallbe liablefor alllosses,damages,and expensesincurred bythe non-breachingParty asa directresult ofthe breach.The non-breachingParty shalltakeallreasonable stepsto mitigatesuch losses.

8.Governing Lawand DisputeResolution

8.1This Contractshallbegoverned byand construedinaccordance withthe lawsof.

8.2Any disputesor controversiesarising outof orinconnection withthisContractshallberesolved through友好协商first.If协商fails,the Partiesagree tosubmit thematterto theexclusive jurisdictionofthecourtsof.

9.Miscellaneous

9.1Entire Agreement:This Contractconstitutes theentireagreement betweenPartyAand PartyBwithrespect tothesubject matterhereof andsupersedes allprior agreements,understandings,and arrangements,whether oralor written.

9.2Amendments:Any amendmentsto thisContract mustbemade inwriting andsigned byboth Parties.

9.3Severability:If anyprovision ofthisContractisfound tobe invalidor unenforceable,the remainingprovisionsshall remainin fullforce andeffect.第7页共8页
