2025商务合同范本大全中外合作合同中英文版中外合作合同（中英文版）本合同（以下简称“本合同”）由以下双方于年月日在（以下简称“中国”）（城市）签订甲方名称注册地址注册资本法定代表人联系方式乙方名称注册地址注册资本法定代表人联系方式鉴于甲方为在中国境内依法注册并有效存续的公司，从事（业务领域）；乙方为在（国家/地区）依法注册并有效存续的公司，从事（业务领域）；双方均有意在平等互利的基础上，就（合作项目/业务领域）开展合作，共同促进业务发展第1页共11页根据《中华人民共和国合同法》及其他相关法律法规，双方经友好协商，达成如下协议第一条合作内容
1.1双方同意在以下领域开展合作（具体合作领域）；（具体合作内容）
1.2双方同意共同投资、共同开发、共同分享收益，具体投资金额及分配比例以本合同第三条约定为准
1.3双方同意在合作期间相互提供必要的支持和协助，包括但不限于技术、人员、信息、资源等第二条权利与义务甲方的权利与义务
2.1甲方负责在中国境内（具体职责，如市场推广、渠道建设、政策协调等）
2.2甲方应按照约定的时间和方式提供合作所需的资金或资源
2.3甲方有权监督乙方在中国境内的合作行为，确保符合中国法律法规及双方约定乙方的权利与义务
2.4乙方负责在（国家/地区）（具体职责，如技术开发、产品供应、市场推广等）
2.5乙方应按照约定的时间和方式提供合作所需的资金或资源
2.6乙方有权监督甲方在（国家/地区）的合作行为，确保符合当地法律法规及双方约定第三条费用与支付第2页共11页
3.1双方同意合作所需资金总额为人民币元（或币），其中甲方出资人民币元，乙方出资人民币元
3.2双方的出资应于本合同签订之日起日内汇至双方共同指定的账户，具体账户信息另行约定
3.3投资收益的分配比例为甲方%，乙方%收益分配时间及方式由双方另行协商确定第四条知识产权
4.1合作过程中产生的知识产权归双方共有，具体权利归属及使用权限另行约定
4.2双方在使用对方的知识产权时，应事先取得对方的书面授权，并严格按照授权范围使用第五条保密条款
5.1双方承诺对在合作过程中获知的对方的商业秘密、技术秘密及其他机密信息予以保密，未经对方书面同意，不得向任何第三方披露
5.2本条款的保密义务在本合同终止后仍然有效，期限为年第六条合同期限与终止
6.1本合同的有效期限为年，自年月日起至年月日止
6.2本合同在下列情况下终止
（1）双方协商一致同意终止；第3页共11页
（2）任何一方违反合同约定，且在收到守约方书面通知后日内未予改正；
（3）因不可抗力导致合同无法履行
6.3合同终止后，双方应立即停止合作，并按照约定处理相关事宜第七条违约责任
7.1任何一方未履行或未完全履行本合同约定义务的，应向守约方支付违约金，金额为元（或币）
7.2因违约行为导致的损失超过违约金的，违约方还应赔偿守约方遭受的损失第八条不可抗力
8.1因战争、自然灾害、政府行为等不可抗力事件导致本合同无法履行的，双方互不承担责任，但应在事件发生后日内书面通知对方，并提供相关证明
8.2双方同意在不可抗力事件期间暂时中止履行合同，中止履行的期限与不可抗力事件的影响期限一致第九条争议解决
9.1因本合同引起的或与本合同有关的任何争议，双方应通过友好协商解决
9.2协商不成的，任何一方均可向（地点）有管辖权的人民法院提起诉讼第十条其他条款
10.1本合同未尽事宜，双方可另行签署书面协议，作为本合同的补充协议，补充协议与本合同具有同等法律效力第4页共11页
10.2本合同的修改或补充应经双方协商一致，并以书面形式确认
10.3本合同自双方签字盖章之日起生效

5.1Both partiesundertake tomaintain confidentialityoverthe commercialsecrets,technical secrets,and otherconfidentialinformation obtainedduringthecooperationprocess andshall notdisclose suchinformation toany thirdpartywithout thewritten consentof theotherparty.
5.2The confidentialityobligations underthis Articleremainvalid afterthe terminationof thisContract,with aduration of years.Article6Term ofContract andTermination
6.1The effectiveterm of thisContractisyears,from day ofmonth,to dayofmonth,.
6.2This Contract may terminateunder thefollowingcircumstances:
（1）Both partiesagree toterminate uponmutualconsent；
（2）Any partybreaches theContract andfails tomakecorrections withindays afterreceiving awrittennotice fromthe non-breaching party；

7.1Any partythat failsto performor fulfilltheobligations stipulatedin thisContract shallpay apenaltyof RMBorcurrencytothenon-breaching party.
7.2If theloss causedby thebreach ofcontract exceedsthepenalty,the breaching party shallalso compensatethenon-breachingpartyfor theloss.Article8Force Majeure
8.1In theevent ofwar,natural disasters,governmentactions,or otherforce majeure events thatrender thisContractunable tobe performed,both partiesshall notbeheld responsible.The affectedparty shallnotify theotherparty inwriting withindays andproviderelevant proofs.

9.1Any disputesarisingfromor relatedto thisContractshall beresolved throughfriendly negotiationsby双方
