1.Scope of the Contract

1.1Goods andServices:Party Ashall supplyto Party Bthe followinggoods:煤炭，具体种类包括但不限于（例如anthracite,bituminous coal,etc.）

1.2Quantity:The totalquantity ofcoal tobe suppliedunder this Contract shall bemetric tonstheQuantity.

1.3Quality Standards:The qualityof the coal shallconformto the agreed specificationsand standards,includingbut not limited to the following:Ash Content:≤%Moisture Content:≤%Sulfur Content:≤%Calorific Value:≥kcal/kgSuch quality standards shall be in accordance with theapplicable standards and regulationsof both Partiescountries.

2.Terms andConditions ofPayment

2.1Payment Terms:Party Bshall paythe agreedprice forthe goods asfollows:第2页共7页The total price forthecoalshall bedollarsUSD permetric ton,unless otherwisespecified intheCommercial Invoice.Party Bshall openan irrevocableletter ofcredit infavorof Party A,which shall be confirmedby abankacceptable to Party A.The Letterof Credit shall beopenedwithin daysafter the date of this Contract.

2.2Payment Schedule:%of thetotalpriceshall bepaid uponthepresentation of the shipping documents,including butnotlimited to the Bill of Lading,Commercial Invoice,andCertificate ofOrigin.The remaining%shall bepaid withindaysafter the delivery of the goodstothedesignated port.

2.3Currency:All paymentsunder this Contract shall bemade inUnited StatesDollars USD,unless otherwiseagreedin writing.

3.Delivery Terms

3.1Shipping:The coalshall beshipped from the portof,China,totheport of,Russian Federation,by carriername oranyother carrieragreed uponby the Parties.

3.3Shipping Schedule:The goodsshall beshipped withindaysafter thedate of thisContract,unless otherwiseagreedin writing.

3.4Risk ofLoss orDamage:The riskof lossor damagetothe goodsshall passto PartyB uponthedeliveryof thegoodsat thedesignated portin theRussian Federation.

4.Inspection andCertification

4.1Pre-shipment Inspection:Party Ashall arrangefor apre-shipment inspectionofthe goods bya mutuallyagreed-upon inspectioncompany or机构.The inspectionshall beconductedin accordance withthestandardsandspecificationsagree

4.2CertificateofQuality:Party Ashall issueacertificate ofquality forthe goods,stating thatthe goodsmeettheagreedqualitystandards,and shallattach itto theshippingdocuments.

4.3Discrepancy Handling:In theevent anydiscrepancy isfoundinthequality orquantity ofthegoods,the Partiesshall协商解决within daysafter receiptofthe goods.

5.1Force Majeure:Neither Partyshall beliable foranyfailure ordelay inperformance ofits obligationsunder thisContractif suchfailure ordelay isdue toevents beyonditsreasonable control,including butnotlimitedto actsof war,strikes,natural disasters,and governmentactions.

5.2Compensations:If PartyA fails to deliverthegoodsinaccordance withthe termsof thisContract,itshallpay toPartyBa penaltyof%ofthecontract price for each day ofdelay.If PartyB failsto paythe priceor openthe LetterofCredit inaccordancewiththe termsofthisContract,itshall paytoPartyA apenalty of%of thecontractpriceforeachdayof delay.

5.3Termination:If eitherParty commitsa materialbreach ofthisContract andfailstocure suchbreach withindaysafter receivingwritten noticefromtheother Party,thenon-breaching Partyshall havethe rightto terminatethisContract.

6.Governing Lawand Dispute Resolution

6.1Governing Law:This Contract shall begoverned byandconstrued inaccordancewiththe lawsofthePeoplesRepublic ofChina.

6.2DisputeResolution:Any disputesarising outof orrelatingto thisContractshallbe resolvedthrough友好协商.第5页共7页If协商不成，the disputesshallbesubmitted tothe ChinaInternationalEconomic andTrade ArbitrationCommissionCIETAC forarbitration inBeijing,China,in accordancewithits仲裁规则.The arbitrationaward shallbe finalandbinding uponbothParties.

7.Miscellaneous Provisions

7.1Entire Agreement:This Contractconstitutes theentireagreement betweenthe Partieswith respectto thesubjectmatter hereof.Any prioror contemporaneousunderstandings,representations,or agreementsnot expressedhereinshallbe无约束力

7.2Amendments:Any amendmentsor modificationsto thisContractshallbe in writingand signedby bothParties tobe有效

7.3Notices:All notices,requests,demands,or othercommunicationsunderthisContractshallbeinwriting andshallbe deliveredpersonally,by registeredor certifiedmail,return receiptrequested,or bya recognizedinternationalcourier service,and shallbe deemedto havebeenduly givenupon receipt.
