2025区域代理合同范本:外贸产品代理协议中英文版外贸产品代理协议（中英文版）本协议（以下简称“本协议”）由以下双方于年月日在市签订甲方（代理商）名称地址联系方式银行账户乙方（供应商）名称地址联系方式银行账户鉴于甲方希望成为乙方外贸产品的区域代理，乙方愿意授权甲方在其指定区域内销售其产品，双方本着平等、自愿、诚实信用的原则，经友好协商，达成如下协议第一条定义与解释
1.1产品指乙方生产的，适用于国际贸易的产品，具体包括但不限于类产品
1.2区域指乙方授权甲方代理销售产品的地理区域，具体为国家和地区
1.3代理指甲方在授权区域内，以乙方名义从事产品销售、推广、市场开拓等活动的行为第1页共12页第二条合同内容
2.1代理权授予乙方正式授权甲方为区域内的唯一代理商，甲方在该区域内享有独家代理权，乙方不得在该区域内向其他第三方提供相同或类似的产品代理权
2.2产品范围本协议涵盖的产品范围为，具体产品清单详见附件
2.3市场价格产品的市场价格由乙方制定，甲方应按照乙方提供的价格表进行销售如遇价格调整，乙方应提前书面通知甲方第三条权利与义务
3.1甲方的权利

1.1甲方有权在授权区域内以乙方名义进行产品的销售、推广和市场开拓活动
3.
1.2甲方有权要求乙方提供必要的产品资料、技术支持和培训，以确保甲方能够有效地开展代理工作
3.2甲方的义务

2.1甲方应积极推广乙方产品，努力实现销售目标
3.
2.2甲方应维护乙方的商誉，不得从事任何有损乙方形象和利益的行为
3.
2.3甲方应按时向乙方支付货款，并严格遵守乙方的财务规定

3.1乙方有权监督甲方的代理行为，确保甲方遵守本协议及乙方的相关规定
3.
3.2乙方有权对产品进行质量控制，确保产品符合国际标准
3.4乙方的义务

4.1乙方应按照协议约定，向甲方提供产品，并确保产品质量符合约定标准
3.
4.2乙方应提供必要的技术支持和培训，帮助甲方更好地开展代理工作第四条费用与支付方式
4.1代理费用甲方按销售额的%向乙方支付代理费，具体计算方式见附件
4.2支付方式甲方应通过银行转账或其他双方认可的方式支付代理费，支付时间为每月日第五条合同期限与终止
5.1合同期限本协议自签订之日起生效，有效期为年，至年月日终止
5.2合同终止
5.
2.1本协议在期限届满后自动终止，除非双方协商续签
5.
2.2在合同期内，如一方严重违约，另一方有权提前终止合同
5.3终止后的处理第3页共12页

3.1合同终止后，甲方应立即停止使用乙方的商标、标识及相关资料
5.
3.2未结算的款项应在合同终止后日内结清第六条违约责任
6.1违约情形
6.
1.1甲方未按约定支付代理费或货款，导致乙方遭受损失的

1.2甲方在授权区域外销售乙方产品，或向非授权区域内的客户销售产品的

1.3未经乙方书面同意，甲方擅自改变产品价格的
6.2违约责任
6.
2.1违约方应赔偿因违约行为造成的全部损失

2.2如因违约导致合同无法履行，违约方应承担相应的法律责任第七条争议解决
7.1协商解决因本协议引起的或与本协议有关的任何争议，双方应通过友好协商解决
7.2法律途径如协商不成，任何一方均可向人民法院提起诉讼第八条其他条款
8.1合同的完整性和修改本协议的任何修改或补充均需以书面形式进行，并经双方签字盖章后方可生效第4页共12页
8.2不可抗力因不可抗力事件导致的合同无法履行，双方可协商延期履行或终止合同
8.3通知本协议项下的任何通知应以书面形式发送至本协议中列明的地址，如地址变更，应提前书面通知对方
8.4适用法律本协议适用中华人民共和国法律
8.5其他本协议未尽事宜，双方可另行协商并签订补充协议，补充协议与本协议具有同等法律效力第九条合同生效本协议自双方签字盖章之日起生效第十条附则
10.1本协议中文版和英文版具有同等法律效力，如两者发生歧义，以中文版为准

2.1Grant ofAgency RightsParty B officiallyauthorizes Party A as the exclusiveagentin theregion.Party A shall have thesole agency rights inthat region,and Party B shallnotprovide similaragencyrightsto anyother thirdparty inthatregion.
2.2Product ScopeThescope ofproducts coveredby this agreementincludes,with specificproduct detailslistedin the attachments.

2.2Party Ashall maintainParty Bsreputation andshallnot engagein anyconduct thatdamages Party Bs imageandinterests.

3.3Rights ofPartyB
