2025废旧钢材收购合同模板（中英双语）正文本合同（以下简称“本合同”）由以下双方于年月日签订甲方（收购方）名称地址法定代表人联系方式乙方（供货方）名称地址法定代表人联系方式鉴于甲方希望收购乙方的废旧钢材，乙方愿意向甲方提供符合本合同约定的废旧钢材，双方经友好协商，达成如下协议第一条定义与解释

1.1本合同中，以下术语具有如下含义废旧钢材指乙方拥有的、符合国家相关法律法规及行业标准的废旧钢材，包括但不限于建筑钢材、工业钢材及其他形式的废旧钢材交付货物指乙方按照本合同约定的时间、地点及方式向甲方交付废旧钢材的行为付款指甲方按照本合同约定的条件、方式及时间向乙方支付收购废旧钢材的款项第1页共11页

1.2本合同中的其他术语，应按照其在本合同中的上下文和通常含义进行解释第二条合同标的

2.1乙方同意向甲方出售以下废旧钢材品种规格数量质量标准

2.2乙方保证其对所出售的废旧钢材拥有合法的所有权或处分权，并保证该废旧钢材不存在任何权利瑕疵或争议第三条收购条件

3.1甲方同意按照本合同约定的条件收购乙方的废旧钢材

3.2收购价格本合同项下废旧钢材的收购价格为人民币元/吨（含税），具体结算方式以本合同第四条约定为准

3.3支付方式第一期付款甲方向乙方支付合同总金额的%作为定金，时间为本合同签订之日起个工作日内第二期付款甲方向乙方支付剩余合同金额，时间为货物交付并验收合格后个工作日内甲方将款项支付至乙方指定账户账户名称开户银行账号

3.4乙方应向甲方提供与交易相关的所有必要文件，包括但不限于增值税发票、发货单、质量证明等第2页共11页第四条验收标准与方式

4.1验收标准废旧钢材的质量、规格、数量应符合本合同第二条的约定废旧钢材的交付应符合相关法律法规及行业标准

4.2验收方式乙方应在交付货物前个工作日内通知甲方，并提供完整的货物清单甲方有权在货物到达指定地点后，对货物进行验收，验收结果应以甲方出具的验收报告为准若甲方在验收过程中发现问题，应在收到货物后日内书面通知乙方，乙方应于收到通知后日内予以解决或更换第五条交付方式

5.1交货时间乙方应于年月日前完成货物的交付

5.2交货地点

5.3运输方式由乙方负责运输，运输费用由方承担

5.4货物风险货物在交付前的风险由乙方承担，交付后由甲方承担第六条权利与义务

6.1甲方的权利与义务按时支付合同款项验收货物，并在验收合格后完成结算有权要求乙方提供与交易相关的所有必要文件第3页共11页

6.2乙方的权利与义务按时交付符合合同约定的废旧钢材保证其所提供的废旧钢材不存在任何权利瑕疵或法律问题配合甲方完成货物的验收及其他相关手续第七条合同的变更与解除

7.1经双方协商一致，可以书面形式对本合同进行变更或解除

7.2若因不可抗力导致无法履行本合同的，双方应及时协商解决第八条违约责任

8.1若甲方未按本合同约定支付款项，应向乙方支付逾期金额的‰/日的违约金，直至付清为止

8.2若乙方未按本合同约定交付货物，应向甲方支付合同总金额的%作为违约金，并赔偿造成的损失

8.3若乙方交付的货物不符合合同约定的质量或数量要求，甲方有权要求乙方更换或减价，或解除合同并要求赔偿损失第九条不可抗力

9.1由于不可抗力事件（如战争、自然灾害、政府行为等）导致任何一方无法履行本合同的，应在事件发生后日内书面通知对方，并尽力减少损失

9.2因不可抗力事件导致合同无法履行的，双方可协商解除合同或变更合同义务第十条争议解决

10.1因履行本合同发生的争议，双方应友好协商解决协商不成的，任何一方均可向人民法院提起诉讼第十一条其他条款第4页共11页

4.2Inspection Methods:PartyBshall notifyParty Ain writingbusinessdays beforedelivery andprovideacomplete listofgoods.Party Ahas theright toinspect the goods uponarrivalat thedesignated locationand shallissue aninspectionreport.If Party A findsany issuesduring inspection,it shallnotifyPartyBin writing within days,andParty Bshall resolveor replacethegoodswithindays uponreceipt ofthe notification.Article5Delivery Methods第8页共11页

6.2Rights andObligations ofPartyB:Deliver goodsincompliancewiththequality andquantitystipulated inthis contract.Guarantee thattheusedsteelitprovides hasno propertyrightsdefects orlegal issues.Cooperate withPartyAto completeinspection andotherrelated procedures.Article7Changes andTermination ofthe Contract

9.1In theevent offorce majeuree.g.,war,naturaldisasters,government actions,etc.,causing any party tobeunable tofulfill thiscontract,it shallnotify theotherparty inwritingwithindays andmake effortstominimize losses.第10页共11页

11.1Any unresolvedmatters underthiscontractmay besettledby theparties throughsupplementary agreements,which shallhave thesame legal effect asthiscontract.
