1.02:Effective DateThiscontract shalltake effecton thedate ofsignatureby both parties and shall remainin fullforce andeffectuntil the completion of the Projectand fullpayment of alloutstanding obligations,as specifiedherein.Article

3.02:Quality StandardsTheconstruction andcommissioningof theProjectshallcomply withthe followingstandards:National GridCorporation NGCstandards forgridconstruction.International ElectrotechnicalCommission IECstandardsfor electricalinstallations.All relevantlocal andnational buildingcodes andregulations.Upon completion,Party A shall providea comprehensivereportdetailing thecompleted worksand ensuringcompliancewith thestated standards.Part IV:Safety andComplianceArticle

4.01:Safety MeasuresParty A shallimplement allnecessary safetymeasuresduring theconstruction processto ensurethe safetyof itsemployees,subcontractors,and thepublic.Party Ashall be第3页共8页liable forany accidentsor injuriesresulting fromnegligencein theimplementation ofsafety protocols.Article

4.02:Environmental ComplianceParty Ashallensure thatall constructionactivities areconductedin compliancewith applicableenvironmental lawsandregulations.Party Ashall beresponsibleforobtainingall necessaryenvironmental permitsand forminimizing anyenvironmentalimpact resultingfrom theconstruction process.Part V:Payment TermsArticle

5.01:Payment ScheduleThetotal contractprice fortheProjectisRMB Hereinafterreferredtoas Contract Price.Paymentsshall be made asfollows:30%of theContract Priceshall bepaid byParty Buponthe commencementofconstruction.40%of theContract Priceshall bepaid byParty Buponthe completionof50%of theProject.20%of theContractPriceshall bepaid byParty Buponthe completion and acceptance of theProject.The remaining10%shall beretained asa qualityretentiondeposit,to bepaid toPartyAwithin12months oftheProjects completionand acceptance.All paymentsshallbemade inaccordancewiththe paymenttermsoutlinedin theattachedPayment AgreementAnnex C.Part VI:Acceptance andCommissioning第4页共8页Article

6.01:Project AcceptanceUpon thecompletionoftheProject,PartyAshall provideParty B withallnecessarydocumentation,including butnotlimited totest reports,certifications,and operatingmanuals.Party Bshall conducta finalinspection oftheProject within30days ofits completion.If anydefects ornon-compliance issuesare identifiedduringtheinspection,PartyAshallberesponsibleforrectifying themat noadditionalcost toPartyB.Article

6.02:Project CommissioningUponthe successfulcompletionandacceptanceoftheProject,PartyAshall assistPartyBinthecommissioningprocess,including butnotlimitedto providingtraining ontheoperation andmaintenance ofthe newlyconstructed gridinfrastructure.Part VII:Liability andIndemnificationArticle

7.01:LiabilityBoth partiesshallbeliable forany damageor losscausedto theother partydue tobreach ofthis contractorfailure tocomply withthe termsand conditionsoutlinedherein.Article

8.01:Definition ofForce MajeureForcemajeure shallbe definedas anyevent beyondthereasonable controlof either party,including butnot limitedtonatural disasters,acts ofwar,or governmentactions thatdirectlyor indirectlyprevent ordelay theperformance ofthis contract.Article

8.02:Impact ofForce MajeureIn the event ofaforce majeure,the affectedparty shallpromptlynotify theother partyin writingandshallmakereasonable effortsto mitigatethe impactoftheevent.Thedeadline forperformance underthis contractmay beextendedby aperiod equalto thedurationofthe force majeure event.If theforcemajeureevent persistsfor morethan60days,either partymay havethe rightto terminatethis contractwithoutliability.Part IX:Termination andDispute ResolutionArticle

9.01:TerminationEither partymay terminatethiscontractwith immediateeffectif theother partybreaches anyoftheterms andconditionsoutlined hereinand failsto curesuch breachwithin30days ofreceiving writtennotice.Article

10.02:Entire AgreementThiscontract constitutesthe entireagreement betweenthe parties heretowith respectto thematters hereinandsupersedes allprior agreements,representations,orunderstandings,whether oralor written.Article
