1.1本合同为甲方与乙方之间进行货物及/或服务交易的框架性合同本合同条款适用于双方之间的所有交易，除非另有书面补充协议

1.2本合同中的货物及/或服务的具体内容、数量、价格等以双方另行签署的《采购订单》（以下简称“订单”）为准订单应作为本合同的组成部分，与本合同具有同等法律效力

1.3本合同应适用中华人民共和国的相关法律法规，并受其管辖第二条定义与解释

2.1为本合同之目的，以下词语具有如下含义货物指甲方提供的商品、产品或任何有形物品服务指甲方提供的任何形式的劳务、咨询、技术支持或其他无形服务订单指乙方通过书面形式向甲方发出的采购指令，明确货物及/或服务的具体内容、数量、价格等信息交货日期指甲方按照订单约定完成货物交付或服务提供的截止日期违约金指一方未能履行或未能完全履行合同义务时，向另一方支付的补偿金

2.2本合同所称“书面形式”包括但不限于合同、订单、电子邮件、传真、信函等可以有形表现的内容的形式第三条货物与服务

3.1甲方应按照订单中约定的货物及/或服务的名称、规格、数量、质量标准等提供相应的产品及服务第2页共10页

3.2甲方应确保提供的货物及/或服务符合相关法律法规及行业标准，并符合订单中约定的质量和技术要求

3.3乙方应按照订单中约定的方式和时间向甲方支付货款及/或其他费用第四条付款方式

4.1付款方式及时间以订单中约定为准，甲方应向乙方提供合法的发票或收据

4.2乙方应按照约定的时间支付货款，逾期支付的，应按日向甲方支付逾期金额的%作为违约金

4.3甲方应开具符合国家法律法规的发票，如因甲方发票问题导致乙方损失的，甲方应承担相应责任第五条交货与运输

5.1交货地点及方式以订单中约定为准，甲方应按时完成货物的交付

5.2甲方负责安排运输，但运输费用由（甲方/乙方）承担，具体费用以订单中约定为准

5.3货物在运输过程中发生损坏或灭失的，由（甲方/乙方）承担相应责任，具体责任划分以订单中约定为准

5.4乙方应在收到货物后日内进行验收，如有异议应书面通知甲方第六条质量与验收

6.1甲方提供的货物及/或服务应符合订单中约定的质量和技术标准

6.2乙方应在约定的验收期限内完成验收，并签署验收单如验收不合格，乙方应书面通知甲方，并提供相关证明第3页共10页

6.3甲方在接到乙方的通知后，应在日内完成问题货物的更换或维修第七条知识产权

7.1甲方提供的货物及/或服务中包含的知识产权，包括但不限于专利权、商标权、著作权等，均由甲方或其合法权利人所有

7.2乙方在使用甲方提供的货物及/或服务时，应遵守相关法律法规，并尊重甲方的知识产权第八条保密条款

8.1双方应对在履行本合同过程中获悉的商业秘密、技术信息、客户信息等机密信息予以保密，未经对方书面同意，不得向第三方披露

8.2本条款的保密义务在合同终止后仍然有效，期限为年第九条违约责任

9.1任何一方未履行或未完全履行本合同约定义务的，应承担相应的违约责任，并赔偿给对方造成的损失

9.2因甲方原因导致订单未能按期履行的，甲方应按订单中约定的方式向乙方支付违约金

9.3因乙方原因导致订单未能按期履行的，乙方应按订单中约定的方式向甲方支付违约金第十条不可抗力

10.1因不可抗力事件导致本合同无法履行或延迟履行的，双方应及时协商解决，任何一方均不承担违约责任

10.2不可抗力事件指不能预见、不能避免且不能克服的事件，包括但不限于战争、自然灾害、政府行为等第4页共10页第十一条争议解决

11.1本合同履行过程中如发生争议，双方应通过友好协商解决

11.2协商不成的，任何一方均可向（甲方所在地/乙方所在地）人民法院提起诉讼第十二条合同的变更、终止和解除

12.1本合同的任何变更、终止或解除应以书面形式通知对方，并经双方签字盖章确认

12.2在本合同终止前，双方应结清所有已发生的权利义务第十三条其他条款

13.1本合同未尽事宜，双方可另行签订补充协议，补充协议与本合同具有同等法律效力

13.2本合同一式份，双方各执份，具有同等法律效力

3.1Party Ashall providethe goodsand/or servicesasspecified inthe Order,including theirnames,specifications,quantities,quality standards,etc.

3.2Party Ashall ensurethat thegoodsand/or servicesprovidedmeet therelevantlaws,regulations,and industrystandards,and conformtothequality andtechnicalrequirements asspecified inthe Order.

3.3PartyBshall paythe purchaseprice and/or otherfeesas stipulated inthe Order.Article4Payment Terms第8页共10页

4.1The paymentmethods andtiming shallbe asspecifiedin theOrder.PartyAshall providePartyBwith validinvoicesor receipts.

4.2PartyBshall paythe purchaseprice withinthe timeframestipulatedintheOrder.If paymentis delayed,Party Bshallpay PartyA apenalty of%oftheoverdueamount perday.
