1.Definitions andInterpretationsFor thepurposes of this Agreement,the followingtermsshall havethe meaningsascribed to them:Lessor:The individualor entityowning oroperating therentalvehicle under this Agreement.Lessee:The individualor entityhiring orleasing therentalvehicle under this Agreement.Rental Vehicle:The motorvehicle describedin Exhibit A,including allits components,accessories,and relateddocuments.Rental Term:The periodduring whichthe Lessee isauthorized touse the Rental Vehicle,as specified in Section3of this Agreement.Rental Fees:The amountLessee agrees to payfor the useof the Rental Vehicle,as specifiedin Section4of thisAgreement.Security Deposit:The amountLessee shalldeposit withLessoras securityfor theperformance of this Agreement and第1页共10页the protectionof Lessorsinterests,as specifiedin Section5of this Agreement.

2.Vehicle DescriptionTheRental Vehicleis describedin detailin ExhibitA,which isattached toand incorporatedinto this Agreement.The Lessee agrees toaccept the Rental Vehiclein itscurrentcondition,subject toany specificterms andconditionsoutlined in this Agreement.

3.Term of the Lease

3.1Commencement andExpiration DatesTheRental Termshall commenceon,2025,and shallexpire on,2025the Expiry Date,unless terminatedearlier inaccordance with the termsofthis Agreement.

3.2Extension of the LeaseAtthe discretionof the Lessor,the Rental Term may beextended uponwritten agreementbetween the Lessor andLessee.The Lessee shall providewritten noticeof theirdesire toextendthe Rental Term nolater thandaysprior to the ExpiryDate.

4.Rental Feesand PaymentTerms

4.1Rental FeesThe Lesseeagrees to paythe Lessorthe sumofdollars__$per calendarmonth,or suchotherrate asmay beagreed uponin writingby bothparties,第2页共10页as fullcompensation for the use of the Rental Vehicleduringthe Rental Term.

4.2Security DepositThe Lessee shalldeposit with the Lessorthe sumofdollars__$as asecurity deposittheSecurity Depositupon enteringinto this Agreement.TheSecurity Deposit shall beheld by the Lessoras securityforthe Lesseesperformance of their obligations under thisAgreement.

4.3Payment ScheduleThe Lessee shallmake paymentson amonthly basisinadvance,with theinitial paymentdue on,2025,and subsequentpayments dueon thefirst dayof eachsubsequentmonth.All paymentsshall bemade tothe Lessoratthe address specifiedin Section14ofthis Agreement.

4.4Late PaymentChargesIf the Lessee fails to make any paymentwithin ten10days of the duedate,a latepayment chargeof%of theoverdue amountshall beapplied.

5.Use of the Rental Vehicle

5.1Permitted UseThe Lesseeisauthorized touse the Rental Vehiclesolelyfor purposes,as outlinedinthis Agreement.Any otheruseof the Rental Vehicle shall be deemeda breachofthis Agreement.第3页共10页

5.2Prohibition AgainstSubletting orAssignmentThe Lesseeshall notsublet,assign,or otherwisetransferany oftheir rightsor obligationsunder thisAgreement without the prior written consent ofthe Lessor.

5.3Maintenance andCareThe Lesseeagrees tomaintain theRental Vehiclein goodconditionand repair,both mechanicallyand otherwise,attheir ownexpense.The Lesseeshall promptlyreport anydamage,defect,or malfunctiontothe Lessor.

5.4InsuranceThe Lesseeshall ensurethat theRental Vehicleisadequately insuredat alltimes during theRentalTerm.Theminimum insurancecoverage requiredis asfollows:Collision Coverage:dollars$Comprehensive Coverage:dollars$Third-Party Liability:dollars$The Lesseeshall providetheLessorwith acopy oftheinsurance policyupon executionofthisAgreement andmaintainsuch coveragethroughout theRentalTerm.

6.Surrender oftheRental Vehicle

6.1Condition ofReturn第4页共10页The Lesseeagreestoreturn theRentalVehicleto theLessorat theaddressspecifiedinSection14of thisAgreementon orbefore theExpiryDate,in the same conditionasreceived,reasonable wearand tearexcepted.

6.2Final InspectionTheLessor shallconduct afinal inspectionoftheRentalVehicle uponits return.Any damageor deficienciesobservedduring theinspection shall be notedin writingand agreeduponby bothparties.

6.3Security DepositRefundThe Security Depositshall be refundedtothe Lesseewithin thirty30days ofthe expirationoftheRentalTerm,minus anydeductions foroutstanding fees,damages,or otherchargesunder thisAgreement.

7.Liability andIndemnification

7.1Lessees LiabilityThe Lesseeshall be liablefor anydamage,loss,ordestruction totheRentalVehicle arisingfrom theirnegligenceor misuseduringtheRentalTerm.

7.2IndemnificationThe Lesseeagreestoindemnify andhold harmlesstheLessor,its affiliates,officers,directors,employees,andagents fromany andall claims,damages,losses,costs,andexpenses includingreasonable legalfees arisingout oforrelated totheuse,possession,or maintenanceoftheRental第5页共10页Vehicle bytheLesseeor anyperson leasingor usingtheRental VehiclewiththeLessees permission.

8.Termination ofthe Agreement

8.1By LessorTheLessor mayterminate thisAgreement withimmediateeffect if:TheLesseefails tomakeanypayment whendue andsuchfailure continuesfor ten10days afterwritten notice;TheLesseebreaches anyother materialterm ofthisAgreement andfailstocure suchbreach withinthirty30days ofwritten notice;TheLesseeis declaredbankrupt orinsolvent,or anyassignmentforthebenefit ofcreditors ismade bytheLessee;TheLesseeuses theRentalVehiclefor anyillegalpurpose.

8.2By LesseeTheLessee mayterminate thisAgreementwithsixty60days writtennotice totheLessor,provided thatallpayments andobligationsunderthisAgreementare currentandthere areno pendingdisputes.

9.Default andRemedies

9.1DefaultA defaultunderthisAgreement shalloccur ifthe Lesseefailsto performany obligationunderthisAgreementandsuch第6页共10页failure isnot curedwithin theperiod specifiedin thisAgreement.

9.2RemediesUpon default,theLessorshall havethe rightto:Re-enter andtake possessionoftheRentalVehicle;Pursue allrights andremedies availableat lawor inequity,including,but notlimited to,recovery ofdamagesand repossessingtheRentalVehicle;Retain theSecurityDepositas liquidateddamages.

10.Governing LawThis Agreement shall be governedby andconstrued inaccordancewiththelaws of,without regardtoits conflictof lawsprinciples.

11.Entire AgreementThisAgreement constitutesthe entireagreement betweentheLessor andLessee withrespect tothe subjectmatterhereof andsupersedes allprior agreements,representations,and understandings,whether oralor written,between theparties.

12.AmendmentsAny amendmentsto thisAgreement mustbe in writing andsignedby bothparties.

15.SeverabilityIf anyprovision ofthisAgreementis foundto beinvalidor unenforceable,the remainingprovisions shallremain infullforce andeffect.

16.WaiverNo waiver of anyprovision ofthisAgreementshall beeffectiveunless madeinwritingand signedbythepartyagainst whomthe waiveris soughtto beenforced.A waiverofone provisionshall notconstitute awaiverofany otherprovision.

17.AssignmentThe Lessormay assign thisAgreement or any rights orobligationsunder it without theLessees consent.TheLessee第8页共10页may notassignthisAgreementoranyrightsor obligationsunderitwithoutthepriorwrittenconsentoftheLessor.

18.Force MajeureNeitherparty shallbe liablefor anyfailure ordelay inperformancedue toevents beyondtheir reasonablecontrol,including,but notlimited to,acts ofGod,war,terrorism,riot,罢工,or governmentalactions.

19.Binding EffectThisAgreementshallbe bindingupon andinure tothebenefit ofthe partiesand theirrespective heirs,successors,and assigns.

20.Miscellaneous

20.1CaptionsThe captionscontained inthisAgreementare forconvenienceonly andshall notbedeemedto limit,expand,orconstrue anyoftheprovisions hereof.

20.2InterpretationThis Agreementshallbeinterpreted asif negotiatedatarms lengthbetween partiesof equalbargaining powerandwith fullknowledge ofthe法律implications.
