1.Scope ofAgency

1.1Party B shall actastheexclusive agentofParty Afor theterritory ofhereinafterreferredtoas theTerritory.

1.2Party Bshall beresponsible forpromoting,marketing,and sellingthe Productswithin theTerritory,including butnot limited toidentifying potentialclients,negotiatingwith them,and facilitatingthe conclusionof transactions.

1.3Party Bshall notdeal withany Productsoutside theTerritoryor actas anagentforany similaror competingproductswithout theprior writtenconsent ofParty A.

2.Term of the Contract

2.1This Contract shall beeffective fora periodofhereinafter referredto asthe Term.

2.2The Termshall automaticallyrenew forsuccessiveperiods ofunless either Party Aor Party Bprovides writtennotice oftermination atleastdays priorto theexpiration of the Term.

2.3The Termmay beterminated byeitherPartyupon theoccurrence of anyevent ofdefault asprovided herein.

3.Commission andSettlement

3.1Party Bshall beentitled toa commissionofhereinafter referredtoasthe Commissionfor eachsuccessfultransaction facilitatedby Party B.第2页共7页

3.2The Commissionshall becalculated asa percentageofthe grosssales priceof theProducts,as agreedupon inwritingby both Parties.

3.3Party Ashall settlethe Commissionwithindays afterthe receiptof paymentfrom theclient.

3.4All paymentsunder this Contract shall be madeincurrency,by methodof payment.

4.Rights andResponsibilities

4.1Party A:

1.2Party Ashall ensurethat allProducts areofsatisfactory qualityand complywith applicablelaws andregulations.

1.3Party Ashall promptlyrespond toany inquiriesorrequests madeby Party B.

2.1Party Bshall actin aprofessional anddiligentmanner,adhering toall applicablelaws andregulations.

4.3Party Bshall promptlyinform Party A ofanypotential oractual issuesthat mayarise duringtheperformance of this Contract.

5.Confidentiality

5.1Party Bagrees tomaintain theconfidentiality ofallinformation,documents,and materialsprovided byParty A,including butnot limitedto businesssecrets,customer data,and otherproprietary information.

5.2Party Bshall notdisclose suchinformation toanythird partywithout theprior writtenconsent ofParty A.

5.3The obligationsunder thisClause shallsurvive theterminationofthis Contract.

6.Intellectual Property

6.1All intellectualproperty rights,including butnotlimited totrademarks,patents,and copyrights,shall remaintheproperty ofParty A.

6.2Party Bshall notuse anytrademarks,logos,or otherintellectualproperty ofParty Aexcept asauthorized inwriting.

7.Representations andWarranties

7.1Party Awarrants thatit hasthe authorityto enterinto thisContractand togrant the rights setforthherein.

7.2PartyBwarrants thatit hasthe necessaryqualifications,licenses,and permissionsto actas anagentfor PartyA.第4页共7页

7.3Both Partiesrepresent thatthey havenot madeanyrepresentations,oral or written,outside of the termsofthis Contractthat couldbind theother Party.

8.Indemnification

8.1PartyBshall indemnifyand holdharmless PartyAagainst anyclaims,losses,damages,costs,and expensesincluding butnotlimitedtolegal feesarising outof orrelated to PartyBs negligentor wrongfulacts oromissionsin theperformance ofitsdutiesunder thisContract.

8.2PartyAshall havetherightto defendagainst anysuchclaims,and PartyBshallprovide reasonablecooperationin connection therewith.

9.Force Majeure

9.1Neither Party shall beliable forany failureordelay inperformance resultingfrom eventsbeyond itsreasonablecontrol,includingbutnotlimitedto naturaldisasters,war,strikes,or governmentalactions.

9.2The affectedPartyshallpromptly notifythe otherPartyoftheoccurrenceofa forcemajeure eventand makereasonableefforts tomitigate itseffects.

10.Governing Lawand DisputeResolution

10.1This Contractshall begoverned byand construedinaccordance withthe lawsof.

10.2Any disputesarising outof orrelatedtothisContract shallbe resolvedthrough friendly协商.If such协商第5页共7页fails,the disputesshallbesubmitted to the exclusivejurisdictionofthecourts locatedin.

11.Miscellaneous

11.1Amendments:Any amendmentstothisContract mustbemade inwriting andsigned bybothParties.

11.2Entire Agreement:This Contractconstitutes theentireagreement betweenthe Partiesand supersedesall priororcontemporaneous agreements,representations,orunderstandings,whether oralorwritten.

11.3Severability:If anyprovision ofthisContractisfound tobe invalidor unenforceable,the remainingprovisionsshall remainin fullforce andeffect.
