referredtoas the Partiesorindividually asa Party.Recitals鉴于Party Aand Party B arelegally establishedentities ornaturalpersons engagedin therespective fieldsof businessoractivities.It ismutually beneficialand necessaryfor the Partiesto cooperatein orderto ensurethe effectivemanagement andexecutionof contractsin accordancewith applicable laws,regulations,and bestpractices.The purpose of this Agreement isto establishtheframework forcontract management,rights,and obligationsofthe Parties,as wellastheprocedures forthe properadministration,compliance,and terminationof legalforce andbecomes bindingupon the Parties.Termination Datereferstothe dateon whichthisAgreement islawfully terminatedor expires.Article2:Term of the Agreement第二条协议期限This Agreement shall enterinto agree to renewthis Agreementprior toitstermination bymutual consentin writing,subject totheapproval ofall relevantauthorities andcompliances withapplicable laws andregulations.Article3:Contract Partiesshall designatea ContractManager whoshallbe responsible for overseeingthe entirecontract managementprocess,including butnot limited to:a.Ensuring that all contractsare reviewed,approved,and executed in accordancewith theterms andconditionsoutlined inthis Agreement.b.Maintaining accurate and completerecords ofallcontracts,including butnot limitedto copiesof executedcontracts,amendments,and relatedcorrespondence.c.Conducting regularaudits to ensure compliancewithlegal andregulatory requirements.Specific Responsibilities具体责任PartyAshall beresponsibleforthe overallmanagementand coordinationof contract-related activities.PartyBshall provideall necessarysupport andassistancetoensurethe smoothimplementation of thecontract managementprocess.Article4:Rights andObligations of the Parties第四条双方的权利和义务Right toReview andApprove Contracts合同审查和批准的权利Both Partiesshall havethe right to reviewand approveall contracts priorto theirexecution.No contractshall isaccurate,complete,and up-to-date.Failure toprovide accurateand timelyinformation mayresultin delaysor complicationsin theexecution ofcontracts.Article5:Compliance andLegal Adherence第五条合规与法律遵循Compliance withLaws andRegulations法律和法规的遵守Both Partiesshallensurethatallcontracts and relatedactivities complywith allapplicablelaws,regulations,andstandards.In theevent ofany conflictsbetween theprovisions ofthis Agreement andapplicablelawsor regulations,the lattershallprevail.Legal Consultation法律咨询Both Partiesshall havethe rightto seeklegal adviceandconsult withlegal professionalsin relationto theexecutionand managementof contracts.Article6:Contract Amendmentand Termination第六条合同的变更与终止Amendment修改Any amendmentsto this Agreementshall be madein writingand signed by both Parties.第4页共8页No verbalor informalagreements shall be consideredvalidunless reducedto writingandsignedbybothParties.Termination终止This Agreementmay beterminated bymutual agreementatany time.In theevent ofa breachofthis Agreement byeitherParty,the non-breaching Partymay terminatethe Agreementbywritten notice.Article7:Record Keepingand Archiving第七条记录保存与归档Record Keeping记录保存Both Partiesshall maintainaccurateandcomplete recordsofallcontracts,including butnot limitedto copiesofexecuted contracts,amendments,andrelatedcorrespondence.Records shall be keptfor aminimum periodofyears fromthe dateof executionor terminationofthecontract,as required by applicablelawsandregulations.Archiving归档All recordsshall beproperly archivedand madeavailablefor reviewand inspectionby authorizedpersonnel orregulatoryauthorities whenrequired.Article8:Confidentiality andNon-Disclosure第八条保密与非披露Confidentiality保密第5页共8页Both Partiesagree tomaintain theconfidentiality ofallinformation exchangedduring thecourse ofthisAgreement.Except asrequiredbylaw orwith theprior writtenconsentoftheotherParty,no Partyshall discloseanyconfidential informationto anythird party.Non-Disclosure非披露Both Partiesagree notto useany confidentialinformationfor anypurpose otherthan theperformance oftheirobligations underthisAgreement.Article9:Liability andRemedies第九条责任与补救Liability责任Both Partiesshall beliable forany breachofthisAgreementandshallcompensate the non-breaching Partyforany losses,damages,or expensesincurred asa resultof thebreach.Remedies补救措施In theevent ofa breach,thenon-breaching Partyshallhave therighttoseek allappropriate remedies,includingbut notlimitedtoinjunctive relief,specific performance,or damages.Article10:Dispute Resolution第十条争议解决Negotiation协商Any disputesarising outof orin connectionwith thisAgreementshall firstbe resolvedbymutualnegotiation.Arbitration仲裁第6页共8页If thedisputes cannotbe resolvedthrough negotiationwithindays,thePartiesagreetosubmit thedisputesto arbitrationin accordancewith theRules oftheArbitration Institution.Legal Proceedings法律程序Any unresolveddisputes shall be finallyresolved bycourtof competentjurisdiction.Article11:Miscellaneous第十一条其他条款Entire Agreement整个协议This Agreementconstitutes theentire agreementbetweenthe Partieswith respecttothesubject matterhereof andsupersedesall prioragreements,representations,orunderstandings,whether oralorwritten.Severability可分割性If anyprovision ofthisAgreementis foundto beinvalidor unenforceable,the remainingprovisions shallremain infullforce andeffect.Governing Law适用法律This Agreementshallbegoverned byand construedinaccordance withthe lawsof.Notices通知All notices,requests,demands,or othercommunicationsrequired orpermitted
