1.1Grains shall mean e.g.,rice,wheat,corn,including anysubtypes orvarieties asspecifiedin Exhibit A.

1.2Delivery Dateshallmeanor suchlaterdate asagreed uponin writingby both parties.

1.3Price shallmean thetotal amountto bepaid byPurchaser to Sellerfor theGrains,as specifiedin Section

3.QUANTITY:The quantityof Grains to bepurchased istonnesthe Quantity,as specifiedin ExhibitA.PRICE:The totalconsideration fortheGrains shall beRMBthe Price,as specifiedin ExhibitA.PAYMENT TERMS:

4.1Purchaser shallpay adeposit ofRMBthe Depositto Sellerwithin days fromthe date of this Contract theDeposit Date.

4.2The remainingbalance of the Pricethe RemainingBalanceshall bepaid by Purchaserto Seller upon deliveryof theGrains,or asotherwise specifiedin ExhibitA.QUALITY STANDARDS:

5.1The Grainsshall conformto the quality standardssetforth inExhibitA,including but not limitedto:a.Moisture content:not exceeding%.b.Impurities:not exceeding%.c.Any otherapplicable standardsspecified bye.g.,state orinternational standards.第2页共7页

5.2If theGrains failto meetthequality standards,Purchaser mayreject thedelivery andSeller shall beresponsible forreplacing orrefunding thepayment withindaysfrom the dateofnotification.DELIVERY:

6.1The Grainsshall bedelivered to the followinglocation:the Delivery Location onorbefore the Delivery Date.

6.2Delivery shall be madeduring normalbusiness hours,Monday throughFriday,between thehours ofand.

6.3The riskof lossor damageto theGrainsshallpassto Purchaserupondeliveryat theDeliveryLocation.

6.4Seller shallarrange for transportation of the Grainsto theDeliveryLocation at their own expense.Purchaser mayarrangefortransportationattheirownexpenseupon writtennoticetoSeller.WARRANTIES ANDREPRESENTATIONS:

7.1Seller warrantsthat:a.The Grainsare of the typeand qualityas describedinthis Contractand anyExhibits.b.The Grainsare freefrom anypests,diseases,orcontaminants.c.The Grainsare grown,harvested,and processedincompliance withall applicablelaws and regulations.第3页共7页d.Seller hasthe righttoselland transferownership oftheGrainstoPurchaser.

7.2Purchaser representsthat:a.Purchaser hasthe legalcapacity toenter into thisContract.b.Purchaser willuse theGrains incompliance withallapplicable lawsandregulations.INDEMNIFICATION:

8.1Seller agreesto indemnifyand holdPurchaserharmless fromany andall claims,damages,losses,orexpenses includingreasonable attorneysfees arisingoutof or related toany breachof warrantyor representationmadeby Sellerunder thisContract.

8.2Purchaser agreesto indemnifyand holdSellerharmless fromany andall claims,damages,losses,orexpenses includingreasonable attorneysfees arisingoutof orrelated toany breachof warrantyor representationmadebyPurchaserunder thisContract.DISPUTE RESOLUTION:

9.1Any disputesarising fromorrelatedto thisContractshall firstbe resolvedthrough friendlynegotiations betweenthe parties.

9.2If the parties failto resolvethe disputethroughnegotiation withindaysfromthe dateof thedispute,the mattershallbesubmitted toarbitration in第4页共7页accordance withthe rulesofthearbitrationinstitution.FORCE MAJUERE:

10.1In theevent thateither partyis preventedorhindered fromperforming itsobligations underthis Contractduetoaforce majeure event includingbutnotlimited tonaturaldisasters,war,riots,government actions,or anyotherevent beyondthe reasonablecontrol ofthe affectedparty,the affected party shallpromptly notifythe otherpartyin writing,and theobligations ofthe affectedpartyshall besuspended during the periodofthe force majeureevent.

10.2The non-affectedpartyshall makereasonable effortstomitigate theimpact oftheforcemajeureeventon theperformanceoftheContract.CONFIDENTIALITY:

11.1Both partiesagree tomaintain theconfidentialityof allinformation exchangedduringthenegotiation andperformanceofthisContract.

11.2No partyshall discloseany suchinformation toanythird partywithout theprior writtenconsent ofthe otherparty.ENTIRE AGREEMENT:

12.1This Contractconstitutes theentire agreementbetweenthe partieswith respecttothesubject matterhereof第5页共7页and supersedesall prioragreements,understandings,negotiations,representations,or warranties,whether oralorwritten,relating tosuch subjectmatter.

12.2Any amendmentsor modificationsto thisContractmust bein writingand signed by bothparties to be effective.GOVERNING LAW:

13.1This Contractshallbegoverned byand construedinaccordance withthe lawsofthePeoples Republicof China.SEVERABILITY:

14.1If anyprovision ofthisContractis foundto beinvalidor unenforceable,the remainingprovisions shallremainin fullforce andeffect.NOTICES:

15.1All notices,requests,demands,or othercommunicationsmade orgiven underthisContract must beinwriting andaddressed tothe respectiveparty attheirprincipal placeofbusiness,or atsuch otheraddress aseitherparty mayfrom timeto timespecify bywritten noticetothe otherparty.

15.2Notices shallbe deemedto havebeen givenwhendelivered personally,or whensent byregistered orcertifiedmail,return receiptrequested,totheabove addresses,or byemailwith confirmationof receipt,in eachcase,on thedatespecified hereunder.MODIFICATIONS:第6页共7页
