1.1本合同旨在明确甲方与乙方之间就采购货物所确立的权利义务关系

1.2甲乙双方同意按照本合同的条款和条件进行采购活动

1.3本合同的签订与履行应遵守中华人民共和国的法律法规，并符合国际贸易惯例第二条采购货物的描述

2.2货物的技术标准、质量要求及其他相关要求应符合本合同附件中所列的技术规格书（如有）

2.3货物的详细描述见本合同附件（如有），该附件为本合同不可分割的一部分第三条交货数量与质量标准

3.1乙方应按照本合同约定的数量、质量和技术要求交付货物

3.2若货物存在质量问题，甲方有权要求乙方在规定时间内进行更换或维修

3.3质量标准应符合中华人民共和国相关国家标准、行业标准及乙方承诺的质量标准第四条价格与付款条款

4.1货物的总金额为（大写）元，人民币/美元（如需），含税

4.2付款方式a甲方应于合同签订后个工作日内支付合同总金额的%作为定金；b货物交付并经甲方验收合格后，甲方应支付合同总金额的%；c余款应在（时间）内付清

5.1交货时间乙方应于年月日前将货物交付至甲方指定地点

5.3货物的风险自交付给甲方之日起转移至甲方

5.4若因乙方原因导致交货延迟，乙方应承担由此产生的违约责任第六条验收

6.1货物到达甲方指定地点后，甲方应在个工作日内完成验收

6.2若货物存在质量问题或不符合约定，甲方应立即通知乙方，并提供相关证明

6.3甲方的验收报告应作为付款的依据之一第七条质量保证

7.1乙方承诺货物在正常的使用条件下，自交付之日起个月内（或小时运行时间内）无质量问题

7.2在质量保证期内，若货物出现质量问题，乙方应免费提供维修或更换服务

7.3若因乙方提供的货物存在设计或制造缺陷导致甲方损失，乙方应承担相应的赔偿责任第八条知识产权

8.1货物的知识产权（包括但不限于专利权、商标权、著作权等）归方所有第3页共8页

8.2除本合同另有约定外，任何一方不得擅自使用或授权他人使用对方的知识产权第九条不可抗力

9.1由于战争、自然灾害、政府行为等不可抗力因素导致合同无法履行的，双方可协商解除合同或变更合同条款

9.2受不可抗力影响的一方应在事件发生后日内书面通知另一方，并提供相关证明第十条违约责任

10.1若乙方未能按期交货或甲方未能按期付款，违约方应按合同约定支付违约金

10.2若因一方的违约行为导致对方遭受损失，违约方应赔偿造成的全部损失

10.3违约金不足以弥补损失的，违约方应赔偿差额部分第十一条争议解决

11.1本合同履行过程中若发生争议，双方应友好协商解决

11.2协商不成的，任何一方可向（甲方/乙方）所在地有管辖权的人民法院提起诉讼

11.3本合同适用中华人民共和国法律第十二条合同的变更与解除

12.1本合同的任何变更或解除必须以书面形式通知对方，并经双方签字盖章确认

12.2若因一方的过错导致合同无法履行，对方有权单方面解除合同，并要求赔偿损失第十三条其他条款第4页共8页

13.1本合同未尽事宜，双方可另行协商并签订补充协议，补充协议与本合同具有同等法律效力

13.2本合同一式份，甲乙双方各执份，具有同等法律效力
