1.Definitions andInterpretations

1.1Definitions:For thepurposes of this Contract,thefollowing termsshall have the meaningsset forthbelow:Service shall mean thegoods orservicesto be providedby Party B to Party A asdescribed in Exhibit Aattachedhereto.Term shallmean theperiod duringwhich this Contractis inforce,as specifiedin Section

4.第1页共8页Confidential Informationshallmean any andallinformation,whether oral,written,electronic,or otherwise,disclosed byone Partyto the other in connection with thisContract,including butnot limitedto businessplans,financial data,customer lists,technical specifications,andany otherproprietary information.

1.2Interpretation:The headingsand captionsused inthis Contract arefor convenienceonly and shall notbeconstrued aspart of the Contractor aslimiting itsscope inanyway.Unless otherwisespecified,the singularshallinclude theplural andvice versa,and referencesto anygendershall includeall genders.

2.Services andObligations

2.1Scope ofServices:Party Bshall providethe Serviceto Party Ain accordance with thespecifications outlinedinExhibit A.Party Bshall usereasonable careand skillinperforming its obligations under this Contract.

2.2Obligations ofParty A:Party Ashall provideall necessaryassistance andinformation to Party Btoenable theService tobe performedefficientlyand inaccordance withthe agreedterms.Party Ashall paythe feesfortheService inaccordancewith thepayment termsset forthin this Contract.

2.3Obligations ofParty B:第2页共8页Party Bshall complywith allapplicable laws,regulations,and professionalstandards inproviding theService.Party Bshall maintainproper recordsof theperformanceof theService andmake suchrecords availabletoPartyAupon request.

2.4Term of this Contract:The Term ofthis Contractshall commenceon andcontinue for a periodof the InitialTerm.This Contract shallautomatically renewfor additionalperiodseach aRenewal Termunless either Party giveswrittennotice oftermination atleast daysprior totheexpiration of the InitialTerm orany RenewalTerm.

3.Payment Terms

3.1Fees:PartyAshall payParty Bthe feesfor theServiceas outlinedinExhibit A.

3.2Payment Schedule:PartyAshall paythe feeswithindays of the date of eachinvoice issuedbyPartyB.

3.3Late Payments:If PartyA failsto makepaymentwithin thespecified period,PartyBshall havethe right tocharge intereston theoverdue amountat arate ofperannum,calculated from the datepayment wasdue untilthedate ofactual payment.

3.4Currency:All paymentsunder thisContractshall bemade incurrency.第3页共8页

4.Confidentiality

4.1Confidentiality Obligation:Both Partiesshallmaintain theconfidentiality ofall ConfidentialInformationdisclosed to them underthisContractandshall not disclosesuchinformationtoany thirdparty withoutthe priorwrittenconsent ofthe disclosingParty.

4.2TermofConfidentiality:The obligations under thisSection4shall survivethe terminationofthisContract andshallremain in full force and effectfora period ofyearsfromthedate oftermination.

4.3Exclusions:The obligationsunderthisSection4shallnotapply toinformation thatis publiclyavailable,information thatbecomes availableto eitherParty throughathird partywithout breach of confidentiality,or informationthatis requiredtobedisclosed bylaw orby anapplicableregulatory authority,provided thatthe disclosingPartygives theother Partyprompt writtennotice ofsuchrequirement andcooperates withtheother Party inseeking aprotectiveorder orother appropriateremedy.

5.Force Majeure

5.1Definition ofForce Majeure:A Force Majeure Eventshallmeananyevent orcondition beyondthe reasonablecontrolofthe affected Party,including butnot limitedtonatural disasters,pandemics,acts ofwar,governmental第4页共8页actions,or disruptionsof transportationor communicationnetworks.

5.2Effect ofForce Majeure:If eitherParty ispreventedor hinderedfrom performingitsobligationsunder thisContractby aForce Majeure Event,theaffectedParty shallpromptlynotify theother Partyofthenature andextent oftheevent and the estimatedduration of its impact.Theaffected Partyshall makereasonable effortsto mitigatetheeffects ofthe ForceMajeureEvent.Neither Partyshall beliablefor anyfailure ordelay inperformance duetoaForceMajeure Event.

5.3Termination Rights:If aForceMajeureEventcontinues foraperiodof days,either Partyshallhavetherighttoterminate thisContract withimmediateeffect.

6.Governing Lawand Dispute Resolution

6.1Governing Law:This Contractshall begoverned byandconstrued inaccordancewiththe lawsofjurisdiction.

6.2DisputeResolution:The Partiesshall firstattempt to resolve anydisputesarising outof orinconnectionwiththisContract throughfriendlynegotiations.If the disputes cannotbe resolvedthrough negotiationwithindays ofthe commencementof第5页共8页negotiations,eitherPartymay referthe disputetomediation/arbitration institutionfor mediation.If themediation failstoresolvethedispute,eitherParty maybring thematter tothe courtsoffor resolution.

6.3Arbitration Clauses:If the Parties agreetoarbitration,the arbitration shall beconducted inaccordancewith therules ofarbitration institution,andthearbitrationshalltake placeinlocation.

7.Miscellaneous

7.1Entire Agreement:This Contract,together withanyExhibits,schedules,or appendicesattached hereto,constitutes theentire agreementbetween the Parties withrespecttothesubject matterhereof andsupersedes allprioragreements,representations,or understandings,whetherwritten ororal,relating tosuch subjectmatter.

7.2Amendments:Any amendmentsto thisContract mustbemade inwriting andsigned byboth Parties.

7.3Assignment:Neither Partyshall assignor transferanyofitsrights orobligationsunderthisContractwithoutthe priorwritten consentoftheotherParty.

7.4Severability:If anyprovision ofthisContractisheld tobe invalidor unenforceable,the remainingprovisionsshall remaininfullforceandeffect.第6页共8页

7.5Notices:All notices,requests,demands,or othercommunicationsrequired orpermitted underthisContractshallbe inwriting andshallbe deemed tohave beendeliveredon thedateofreceipt bythe addressee.Noticesshall besent tothe addressessetforthin thePartiessection above.
