3.Rentals andAdditional ChargesThe Tenant shallpay the Landlord thefollowing amountsinconsideration forthe useof the Premises:

4.Security DepositThe Tenantshalldeposit asecurity depositof USD_with the Landlord uponsigning this Agreement.The securitydeposit shall beused tocover anydamages,defaults,orunpaid chargesincurred bythe Tenantduring theterm of thelease.The securitydepositshall be returnedto theTenantwithin daysafter theexpiration of the leaseterm,provided that:The Premisesare returnedin thesame conditionasreceived,minus normalwear andtear.All outstandingcharges,including rent,utilities,andmaintenance fees,have beensettled.Any amountsremaining afterdeducting fordamages,defaults,or unpaidcharges shall be refundedto theTenant.
5.Use of the Premises第3页共9页The Tenantagrees touse the Premises incompliance withallapplicable laws,regulations,and theterms ofthisAgreement.The Tenantshall not:Use the Premises for any illegalactivities.Store anyhazardous materialsor substanceson thePremises.Alter ormake improvementsto the Premises withouttheprior writtenconsent ofthe Landlord.Sublease the Premises orany partthereof withoutwrittenpermission fromthe Landlord.The Tenantis responsible for obtainingall necessarylicenses,permits,and approvalsfor theirbusinessactivities conductedonthePremises.
6.Maintenance andRepairs
6.1Responsibility oftheTenant:The Tenantshallberesponsibleformaintaining thePremisesinaclean,safe,and goodorder,including butnotlimited toregular cleaning,repairs tofixtures,andreplacement ofconsumable items.
6.2Responsibility ofthe Landlord:The Landlordshallberesponsibleforstructural repairsandmaintenance ofthePremises,including theroof,walls,and foundation,as wellas repairsto plumbingand electricalsystems.
6.3Notices ofDamage:第4页共9页The Tenantshall promptlyinform the Landlord ofanydamage ordefects inthePremises.Failure todo somayresult intheTenantbeing heldliable forthe repaircosts.
7.InsuranceThe Tenantshall maintainadequate insurancecoverage forthePremises andits contents,including butnot limitedto_.The insurance policy shallname boththe Landlordand theTenantas co-insured parties,with aminimum coverageof_.A copyoftheinsurancepolicymust beprovided to theLandlord withindaysofthe leasecommencement.The Landlordshall obtaininsurance forthe buildingsstructuralintegrity and legal liability.
8.IndemnificationThe Tenantagrees toindemnify andhold harmlesstheLandlord againstany claims,damages,or lossesarising fromthe Tenants useofthePremises,including butnot limitedtopersonal injuries,property damage,or legaldisputes.The Tenantagrees todefend the Landlord againstany suchclaims,at the Landlords request,at theTenants expense.
9.Assignment andSublettingThe Tenantmay notassign orsublet thePremises withoutthe prior writtenconsent oftheLandlord.Any attempted第5页共9页assignment orsubletting withoutsuch consentshallbedeemeda breach ofthis Agreement.
10.Alterations andImprovementsThe Tenantmay notmake anyalterations or improvementsto thePremises withoutthepriorwrittenconsentof theLandlord.Any alterationsorimprovementsmade withoutsuchconsent shallbecome theproperty oftheLandlordand must beremoved at theTenantsexpense uponterminationofthelease.
11.Default andRemedies
11.1Events ofDefault:The followingshall constitutea materialbreachofthisAgreement:Failure topay rentorany other chargeswithindays ofthe duedate.Failure tocomply withany otherterm orcondition ofthis Agreement.Use ofthePremisesfor illegalactivities.abandonment ofthePremises.
11.2Remedies:Upon theoccurrence ofany eventof default,the Landlordmay,at theirsole discretion,take anyofthefollowingactions:Terminate this Agreement immediately.Recover possessionofthePremises.第6页共9页Pursue alllegal remediesavailable underapplicable law,including butnot limitedto collectingunpaid rent,damages,andlegalfees.TheTenantagrees thattheLandlordshall notbe requiredtogive noticeor takeanyotheraction priorto exercisinganyrights orremedies providedunder thisAgreement.
12.Termination
12.1Voluntary Termination bytheTenant:TheTenantmay terminatethisAgreementby providingwrittennotice to theLandlordat leastdaysprior tothe desiredtermination date.
12.2TerminationbytheLandlord:The Landlord may terminatethisAgreementimmediatelyupon theoccurrence ofany eventof default.
12.3Return ofPremises:TheTenantshall vacatethePremisesand returnpossessiontotheLandlord onor beforethe terminationdatespecified in thisAgreement.Failure todo soshallconstitute acontinuing breach,and theLandlordmayenterthe Premisesand retakepossession withoutfurther notice.
13.Governing LawThis Agreement shallbe governedby andconstrued inaccordancewith thelaws ofthe State/Country of_
