1.Project Description

1.1Project Addressand DescriptionTheProject islocated atProject Address,and consistsof the designand planningof a commercial buildingwith thefollowingdescription:Detailed Description of the Project,including thetype ofcommercial buildinge.g.,officebuilding,retail center,etc.and anyspecific featuresorrequirements.第1页共10页

1.2Scope ofServicesThe Architect shall providearchitectural designservicesfor the Project,including butnot limitedto:Conceptual designand feasibilitystudies.Schematic design,including floorplans,elevations,andcross-sections.Development ofdesign documentsand constructiondrawings.Collaboration withconsultants,engineers,and otherprofessionalsas required.Review and approval ofconstruction plans.

1.3DeliverablesThe Architect shall deliverthe followingdesigndocuments andmaterials the Deliverables in accordancewith industrystandards and the Clientsspecifications:Schematic designsfor approval.Detailed designdocuments,including architectural,structural,and机电systems.Construction drawingsfor useby contractors.Any othermaterials mutuallyagreed uponin writing.

1.4Design StandardsAlldesign workshall complywith applicablelaws,regulations,and standards,including butnot limitedtobuilding codes,zoning regulations,and environmentalsustainabilitystandards.

2.1Obligations of the ArchitectThe Architect agreesto:Provide designservices ina professionaland diligentmanner.Comply withall applicablelaws,regulations,and codes.Maintain confidentialityof allinformation relatingtothe Project.Submit Deliverablesto the Client forreview andapprovalin accordance with theagreed timeline.Respond toall queries,comments,and revisionsfrom theClientpromptly.

2.2Obligations ofthe ClientThe Client agreesto:Provide theArchitect withall necessaryinformation,data,and approvalsinatimely manner.Review andapprove Deliverableswithin theagreedtimeframe.Pay thefees and expenses asoutlined inthis Contract.Indemnify and hold harmlesstheArchitectfrom anyclaims,damages,or liabilitiesarising from the Clientsfailure toprovide accurate informationor toobtain necessaryapprovals.

3.Fees andPayment

3.1Fee StructureThetotal feefor the Architects servicesshall beTotalFee theFee,as detailedin Schedule A attachedhereto.第3页共10页

3.2Payment ScheduleThe Client shall pay theArchitect asfollows:A depositof DepositAmount uponsigning this Contract.Progress paymentsupon thedelivery ofkey milestones,asoutlined inSchedule A.The remainingbalance uponfinal deliveryof allDeliverablesandapproval.

3.3InvoicesThe Architect shall submitinvoices to the ClientwithinNumber ofDays afterthe completionof eachmilestone oruponrequest.The Clientshall payeach invoicewithin Number ofDays ofreceipt.Late paymentsshall incura monthlyinterestcharge ofInterest Rate%on theunpaid amount.

3.4Reimbursement ofExpensesThe Clientshall reimbursetheArchitectfor allreasonableand documentedexpenses incurredin theperformanceoftheProject,including butnot limitedtotravel,photocopying,and third-party consultantfees,asoutlined inScheduleA.

4.Timeline andMilestones

4.2ExtensionsAny extensionofthe timeline shall be mutuallyagreedupon in writing byboth parties.TheClientshall notifytheArchitect of any requestedchanges totheProjectscope ortimelineinwritingat leastNumber ofDays priorto thescheduledcommencement orcompletion date.

4.3Liability forDelaysIf the Client causesany delayin theProject,theArchitect mayextend thetimeline and/or chargeadditionalfees asoutlined inthis Contract.

5.Changes andVariations

5.1Request forChangesThe Clientmay requestchanges orvariations totheProject scopeor design.Such requestsmust be made inwritingand approvedby theArchitect.

5.2Impact ofChangesThe Architectshall assessthe impactofanyrequestedchanges onthetimeline,budget,and designquality.TheClient shall be responsiblefor anyadditional costs,delays,or otherimpacts resultingfrom suchchanges.

6.Warranties andIndemnification

6.1Quality ofDesign第5页共10页TheArchitectwarrants thatthedesignservices providedunder this Contract shallbeperformed ina professionalandworkmanlike manner,in compliancewith applicablelaws,regulations,and standards.

6.2Warranty PeriodTheArchitectshallprovidealimited warrantyfor thedesignservices fora period of WarrantyPeriod fromthe dateoffinal delivery,covering defectsin designcaused bynegligenceor failureto complywith applicablelaws.

6.3IndemnificationThe Architectshall indemnifyandholdharmless theClientfrom anyclaims,damages,or liabilitiesarising fromthe Architects negligenceor failureto complywithapplicable laws.Similarly,theClientshall indemnifyandhold harmlesstheArchitectfrom anyclaims,damages,orliabilities arisingfromtheClients actions,omissions,orfailure toprovideaccurateinformation.

7.Intellectual Property

7.1Ownership ofDesign WorkAllrights,including intellectualproperty rights,inthe Deliverablesshall remainwith theArchitect.The Clientshallreceive anon-exclusive,non-transferable licensetouse theDeliverables for the purposeof constructingandoperating theProject.

7.2Use andTransfer ofDesign第6页共10页TheClientshall notmodify,reproduce,or distributetheDeliverables withouttheArchitectswritten consent.Anytransfer oftheProjectortheuse oftheDeliverablesforother purposesshall requiretheArchitectsprior writtenapproval.

8.Confidentiality

8.1Confidentiality ObligationsBothparties agreeto maintainthe confidentialityof allinformationexchanged duringthe performanceof this Contract,except asrequired bylaw orwith theprior writtenconsentof thedisclosing party.

8.2Term ofConfidentialityThe confidentialityobligations shallremain ineffectfor aperiodofConfidentiality Periodfollowing theterminationof this Contract.

9.Termination

9.1Termination byClientThe Clientmay terminatethis Contractat anytime byprovidingwritten noticetotheArchitect.Any terminationshallbe effectiveNumber ofDays afterthedateof thenotice.

9.2Termination byArchitectThe Architectmay terminatethis Contractif theClientfails tomeet itspayment obligationsor repeatedlyfails toprovidetimely approvalsor information,provided thatthe第7页共10页Architect givestheClientwritten noticeof suchfailure andallowsNumberofDays forcure.

9.3Effect ofTerminationUpon termination,theClientshallpayall outstandingfeesandexpenses,andtheArchitectshallcease allwork ontheProject.The rightsand obligationsof both parties shallbedetermined inaccordancewiththis Contract.

10.Governing Lawand DisputeResolution

10.1Governing LawThisContractshallbe governedbyandconstrued inaccordancewiththelaws ofJurisdiction.

10.2Dispute ResolutionAnydisputes arisingout ofor relatingto thisContractshall firstbe attemptedto beresolved throughfriendlynegotiations.If negotiationsfail,the partiesagree tosubmitthe disputeto ArbitrationInstitution orCourt forbindingresolution.

11.Miscellaneous

11.1Entire AgreementThisContract constitutesthe entireagreement betweenthe parties regardingtheProjectand supersedesall priorunderstandings,agreements,or representations,whether oralorwritten.

11.3SeverabilityIf anyprovision ofthisContractis foundto beinvalidor unenforceable,the remainingprovisions shallremain infullforce andeffect.

11.4NoticesAll notices,requests,demands,or othercommunicationsrequired orpermitted underthisContractshallbein writinganddelivered tothe addressesspecified inthisContract.
