1.Scope ofEquipment andLease Term

1.2Lease Term:The Equipmentshall berented to theRenter Partyfor aperiod ofhereinafterreferred to asthe Lease Term,commencing ontheStart Dateand endingon theEndDate.The Renter Party shallreturn the Equipment to theRental Partyon orbefore theEnd Date,unless otherwiseagreedin writingby both parties.

1.3Extension Clause:Upon mutualagreement,the LeaseTermmay beextended foradditional periods.Any extensionshall be governed by awritten amendmentto this Contract.

2.Rental Feesand PaymentTerms

2.1Rental Fee:The Renter Party shallpay the RentalParty anaggregate rentalfee the Rental Feeofhereinafter referredto asthe Rental Fee,calculated asperthe termsspecified in Exhibit Aattached hereto.

2.3Late PaymentPenalty:If the RenterPartyfails tomakeany paymenton orbefore thedue date,a latepaymentpenalty of1%of theoverdue amountshall beapplied permonth,calculated from the datethe paymentwas dueuntil thedateof actualpayment.

3.Responsibilities andObligations

3.1Obligations of the RenterParty:The RenterParty agreesto:a Usethe Equipmentstrictly inaccordance with themanufacturers instructionsand guidelinesprovided by theRental Party.b Ensurethat the Equipment ismaintained ingoodworking orderthroughout the Lease Term.c Notifythe Rental Party immediatelyof anydefects ordamage to the Equipment.d Obtainprior written consent from the Rental Partybefore makingany modificationsor additionsto the Equipment.e Bearall costsassociated withthe operation,maintenance,and repairof theEquipment,unless otherwisespecifiedin this Contract.

3.2Obligations of the Rental Party:The RentalParty agreesto:第3页共9页a ProvidetheEquipmentinaclean,safe,andoperational conditionat thecommencement oftheLease Term.b Providenecessary technicalsupport andassistanceduring theLease Term,as specifiedinExhibit B.c Maintain the Equipmentsownership and shall nottransferor encumberany rightsin theEquipment during theLease Term.

4.Maintenance andServicing

4.1Maintenance Services:The RenterParty shall beresponsible forroutine maintenanceand cleaningof theEquipment during theLease Term.The RentalParty shallprovidenecessary maintenancemanuals andtechnical supportasoutlined inExhibit B.

4.2Equipment Repairs:The RenterParty shallpromptlyaddress anydefects ormalfunctions intheEquipmentand bearthecost ofrepairs unlessthe defectsare dueto the RentalPartys negligence.

4.3Replacement Clause:In theevent theEquipment isbeyondeconomical repairduringtheLeaseTerm,the RenterPartymay requesta replacementunit atan additionalcost,subject to the RentalParty’s availability.

5.Insurance andRisk ofLoss

5.1Insurance Coverage:The RenterParty shallobtaininsurance coveragefor theEquipmentduringtheLeaseTerm,including butnot limitedto damage,theft,or loss,at its第4页共9页own expense.The RentalParty shallnot beliable foranyloss or damagetotheEquipmentunless suchloss ordamage isdirectlyattributable totheRentalParty’s negligence.

5.2Risk ofLoss:The riskof loss,theft,ordamagetothe Equipmentshall restwiththeRenterParty fromthedatethe Equipmentis delivered totheRenterPartyuntil thedatethe Equipmentis returnedtotheRentalParty in accordancewiththisContract.

6.Intellectual PropertyRights

6.1Ownership Rights:All intellectualproperty rights,including butnot limitedto patents,trademarks,copyrights,and tradesecrets associatedwiththeEquipment,shall remaintheproperty oftheRentalParty.The RenterParty shallnotclaim anyownership rights or interestsintheEquipment.

6.2Use Restrictions:The RenterParty shallnot usetheEquipment forany purposeother thanas agreedwith theRentalParty.Reverse engineering,decompilation,ormodification oftheEquipmentis strictlyprohibited withoutpriorwritten consentfromtheRentalParty.

7.Changes andTermination

7.1Amendments:Any amendmentsto thisContract shall bemade in writing andsigned bybothparties.No oralorinformal amendmentsshall bevalid.

7.2Termination Clause:Either partymay terminatethisContract uponhereinafterreferredtoasthe第5页共9页Termination NoticePeriod writtennotice tothe otherparty,provided thatthe conditionsfor terminationare met,including butnot limitedto breachof contract.

7.3Effect ofTermination:Upon terminationof thisContract,theRenterParty shallimmediately returntheEquipment totheRentalPartyinthe samecondition asreceivedreasonable wearand tear除外.The RentalPartyshall promptlyrefund anyprepaid amountsnot yetutilized,minus anyapplicable feesor damages.

8.Liability andIndemnification

8.1Liability Limits:Neither partyshallbeliable totheother forany indirect,incidental,or consequentialdamagesarising outof or related to thisContract.

8.2Indemnification:The RenterParty agreesto indemnifyandhold harmlesstheRentalPartyfromany claims,damages,or expensesarising fromtheRenterPartys useof theEquipment,including butnot limitedto legalfees andsettlements,provided suchclaims arenot directlyattributabletotheRentalParty’s negligence.

9.Governing Lawand Dispute Resolution

9.1Governing Law:This Contractshallbegovernedbyandconstrued inaccordance withthe lawsofhereinafter referredtoasthe Jurisdiction,withoutregard toits conflictof lawsprinciples.第6页共9页

9.2DisputeResolution:In theevent ofa disputearisingout oforrelatedtothisContract,the Partiesagree toattemptto resolvethe disputethrough友好协商withindays.If thedispute remainsunresolved,it shallbesubmitted tothe exclusivejurisdiction ofthecourt.

10.Miscellaneous Provisions

10.1Entire Agreement:This Contractconstitutes theentireagreement between the Partieswith respectto thesubjectmatter hereof.Any prioragreements,understandings,or representationsare supersededby thisContract.

10.2Force Majeure:Neither partyshallbeliable foranyfailure ordelay inperformance dueto eventsbeyond theirreasonablecontrol,including butnot limitedto naturaldisasters,wars,or governmentactions.

10.3Assignment:Neither partyshall assignor transferanyrightsorobligations underthisContractwithout thepriorwrittenconsentoftheother party.

10.4Notices:All notices,requests,demands,or othercommunicationsrequired orpermitted underthis Contractshallbe inwriting anddeliveredtothe respectiveaddressesof the Parties asset forthin thisContract orto suchotheraddresses asthe Partiesmay designateinwriting.
