1.Defined TermsForthe purposeof this Contract,the followingtermsshall havethe meaningshereinafter assigned:

1.1Bank shall mean anyrecognized financialinstitutionutilized by Party A or Party B for the purposeofinternational payments.

1.2Currency shalldenote thelawful moneyof thecountryin whichthe payment is to be madeor asotherwiseagreed uponin writing.

1.3Invoice shallrefer to the detailedaccount ofgoods or servicesprovided,including quantities,descriptions,and agreed-upon prices.

1.4Payment shallencompass anytransfer offunds fromParty A to Party B,either infull orin part,in accordancewiththe termsof this Contract.

1.5Termination Feeshallmeanthe compensationdue toParty B in the event of earlytermination of the paymentobligationbyParty A.

2.Payment Termsand Conditions

2.2Payment Schedule:All paymentsshall bemade within numberdays fromthe dateof theinvoice,unless otherwiseagreed inwriting.

2.3Currency ofPayment:All paymentsunder thisContract shall bemade incurrency name,unless otherwisestipulated in thecommercial invoices.

2.4Bank Charges:All bankcharges incurredintheprocessing of paymentsshall befortheaccount of the Party A/PartyB,unless otherwisespecified herein.

2.5Late PaymentCharges:In theevent thatParty Afails tomake any paymentwithin thestipulated period,PartyBshall havethe righttocharge alate paymentfee of%per annumonthe overdueamount.

3.Invoice andDocumentation

3.2Verification ofInvoices:PartyAshall havethe rightto verifythe accuracyofthe invoiceswithinnumberdays ofreceipt.

3.3Discrepancies:Any discrepanciesintheinvoices shall be resolvedthroughwritten communicationbetween the parties withinnumberdays ofdiscovery.

4.Exchange Rateand Currency Conversion

4.1Applicable Rate:All paymentsunder thisContract shall be settledusingthe bank/interbank exchangerate prevailingonthe dateofpayment.

4.2CurrencyConversion:If thepaymentismadeina currencydifferent fromtheagreed Currency,the conversionshallbebased onthespecific conversionmethod,e.g.,mid-market rate.

4.3Rounding Off:Any roundingoff shallbe donetothenearestunit ofcurrency.

5.Security andCompliance

5.1Anti-Money LaunderingAML Compliance:第4页共7页Both partiesshall ensurecompliance withall applicableAMLregulations andsanctions.PartyAshall providesuchinformation anddocumentation asmay bereasonably requestedbyPartyBto verifythe legitimacyof thepayment.

5.2Sanctions andEmbargoes:Neither partyshall facilitateanypaymentthat violatesinternationalsanctions orembargoes.

6.Termination ofPayment Obligations

6.1Early Termination:PartyAmay terminateits paymentobligations under thisContract onlyupon mutualwritten agreementwith PartyB.

6.2Termination Fee:In theeventoftermination withoutprior writtenagreement,PartyAshall paytoPartyB atermination feeequivalentto%ofthetotal paymentamount.

7.Governing Lawand Dispute Resolution

7.1Governing Law:This Contract shallbegoverned byand construedinaccordance withthe lawsof jurisdiction.

7.2DisputeResolution:Any disputesarising outof orin connectionwith thisContractshallberesolved throughnegotiation/arbitration/litigation.

8.Miscellaneous

8.2Entire Agreement:This Contractconstitutes theentire agreementbetweenthe partiesregarding thesubject matterhereof.

8.4Waiver:No waiverof anyprovision ofthisContractshall operateasa waiverof any other provisionor asa waiverofthesameprovision onanyotheroccasion.
