1.Purpose andScope ofCooperation

1.1The purposeof this Agreement isto fostermutualbenefits andpromote internationaltradeandeconomicdevelopment throughcollaborative effortsin thefieldsof,herein referredtoasthe CooperationField.

2.Term of the Agreement

2.1This Agreement shall beeffective fromthe EffectiveDateand remainin forcefor aperiod ofyearsunless terminatedearlier in accordance with theprovisions hereof.

2.2Either Partymay terminatethis Agreementupondays written notice to the other Party ifthe other Partyfails tofulfill itsobligations under this Agreement.

3.Rights andObligations ofEach Party

3.1Party Aagrees toprovide thefollowing servicesand/or goods:,and ensurethe qualityandtimely deliveryof thesame.

3.2Party Bagrees toprovide thefollowing servicesand/or goods:,and ensurecompliance withapplicablelaws andregulations.

3.3Both Partiesshall maintainopen linesofcommunication andpromptly notify the otherParty ofanyissues ordelays inthe performanceof theirobligations.

4.1All paymentsunderthis Agreement shall be made inaccordance withthe paymentterms outlinedin Exhibit A,attached heretoand madea parthereof.

4.2All invoicesshall beissued intriplicate,with onecopyretained byeach Partyand thethird copyused foraccountingpurposes.

5.Confidentiality

5.1Each Partyagrees tomaintain theconfidentiality ofallinformation exchangedduring theterm ofthis Agreement,whether written,oral,or electronic.

5.2Confidential informationshall not be disclosedtoany thirdparty withoutthe priorwritten consentof thedisclosingParty.

6.Intellectual PropertyRights

6.1All intellectual property rightsarising fromtheCooperation Fieldshall bejointly ownedby both Parties,unless otherwiseagreed uponin writing.

6.2Each Partyshall ensurethat itsemployees andagentsrespect theintellectualpropertyrights ofthe otherPartyand refrainfrom anyunauthorized usethereof.

7.Force Majeure

7.1In theevent thateither Partyis preventedfromfulfilling itsobligations underthis Agreementdue toeventsof forcemajeure,including butnot limitedto naturaldisasters,war,or governmentactions,the Partyaffected第3页共6页shall promptlynotifytheotherPartyand makereasonableefforts tomitigate theeffects ofsuch events.

7.2If theeffects ofthe forcemajeure eventpersist foracontinuous periodof days,either Partymayterminate thisAgreement bywrittennoticeto theotherParty.

8.Governing Lawand DisputeResolution

8.1This Agreementshallbegoverned byand construedinaccordance withthe lawsofthe jurisdiction specifiedinExhibit B,attached heretoand madea parthereof.

8.2Any disputesarising outof orrelated to thisAgreement shallbe resolvedthrough friendlyconsultationsbetween the Parties.If suchconsultations failto resolvethedispute withindays,the mattershall bereferredto arbitrationinaccordancewiththerules oftheArbitration Association.

9.Representations,Warranties,and Indemnification

9.1Each Partyrepresents andwarrants thatit hasfullauthority toenter intothisAgreementand toperform itsobligationshereunder.

9.2Each Partyagrees toindemnify andhold theotherParty harmlessfrom anylosses,claims,damages,or expensesarisingfrom anybreach ofthisAgreementor failuretofulfill itsobligations.

10.1Any amendmentsor modificationstothisAgreementmust bemadeinwriting andsigned bybothParties.

10.2The failureof eitherParty to enforce anyprovisionof thisAgreementshallnotbeconstrued asa waiverof suchprovisionor ofthe righttoenforcesuch provisionat alatertime.
