5.1Both partiesagree tocomply withall applicablelawsand regulationsin theirrespective countriesand thecountrieswhere thegoods/services aresupplied.

5.2All transactionsunder this Contract shall beconducted inaccordance withthe principlesof fairness,mutual respect,and compliancewith international tradepractices.

6.Force Majeure

6.1In theevent thateither partyis preventedfromperforming itsobligations under this Contractdue toa forcemajeure event,it shallpromptly notifythe otherparty andmakeall reasonableefforts tomitigate theeffects of theforce majeure.

6.2The obligationsof theaffected party shall besuspendedduring theperiod ofthe forcemajeureevent.

7.Liability forBreach ofContract

7.1Any breachof thisContract byeither partyshallresult inliability fordamages inaccordancewiththe termssetforthherein.

7.2Should either party failto performits obligationsunderthisContract,the otherpartyshallhave the right toterminatethisContractand claimcompensation forany lossesincurred.

8.1Any disputesarising outof orin connectionwiththis Contract shall be resolved throughfriendly negotiations.

8.2If thedisputes cannot beresolvedthroughnegotiations,they shallbe提交ed tothe中国国际经济贸易Arbitration CommissionCECA forarbitration inaccordancewith itsrules.

9.Governing Law

9.1This Contract shallbegoverned by and construedinaccordance withthe lawsof（Country）.
