2025涉外经贸英语合同写作支付条款Contract forPayment Termsin InternationalTrade2025Payment Terms ClauseThis Contracthereinafter referred to asthe Contractisentered into as of the EffectiveDateby andbetween hereinafter referredtoasthe Party A andhereinafterreferredtoas theParty B.The Contractpertains to the internationaltradeof goodsand services,and thesepayment termsareintegral tothe agreement.General PaymentTermsParty Aagrees topay Party B for the goodsand servicesdeliveredunder this Contract inaccordance with the termsandconditions set forth herein.All paymentsunder thisContract shall be made in the currencyspecified inSection2of this clause.Currency andPayment MethodsThepayments madeunder this Contract shall be inthecurrency ofe.g.,US Dollars,Euros.TheParties agreethat thecurrency usedfor payment shall befreelyconvertible andthat anyfluctuations inexchangerates shall be borneby Party A unlessotherwise specified inwriting.Party Bshall havethe rightto acceptpayments intheaforementioned Prepaymentbefore thecommencement of the delivery ofgoods andservices.The Prepaymentshallbenon-refundableand shallbe appliedtowards thetotal amountowed by Party Aunder this Contract.b.Invoice Payment:Upon completion of thedeliveryofgoods ortheprovision ofservices,Party Bshall issueaninvoice to Party A.Party Ashall remitthe fullamount duewithin days theInvoice DueDate from thedate of the invoice.c.Partial Deliveries:In the event thatParty Bdeliversthe goodsor providesservices ininstallments,eachinstallment shallbe invoicedseparately,and Party A shallpayeach invoicewithindaysof writtennoticetoParty A,withthenew detailsto beprovided insuchnotice.Modification ofPayment TermsThepayment termssetforthherein maybe amendedbymutual agreementin writing.Any amendmentsto these termsshall bedeemed partof this Contract andshall takeprecedenceover theoriginal terms.Suspension andTermination ofPaymentsa.Party Amay suspendpayment withoutincurringliability fordefault inthe event of anyof thefollowing:i.Force majeureevents asdefined in this Contract.ii.Any breachof contractbyParty B thathas notbeenremedied withindays afterParty Ahas givenwrittennotice.b.Party Bmay suspendperformance ofobligations withoutincurringliability fordefault inthe eventthat paymentfromPartyAis notmade inaccordance withthe terms of thisContract.第3页共7页c.In theeventof termination ofthis Contractfor anyreason,all outstandingpayments shallbe settledwithindays fromthe dateoftermination.Taxes andDutiesAll paymentsunderthisContractshallinclude applicabletaxes,duties,and othergovernment-imposed fees.Party Ashallbe responsiblefor anyadditional taxesor dutiesthatmay arisefromthe payment process.Records ofTransactionsParty Bshall maintainaccurate recordsof alltransactions,including butnot limitedto paymentdetails,invoices,and receipts.PartyAmay requestaccess totheserecords forverification purposeswithin daysafterthepaymentdue date.Dispute ResolutionIntheeventof anydisputes arisingfrom theinterpretationor applicationof thesepayment terms,theParties agreeto resolvesuch disputesthrough arbitration/litigation,as providedinthegeneralterms ofthisContract.Independent PaymentClauseThe paymentterms outlinedinthisContract areindependentofthetermsofdelivery orany otherclauses inthisContract.Failure byeither Partyto fulfillany payment第4页共7页obligation underthesetermsshall notaffect thevalidity ofotherprovisions ofthisContract.Force MajeureNeitherParty shallbe liablefor anyfailure or delay infulfillingits paymentobligations underthisContractifsuch failureordelayis duetoaforce majeureevent,including butnot limitedto naturaldisasters,war,riot,orgovernment actions.Affected Partiesshall promptlynotifythe otherParty ofthe occurrenceofaforce majeureeventand makereasonable effortsto mitigateits effects.Default andRemediesa.If PartyA failsto makeany paymenton thedue date,PartyBshall havethe rightto:i.Charge alate feeof%per annumonthe unpaidamount.ii.Suspend orterminate theprovision ofgoods orservicesuntil paymentis made.iii.Pursue allother remediesavailable underapplicablelaw,including butnot limitedtotheright toterminatethisContractand claimdamages.b.If PartyB failsto providegoodsorservices asagreed,PartyAshall havetherightto withholdpayment oradjustthe amountowed untilPartyBrectifies thefailure.Final ScheduleC.c.If anyprovision ofthis clauseis foundto beinvalidor unenforceable,the remainingprovisions shallremain infullforce andeffect.d.Nothing inthisclauseshallbeconstrued asa waiverofany rightor
