2.2the aforementionedauthorization isexclusive,and甲方shall notauthorize anythird partyto exercise theabovementioned rightswithin the agreed scope and period.article3nature ofauthorization

3.1the authorizationunder thisagreement isa paidauthorization.乙方shall pay甲方the agreedauthorizationfees inaccordancewith the agreement.

4.3in theevent oftermination ofthisagreement,乙方shall immediatelycease alluse of甲方s worksand returnallmaterials relatedto甲方s works.article5rights andobligations of甲方

5.1甲方shall provide乙方withthenecessary materialsandinformation toexercisetheauthorized rights,includingbut notlimited tooriginal worksor copiesthereof.

5.2甲方shall ensurethat theprovided worksdo notinfringeupon thelegitimate rights and interestsof anythirdparty,and甲方shall assumeany liabilityarising fromsuchinfringement.

5.3甲方shall cooperatewith乙方inthepromotion,marketing,and legalaffairs ofthe works.article6rightsandobligations of乙方

6.1乙方shall use甲方s workssolely withinthe scopeandmanner specifiedin thisagreement and shallnotexceedthe authorizedscope.

6.3乙方shall ensurethat theuse of甲方s workscomplieswith relevantlawsandregulations,andshallnotmake anyalterations oradditions to甲方s workswithout甲方s priorwritten consent.

8.1任何一方违约导致对方遭受损失的，违约方应赔偿守约方的实际损失，包括但不限于直接损失、间接损失、律师费、诉讼费等

8.2if甲方fails tofulfill itsobligations underthisagreement,乙方has theright toreduce orsuspend thepaymentof authorizationfees until甲方remedies thebreach.第4页共6页

8.3if乙方fails toexercisetheauthorized rightswithintheagreedscopeandmanner,甲方has theright toterminatethisagreementand revoketheauthorization.article9force majeure

9.1if theperformance ofthisagreementis delayedorimpossible dueto force majeure,neither partyshall beliableforanyloss ordamage thuscaused.

9.2upon theoccurrence offorce majeure,the affectedpartyshall promptlynotify theother partyand makeeffortsto mitigatethe impactoftheforcemajeure.article10modification andtermination oftheagreement

10.1任何一方不得擅自变更或解除本协议对本协议的任何变更或解除，必须经双方协商一致，并以书面形式确认

10.2在本协议履行期间，如果国家法律法规发生变化或政策调整，双方可协商对本协议进行相应的调整article11dispute resolution

11.1甲乙双方因履行本协议发生争议的，应当友好协商解决

11.2协商不成的，任何一方均可向location人民法院提起诉讼article12附则

12.1本协议未尽事宜，双方可另行签订补充协议，补充协议与本协议具有同等法律效力
