2025电子产品采购合同中英文版范文本合同（以下简称“本合同”）由以下双方于年月日在（城市/地区）签订甲方（以下简称“买方”）地址联系人联系电话乙方（以下简称“卖方”）地址联系人联系电话鉴于买方希望从卖方采购以下所述电子产品（以下简称“货物”），而卖方同意向买方提供所述货物，双方经友好协商，达成如下协议第一条合同标的
1.1买方同意从卖方采购以下货物（以下简称“货物”）产品名称规格型号数量单价总金额
1.2卖方应确保所提供的货物符合本合同约定的质量标准、技术要求及相关法律法规第1页共11页第二条交货条款
2.1交货时间卖方应于年月日前将货物交付至买方指定地点
2.2交货方式□物流运输□自提□其他（具体方式）如选择物流运输，运费由方承担
2.3交货地点
2.4卖方应确保货物包装完整，符合运输要求，并提供必要的装箱单、质量证书及相关技术资料第三条支付条款
3.1合同总金额为人民币元（大写）
3.2付款方式□银行转账□电汇□支票□其他（具体方式）买方应按照以下时间付款第一期付款合同签订后日内支付合同总金额的%，即人民币元第二期付款货物交付并验收合格后日内支付合同总金额的%，即人民币元
3.3卖方应在收到每笔款项后向买方提供相应的增值税发票或其他合法票据
3.4任何一方未按约定支付款项的，应按未付金额的日万分之支付违约金第四条质量保证第2页共11页
4.1卖方承诺货物的质量符合国家相关标准及行业标准，并应提供相应的质量保证书
4.2若买方在收到货物后发现货物存在质量问题或与合同约定不符，应在收到货物后日内以书面形式通知卖方，卖方应在收到通知后日内予以解决，包括但不限于更换、修复或退货
4.3货物的质保期为年，自货物交付并验收合格之日起计算质保期内，卖方免费提供维修或更换服务（人为损坏除外）第五条验收条款
5.1货物到达指定地点后，买方应在日内完成验收并书面确认如验收过程中发现货物数量、规格、型号与合同约定不符，买方应在验收期限内向卖方提出异议
5.2验收标准货物应符合合同约定的质量标准、技术参数及相关说明书要求
5.3验收通过后，买方应向卖方出具验收合格证明第六条违约责任
6.1如卖方未能按合同约定时间交货，每延迟一日，应按合同总金额的%向买方支付违约金，且买方有权解除合同
6.2如买方未能按合同约定时间付款，每延迟一日，应按合同总金额的%向卖方支付违约金
6.3若任何一方违反合同约定，导致合同无法履行或给对方造成损失的，违约方应赔偿守约方的全部损失第七条保密条款第3页共11页
7.1双方应对在本合同履行过程中获悉的对方的商业秘密、技术秘密及其他机密信息严格保密，未经对方书面同意，不得向第三方披露
7.2本条款的保密义务不因合同的终止而失效第八条不可抗力
8.1若因不可抗力事件（如战争、自然灾害、政府行为等）导致任何一方无法履行合同义务，受影响方应在事件发生后日内书面通知另一方，并提供相关证明
8.2受影响方应尽最大努力减少不可抗力事件的影响，并采取合理措施防止损失扩大
8.3不可抗力事件持续超过日，双方可协商解除合同或变更合同条款第九条争议解决
9.1因本合同引起的或与本合同有关的任何争议，双方应通过友好协商解决
9.2如协商不成，任何一方均可向（城市）有管辖权的人民法院提起诉讼第十条合同生效及其他
10.1本合同自双方签字盖章之日起生效
10.2本合同一式份，双方各执份，具有同等法律效力
10.3对本合同的任何修改、补充均应以书面形式作出，并经双方签字盖章后生效

5.1Party Ashall completethe acceptanceand issueawritten confirmationwithindaysafterreceiving thegoods atthe designatedlocation.

5.3Upon successfulacceptance,PartyAshall issueacertificate ofacceptance toParty B.Article6Liability forBreach ofContract
6.1If PartyB failsto deliverthegoodsas agreed,PartyAshallbe entitled to terminate the Contract,andParty Bshall paya违约金of%of thetotalamount foreach dayof delay.
6.2If PartyA failsto paythe amountas agreed,Party Bshallbeentitledtoterminatethe Contract,and PartyAshall paya违约金of%of thetotalamountforeach dayof delay.

7.2The confidentialityobligations underthis Articleshallcontinue to be bindingafter the终止of thisContract.Article8Force Majeure
8.1If aforce majeure event suchas war,naturaldisasters,government actions,etc.prevents either partyfrom performingitsobligationsunderthisContract,theaffected partyshall notifythe otherparty inwriting withindaysandproviderelevant proof.
8.2The affectedpartyshallmake theutmost efforttominimize theimpact ofthe force majeureeventand takereasonablemeasures toprevent theexpansion oflosses.
8.3If theforcemajeureevent exceedsdays,the twoparties maynegotiate toterminate oramendthis Contract.Article9Dispute Resolution第9页共11页
9.1Any disputesarising outof orrelated to thisContract shallbe resolvedby friendlynegotiation betweenthetwopartiesfirst.

10.1This Contractshall comeinto effectupon signaturesandseals ofboth parties.

10.3Any amendmentsor supplementstothisContract shallbemadeinwriting andjointly signedand sealedby bothpartiestobeeffective.
