1.PREREQUISITES AND WARRANTIES

2.PURCHASE PRICEAND PAYMENTTERMS

2.2The Buyershall paythePurchase Price in accordancewith thepayment scheduleattached heretoas ExhibitA,whichis herebyincorporated byreference.

2.3The Sellershall providethe Buyerwith aclosingstatement reflectingthe exactcosts and expenses incurred inconnection with the transferof ownershipof theProperty,which shall be settledat theclosing.

3.CLOSING

3.1The closingshall takeplace on[Date]the ClosingDateor suchother dateas mutually agreed upon in writingby both parties.

3.2At theclosing,the Buyershall paythe remainingbalanceof thePurchasePrice,if any,and the Seller shalldeliverpossession of thePropertyto theBuyer.

4.3The Buyeragrees toinspect theProperty andundertakesany necessarysurveys orevaluations athis/herown expenseprior tothe executionof thisContract.

5.ARBITRATIONCLAUSE

5.1IN THEEVENT OFANY DISPUTEARISING OUTOF ORRELATINGTO THISCONTRACT,THE PARTIESSHALL FIRSTATTEMPT TORESOLVETHE DISPUTETHROUGH FRIENDLYNEGOTIATION.IF THEDISPUTECANNOT BERESOLVED WITHINTHIRTY30DAYS AFTERTHEDISPUTE HASBEEN BROUGHTTO THEATTENTION OFTHE OTHERPARTY,THE DISPUTESHALL BESUBMITTED TOARBITRATION INACCORDANCEWITH THERULES OFTHE AMERICANARBITRATION ASSOCIATIONAAA.

5.2The arbitrationshall takeplace in[City],[State],unless otherwisemutuallyagreeduponinwriting bybothparties.

5.3The partiesagree thatthe arbitrationshall beconductedby asingle arbitratorselected fromthe AAAsrosterof arbitratorsin accordance with theAAA rules.

5.7The partiesagree tomaintain theconfidentiality ofallarbitration proceedingsand awards,except asmay berequiredby law.

5.8Any disputerelating tothe validity,interpretation,or enforceabilityof thisarbitration clauseshall beresolvedby acourt ofcompetent jurisdictionin[County],[State],inaccordancewiththe laws of the State of[State].

6.MISCELLANEOUS PROVISIONS

6.1Governing Law:This Contract shallbegoverned byandconstrued inaccordancewiththelawsoftheStateof[State].

6.5Force Majeure:Neither partyshallbeliable foranyfailure ordelay inperformance causedby eventsbeyond theirreasonablecontrol,including butnot limitedto actsof God,war,or governmentrestrictions.

6.6Severability:If anyprovision ofthisContractisfound tobe invalidor unenforceable,the remainingprovisionsshall remainin fullforce andeffect.

6.7Assignment:Neither partyshall assignthis Contractorany ofhis/her rightsor obligationshereunder withouttheprior writtenconsentoftheotherparty.

6.8Counterparts:This Contractmay beexecuted incounterparts,each ofwhich shallbe deemedan original,butall ofwhich togethershall constituteone andthe sameinstrument.

6.9Notices:All notices,requests,demands,or othercommunicationsunder thisContractshallbe inwriting andshallbe deemedto havebeen dulygiven whendeliveredpersonally orsent byregistered orcertified mail,returnreceipt requested,totheaddresses setforth above.
