2025货物出口合同英文版范文2025EXPORT GOODS CONTRACT ENGLISHVERSIONThis EXPORTGOODSCONTRACThereinafter referredto asthis Contract isentered intoon thisdayof Month,2025,at PlaceofConclusion,by andbetween hereinafterreferredto asthe Seller and hereinafterreferredto asthe Buyer,with the following mutualunderstandingand agreement:

1.Definitions andInterpretationsIn this Contract,thefollowingterms shallhave themeaningsspecified below:Goods:Refers to the productsor itemsto beexported bythe Sellerandimported by the Buyer,as detailedin ScheduleAattached hereto.Shipment:Refers to the transportationof the Goods fromthe Sellers designatedloading portto the Buyersdesignated destination port,in accordance with the terms ofthis Contract.Force Majeure:Refers toany eventbeyond thecontrol ofeither Party,including butnot limited to naturaldisasters,war,strikes,government actions,and otherunforeseeablecircumstances,which preventeitherPartyfrom fulfillingitsobligations underthis Contract.

2.1The Seller shall supplythe Goodsas follows:Commodity Name:Country of Origin:Quantity:Unit Price:Total Amount:The specificdetails of the Goodsshall beas describedin Schedule A,which isan integralpart of this Contract.

3.Price andPayment Terms

3.1The totalprice of the Goodsishereinafter referredto asthe Total Price,which isinthe currencyof Currency.

3.2The Buyershall paythe Sellerin accordancewith thefollowingterms:First Payment:Date priorto theShipment,the Buyershall payan advancepayment ofPercentageor Amountofthe TotalPriceto theSeller.Second Payment:The remainingbalance ofthe TotalPriceshall bepaid bythe Buyer within Numberdays after theBuyer hasreceived the Shipment documents.

3.3All paymentsshall bemade byPaymentMethod,and theexact paymentdetails,includingaccount numbersand bankinformation,are providedinSchedule B.

4.1The Shipmentshall bearranged bytheSeller,withthe designatedloading portbeing PortofLoading and the designateddestinationportbeingPort ofDestination.

4.2The Goodsshall beloaded ontoa vesselor othersuitabletransportation meansas agreedupon byboth Parties.The Sellershall ensurethat the Goods areproperly packedandmarked in accordancewith the standardsand requirementsspecifiedinScheduleC.

4.3The Shipmentdate istentatively scheduledforDate,but theSellershallnotify theBuyer of any delaysorchanges in theShipmentschedule atleastNumber daysin advance.

4.4Upon completionoftheShipment,theSellershallpromptly providetheBuyerwith thenecessary Shipmentdocuments,including butnot limitedtotheBill ofLading,Commercial Invoice,Packing List,and CertificateofOrigin.

5.Insurance

5.1The Sellershall arrangefor the Goods to be insuredagainstrisks asper theterms andconditions detailedinSchedule D.

5.2The insurancecoverage shall bePercentage oftheTotalPrice,with thepolicy heldby theBuyer.第3页共7页

5.3Any claimsfor damageor losstotheGoods duringtransitshall besubmitted tothe insurancecompany withinNumberdaysafter the Buyersreceipt oftheGoods.

6.Intellectual PropertyRights

6.1The Buyershall beentitled tothe fullownership oftheintellectual property rights oftheGoods,including butnotlimitedtotrademarks,patents,and copyrights,asspecified inSchedule E.

6.2The Sellershall ensurethat theGoods donotinfringe uponany intellectualpropertyrightsof thirdparties.In the event ofany infringementclaims,the Sellershall be responsiblefor defendingand settlingsuch claims,at itsown expense.

7.Compliance withLaws andRegulations

7.1Both Partiesshall complywith allapplicable laws,regulations,and internationaltrade normsintheperformanceof thisContract.

7.2The Sellershall ensurethat theGoods meetthequality andsafety standardsas requiredbytherelevantauthorities ofthe importingcountry.

7.3The Buyershall obtainall necessaryimport permits,licenses,and clearancesinaccordancewiththe laws andregulationsof theirrespective jurisdictions.

8.1Either Partymay terminatethisContractby givingwrittennotice tothe otherParty intheevent ofamaterialbreach ofthe Contract,which remainsuncured fora periodofNumber daysafterthereceipt ofthe违约通知.

8.2In theeventofa breachof thisContract,the non-breaching Partyshall beentitled toclaim damagesinaccordance withthe lawsand theterms setforth inScheduleF.

8.3This Contractshall beterminated uponmutualagreement ofboth Partiesin writing.

9.Governing Lawand DisputeResolution

9.1This Contractshall begoverned byand construedinaccordance withthelawsof Country.

9.2Any disputesarising outof orin connectionwiththis Contractshallberesolved throughfriendlyconsultations betweenthe Parties.If theconsultations fail,the disputesshallbesubmitted tothe NameCourtof Cityfor resolution.

10.Miscellaneous Provisions

10.1Any amendmentsor modificationsto thisContractshall bemade inwriting andsigned byboth Partiesto beeffective.

10.2This Contractmay notbe assignedor transferredbyeither Partywithout theprior writtenconsent ofthe otherParty.第5页共7页

10.3If anyprovision ofthisContractis heldinvalid orunenforceable,the remainingprovisions shallremain infullforce andeffect.

10.4The Partiesagree toexecute allnecessary documents,perform allrequired acts,and takeall reasonablesteps togiveeffect tothetermsofthisContract.
