12.1Either partymay terminatethis Agreementupondays written notice ifthe otherparty isin materialbreachof anytermofthis Agreementand fails to remedythe breachwithinsuch period.

12.2The Tenantmay terminatethisAgreementby givingtheLandlord dayswrittennoticeif theLandlordfailstoperform anyof theirobligations underthisAgreement,provided thatthe Tenanthas compliedwith alltermsand conditionsofthisAgreement.
