2025化工企业之小额采购合同模板-中英本合同（以下简称“合同”）由以下双方于年月日签订甲方（采购方）地址联系电话法定代表人（以下简称“甲方”）乙方（供应商）地址联系电话法定代表人（以下简称“乙方”）鉴于甲方需要采购化工产品（以下简称“货物”），乙方愿意向甲方提供所述货物，双方依据中华人民共和国相关法律法规，本着平等互利的原则，经友好协商，达成如下协议第一条采购内容

1.1乙方同意向甲方提供以下货物（以下简称“货物”）货物名称规格型号数量单价（人民币）总金额（人民币）

1.2乙方提供的货物应符合甲方的要求，并符合相关行业标准和技术要求具体技术要求详见附件第1页共10页第二条技术要求

2.1乙方提供的货物必须符合以下技术要求

2.2乙方应提供货物的详细技术参数、规格说明及质量保证文件如因技术参数或质量不符合约定，甲方有权退货或要求乙方更换货物，相关费用由乙方承担第三条数量与价格

3.1乙方提供的货物数量为件（吨/单位），总金额为人民币元，含税

3.2价格已包含货物的运输费用、装卸费用及相关税费如因市场波动导致价格变化，双方应另行协商，否则以本合同约定的价格为准第四条交货时间与地点

4.1乙方应在年月日前完成交货

4.2交货地点为甲方指定的地点乙方应确保货物按约定时间送达指定地点，并及时通知甲方第五条付款方式

5.1甲方应在收到货物并确认无误后日内支付货款，支付方式为银行转账乙方账户信息如下-开户银行-账号-开户名称

5.2乙方应向甲方提供合法的增值税专用发票如因发票问题导致付款延迟，责任由乙方承担第2页共10页第六条验收标准

6.1甲方收到货物后将在日内进行验收，如发现问题应在日内书面通知乙方

6.2验收标准以合同约定的技术要求、行业标准及甲方的验收程序为准

6.3如货物存在质量问题或不符合约定，甲方有权要求乙方更换或退货，相关费用由乙方承担第七条知识产权

7.1乙方提供的货物及相关技术资料的知识产权归乙方所有，甲方仅享有使用权

7.2未经乙方书面同意，甲方不得将货物及相关技术资料用于其他商业用途第八条质量保证

8.1乙方承诺提供的货物质量符合约定标准，并提供个月的质量保证期

8.2质量保证期内，如货物出现质量问题，乙方应免费维修或更换如因质量问题导致甲方损失，乙方应承担相应赔偿责任第九条保密条款

9.1双方应对在合作过程中获知的商业秘密、技术信息及其他机密信息予以保密，未经对方书面同意，不得向第三方披露

9.2本条款的效力不受合同终止的影响第十条违约责任

10.1如乙方未按约定时间交货，每逾期一日，应向甲方支付合同总金额的%作为违约金第3页共10页

10.2如乙方提供的货物不符合约定，甲方有权要求更换、退货或解除合同，乙方应承担由此造成的损失

10.3如甲方未按约定支付货款，每逾期一日，应向乙方支付合同总金额的%作为违约金第十一条争议解决

11.1因本合同引起的或与本合同有关的任何争议，双方应通过友好协商解决

11.2协商不成的，任何一方均可向甲方所在地有管辖权的人民法院提起诉讼第十二条其他条款

12.1本合同未尽事宜，双方可另行签订补充协议，补充协议与本合同具有同等法律效力

12.2本合同一式份，甲乙双方各执份，自双方签字盖章之日起生效

12.3本合同的签订、履行及争议解决均适用中华人民共和国法律第十三条附则

13.1本合同的附件包括技术要求说明质量保证书其他相关文件

7.1The intellectualproperty rightsof theGoods andrelatedtechnical documentssupplied byParty Bshall beownedbyPartyB,and PartyAshallonly havethe righttouse them.

7.2PartyAshall notuse theGoods andrelated technicaldocumentsfor othercommercial purposeswithout writtenconsentfrom PartyB.Article8:Quality Guarantee

8.1PartyBwarrants thattheGoodssupplied shallmeetthe agreedstandards andprovide aquality guaranteeperiodof months.

8.2During thequality guaranteeperiod,should anyqualityissues arise,PartyBshall repairor replacetheGoods atno cost.PartyBshall be liable forany lossesresultingfrom qualityissues.Article9:Confidentiality

10.2Should theGoodsfailtomeetthe requirements,PartyAisentitledtorequestreplacement,return,ortermination of the Contract,and PartyBshallbeliableforany resultinglosses.

10.3Should PartyA failto paythe amounton time,PartyA shallpayapenaltyof%ofthetotal amountperday.Article11:Dispute Resolution

11.1Any disputesarising outof orrelated tothisContract shallbe resolvedthrough friendlynegotiations.

11.2Should negotiationsfail,any Partymay bringthematter tothe PeoplesCourt atParty Aslocation withjurisdiction.Article12:Other Provisions第9页共10页

12.1Any unsignedmatters hereinshallbesettled bymutualagreement,and suchsupplementary agreementshall bedeemed equally binding as this Contract.

12.2This Contractis madein duplicate,one foreachParty,and shallcome intoeffect fromthe dateof signatureandseal.

12.3The execution,performance,and resolutionofdisputes concerningthisContractshallbegoverned bythelaws ofthe PeoplesRepublic ofChina.Article13:Schedule
